Article 1 The name of this Association is: China Minmetals Chemical Import and Export Chamber of Commerce. The English name is: China Hardware and Minerals Chamber of Commerce; Chemical importers and agents. Exporter, abbreviated as CCCMC.
Article 2 This Association is a national social organization. It is a non-profit social organization voluntarily formed by various economic organizations registered in People's Republic of China (PRC) and engaged in foreign economic trade and related activities of metal minerals and products, non-metal minerals and products, hardware products, building materials products, petroleum and products, chemical raw materials and products.
Article 3 The purpose of the association is to coordinate the foreign economic and trade activities of the industry, provide consultation and services, safeguard the legitimate rights and interests of the country, industry and members, maintain the normal foreign economic and trade order, and promote the healthy development of foreign economic and trade of the industry.
We will abide by the Constitution, laws, regulations and national policies of People's Republic of China (PRC) and social morality.
Article 4 The Association shall accept the supervision, management and business guidance of the registration authority of the Ministry of Civil Affairs of the People's Republic of China and the competent business unit of the Ministry of Commerce.
Article 5 The domicile of this Association is located in Beijing.
chapter two
Article 6 The functions of this Association are:
(a) to publicize and implement the laws, regulations, principles and policies of the state on foreign economic relations and trade, and to guide and supervise members' law-abiding operations.
(two) to study the situation and development of foreign economic relations and trade in this industry, reflect the situation, opinions and requirements of this industry and its members to the government, and provide advice and suggestions for the government to formulate relevant policies.
(three) to coordinate the foreign economic and trade activities of enterprises in this industry, coordinate and solve related disputes among member enterprises, and promote industry self-discipline. Maintain the foreign trade order of this industry and safeguard the legitimate rights and interests of this industry and its members.
(4) Collecting, researching and exchanging foreign economic and trade information and related economic information of commodities in this industry, and providing information consulting services for members.
(5) Organizing members to investigate foreign anti-dumping, countervailing, anti-monopoly, intellectual property rights and safeguard measures. Dealing with foreign trade barriers such as environment, safety, social responsibility and technical standards of commodities in this industry. Collect information about dumping and other unfair competition of foreign related commodities in China, and report to relevant government departments.
(six) according to the entrustment and authorization of the competent department of business, to carry out industry supervision, inspection, audit, evaluation, certification and other related work, to participate in the formulation and revision of relevant standards in this industry.
(seven) according to the entrustment of the competent department of business, responsible for the specific implementation of export quota bidding.
(eight) to carry out contacts and exchanges with international commodity organizations and international organizations in the same industry, and to establish business cooperation relations. Participate in international commodity organizations and attend relevant international professional conferences on behalf of the industry.
(nine) to organize and organize members to participate in exhibitions and seminars at home and abroad, and organize members to carry out various trade promotion activities such as external publicity, market research, trade negotiations, economic and technological exchanges and training. According to the needs of market and industry development.
(ten) to perform other duties authorized by the competent department of commerce of the state or according to the requirements of the members.

Article 7 Members of this Association are unit members.
Article 8 The conditions for applying to join this Association are as follows:
(a) registered in People's Republic of China (PRC) according to law, engaged in foreign trade or related activities in this industry;
(2) Supporting the articles of association;
(3) Have the will to join this association.
Article 9 The procedure for joining this Association is:
(1) Fill in the membership application registration form issued by the Association;
(two) to submit the documents registered in the relevant state departments according to law;
(3) The permanent offices of this Association shall, according to the authorization of the Council of this Association, examine the application of enterprises in accordance with the articles of association of this Association, and report it to the Council or the Standing Council for the record;
(4) Those who pass the membership will be issued to membership certificate by this Association.
Article 10 The Association shall implement an irregular membership registration system for its members, and members shall participate in the membership registration as required.
Article 1 1 Rights of members:
(a) have the right to vote, to be elected and to vote.
(2) Have the right to participate in relevant activities organized by the Association;
(3) Enjoy the services provided by the club;
(four) to supervise the work of this association and put forward opinions and suggestions;
(5) Freedom to quit the meeting.
Article 12 Obligations of members:
(1) Abide by the Articles of Association and implement the resolutions and Articles of Association of the Association;
(two) to safeguard the legitimate rights and interests and reputation of this association;
(three) to participate in the relevant activities organized by the association and undertake the work entrusted by the association;
(four) to reflect the situation to the bureau and provide relevant information and data;
(five) to pay the membership fee according to the regulations.
Thirteenth members in any of the following circumstances, automatic loss of membership:
(1) Loss of legal person status;
(2) Failing to register as a member of this Association for two consecutive times;
(three) arrears of membership fees for more than one year.
The termination of membership requires the approval of the board of directors of the association and the termination procedures.
Article 14 The Association will punish members who violate the Articles of Association. Penalties of this Association include: informed criticism, warning, suspension of membership and expulsion from membership. Penalties for members must be approved by the Council of the Association.
Fifteenth members voluntarily withdraw from the association, it shall notify the association in writing, and return the membership card.
chapter four
Article 16 The highest authority of this Association is the members' congress, and its functions and powers are:
(a) to formulate and amend the articles of association;
(2) To elect and recall members of the Council;
(three) to consider the work report and financial report of the Council;
(four) to formulate and revise the membership fee standards;
(five) to consider the motion jointly put forward by the Council, the branch and more than one-fifth of the members;
(6) Deciding to terminate.
(seven) to decide on other major issues.
Seventeenth members' congress is held every four years. If the meeting needs to be held in advance or postponed due to special circumstances, it shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. But the extension period shall not exceed one year.
Representatives of the member congress are elected by members through democratic consultation. The number of members' representatives and the selection method shall be decided by the Council.
Article 18 A member congress can only be convened when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives are present to vote.
Article 19 The Association shall establish a council. The Council leads the Association to carry out its daily work when the members' congress is not in session, and is responsible to the members' congress. The functions and powers of the Council are:
(a) to implement the resolutions of the members' congress;
(two) to prepare for the convening of the members' congress;
(three) to elect and recall the president, vice president, secretary general and members of the Standing Council;
(four) to report the work and financial situation to the members' congress;
(five) to examine and approve the annual work plan, annual financial budget and final accounts of the Association;
(6) To decide on the establishment, alteration and cancellation of offices, branches, representative offices and entities;
(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(8) Deciding to recruit and punish members;
(nine) to lead the work of the institutions of this Association;
(ten) to formulate the important management system of the association;
(eleven) to consider the proposals jointly put forward by various institutions and more than fifty members of the association;
(twelve) to decide on the establishment and selection of honorary posts;
(thirteen) to decide on other major issues.
Article 20 The term of office of the Council is four years, and the members' congress is convened in advance or postponed, and the term of office is changed accordingly. The directors are democratically elected by the members' congress. The number of directors and the method for their formation shall be decided by the last Council, and the president, full-time vice president and secretary-general recommended by the competent business unit shall be ex officio directors.
Article 21 The Council shall convene a meeting at least once a year, which shall be convened and presided over by the President. The chairman thinks it is necessary or more than one third of the directors agree to convene a special Council. Under special circumstances, an exchange meeting can be held.
Article 22 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.
Article 23 The Association shall establish a standing council. The Standing Council is responsible to the Council and exercises the functions and powers of Article 19, items 1 2, 6, 7, 8, 9, 10 and1when the Council is not in session.
Article 24 The term of office of the Standing Council of this Association is the same as that of the Council. The Permanent Council is democratically elected by the same Council. The number of executive directors and the method for their formation shall be decided by the board of directors. The number of executive directors shall not exceed one third of the number of directors.
Article 25 The Standing Council shall meet at least twice a year, which shall be convened and presided over by the President. The president thinks it is necessary or more than one third of the executive directors propose to convene a special executive board. Under special circumstances, an exchange meeting can be held.
Article 26 The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only when more than two thirds of the executive directors are present.
Article 27 The Association shall have a president, several vice-presidents (including part-time vice-presidents) and a secretary-general (full-time vice-presidents may serve concurrently).
Article 28 The president, vice-president and secretary-general of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in this business field;
(3) The maximum working age is no more than 70 years old, and the secretary-general is full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 29 The president, vice-president and secretary-general of the Association shall be recommended by the competent business unit, or recommended by more than one third of the members, approved by the competent business unit and elected by the Council of the Association.
Article 30 The term of office of the President, Vice-President and Secretary-General of this Association shall be four years, and the term of office shall not exceed two. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the registration and management authority of the association before taking office.
Article 31 The legal representative of this Association is the president. The legal representative will sign relevant important documents on behalf of the Association.
Due to special circumstances, it is necessary for the vice-president or the secretary-general to be the legal representative, which shall be reported to the competent business unit for examination and approval, and approved by the association registration authority.
The legal representative of this Association shall not concurrently serve as the legal representative of other units.
Article 32 The President of this Association shall exercise the following functions and powers:
(a) to convene and preside over the Council or the Standing Council;
(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council;
(three) to preside over the daily work of the office and organize the implementation of the annual work plan;
(4) Coordinating the work of offices, branches, representative offices and entities;
(five) to nominate the deputy secretary general and the principal responsible persons of various institutions and submit them to the Council or the Standing Council for decision;
(six) to decide on the employment of full-time staff in all offices, branches, representative offices and entities;
(seven) to handle other daily affairs of the association.
The vice president and secretary general of the association assist the president in his work.
chapter five
Thirty-third according to the needs of the work, the association may set up a number of offices to handle the daily work of the association. The establishment of the office shall be deliberated and decided by the Council or the Standing Council, reported to the competent business unit for review, and filed with the registration authority of the Association.
Thirty-fourth according to the needs of the work, the association can set up representative offices in major commodity producing areas, major ports and important foreign cities. The establishment of a representative office shall be deliberated and decided by the Council or the Standing Council, reported to the competent business unit for review, and approved by the association registration authority.
Article 35 According to the needs of work, this Association may set up import and export commodity branches (hereinafter referred to as branches). Only one branch is set up for similar goods. The establishment of a branch shall be deliberated and decided by the Council or the Standing Council, reported to the competent business unit for examination, and approved by the association registration authority.
Article 36 A branch is an integral part of this Association and has no legal person status. The branch carries out activities under the leadership of this association and accepts the supervision of this association.
Article 37 A branch shall be composed of members dealing in similar commodities. Members of this Association who deal in commodities within the coordination scope of the branch and support the branch management system can apply to become members of the branch.
Article 38 The management system and rules of procedure of a branch shall be formulated by the Council or the Standing Council of this Association.
The annual plan of the branch shall be submitted to the Council of the Association or the Standing Council for approval.
Chapter vi
Thirty-ninth sources of funds of the Association:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 40 The Association shall collect membership fees in accordance with the relevant provisions of the State and the methods adopted by the members' congresses.
Article 41 the funds of this association must be used for the business scope and career development stipulated in the articles of association.
Article 42 The financial management of this Association shall implement a strict budget and final accounts system. All income and expenditure should be included in the budget, unified accounting and unified management. The financial budget and final accounts shall be conducted on an annual basis, following the principle of "balance of payments and no deficit". The annual financial budget and final accounts must be approved by the board of directors. Among them, the budget of government-funded or government-sponsored or entrusted projects shall be reviewed and approved by the Council and reported to the competent business unit for approval and implementation.
Article 43 The annual financial budget and final accounts shall include the following contents:
(a) the budget and final accounts shall be prepared according to the source of funds;
(2) Making budgets and final accounts according to expenditure items, including business expenditure, official expenditure, special expenditure, expenditure on purchasing fixed assets, personnel expenditure, etc.
Article 44 The financial management of this Association must implement the financial management system stipulated by the state, establish and improve the internal control system and the division of responsibilities, and establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting materials.
Article 45 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accounting must carry out accounting and supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 46 The financial management of this Association shall be supervised by the general meeting of members, the board of directors and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 47 Before an association changes its term of office or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.
Article 48 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 49 The wages, welfare and social security of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VII
Article 50 Any amendment to the articles of association of this Association must be approved by the Council and submitted to the members' congress for deliberation.
Article 51 The revised draft articles of association shall be submitted to the competent business unit for examination within 15 days after being adopted by the members' congress, and shall take effect after being approved by the association registration authority.
Chapter VIII
Article 52 If the Association completes its purpose, dissolves or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a termination motion.
Article 53 The motion to terminate this Association must be voted by the members' congress and submitted to the competent business unit for examination and approval.
Article 54 Before the termination of this Association, a liquidation organization shall be established under the guidance of the competent business unit and relevant institutions to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 55 An association shall be terminated after its registration is cancelled by the association registration authority.
Article 56 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business unit and the registration administration organ of this Association in accordance with the relevant provisions of the state.
Chapter 9
Article 57 The Articles of Association was adopted by the general meeting of members on October 27th, 20 10.
Article 58 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 59 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
The Articles of Association was approved by the Ministry of Civil Affairs on April 29, 20 10.
