Article 1 The English name of China Management Modernization Research Association is China Management Modernization Society, or CSMM for short.
Article 2 China Management Modernization Research Association is a voluntary association composed of academic circles, government economic management departments and research institutions, business circles and other management workers, including those engaged in management science research, teaching, consulting, administrative leadership and enterprise management. It is a public welfare, academic legal person organization with the purpose of academic exchange, scientific popularization and practical experience summary and exchange of management science, and is an important social force for the development of management science in China.
Article 3 China Management Modernization Research Association shall abide by the articles of association, regulations and national policies; Abide by social morality; Implement the policy of "letting a hundred flowers blossom and a hundred schools of thought contend"; Adhere to the principle of democratic organization, carry forward academic democracy and carry out academic free discussion; Advocate dialectical materialism and historical materialism; Adhere to the scientific attitude of seeking truth from facts and the excellent style of study combined with reality; Carry forward the fashion of respecting knowledge and talents; Advocate the spirit of "dedication, innovation, truth-seeking and cooperation"; Unite the broad masses of management workers from all walks of life, including government, industry and education, and make contributions to the establishment of management science system in China and the improvement of management level in China.
Article 4 The competent department of China Management Modernization Research Association is China Association for Science and Technology; The competent authority for registration of associations is the Ministry of Civil Affairs; China Management Modernization Research Association accepts the professional guidance, supervision and management of China Association for Science and Technology and the Ministry of Civil Affairs; The headquarters office of the Association is located in the School of Management, Graduate School of China Academy of Sciences.

Chapter II Scope of Business
Article 6 The business scope of China Management Modernization Research Association is to carry out the following national business activities within the scope of management science:
1. Organize members to carry out academic research and exchanges, conduct field research on industries and enterprises, and prepare strategic and guiding research reports or monographs. Organize the publication of academic books and periodicals, activate academic thoughts and promote the healthy development of management science in China.
2. Organize members to investigate and study the major management problems of various undertakings in China, put forward solutions to the problems, make suggestions to relevant departments, and provide consulting services.
3. Organize members to carry out scientific popularization of management science knowledge, continuing education and special training on new frontier topics of management science. Edit and publish books and periodicals that popularize management knowledge, enhance people's scientific management awareness and improve the management level of various industries and departments in China.
4. Organize members to participate in projects entrusted by government departments, mass organizations, enterprises and institutions, carry out management consulting work, and provide demonstration, appraisal, review and other reports and related services for the project.
5. Organize members to carry out international academic exchanges and research cooperation activities in management science, and establish and develop exchanges and contacts with overseas management science mass organizations or management workers.
6. Safeguard the rights and interests of management scientists.

Article 7 The members of China Management Modernization Research Association are divided into individual members (including ordinary members and student members) and unit members.
Article 8 To apply to join the China Management Modernization Research Association as a unit member or individual member, the following conditions must be met:
1. Company members:
All provinces, autonomous regions, municipalities directly under the Central Government, cities under separate state planning, state departments and industries, working institutions, academic organizations and enterprises engaged in management science research can become unit members of this association if they support the articles of association of China Management Modernization Research Association, are willing to join China Management Modernization Research Association, fulfill the membership procedures and pay membership fees.
2. Individual members:
Management science experts, scholars and practical workers with intermediate titles (or equivalent level) or above, who support the articles of association of China Management Modernization Research Association, are willing to join China Management Science Modernization Research Association, fulfill membership procedures and pay membership fees, can become individual members of this Association. Among them, those with senior professional titles (or equivalent level) can become senior members of the association. Foreign management experts who have high academic achievements, are friendly to our country and are willing to keep in touch, exchange and cooperate with our Association may be accepted as foreign members. Doctoral students support the articles of association, have the will to join the association, fulfill the membership procedures, pay the membership fee, and become a student member of the association after reading the doctoral certificate. The longest student membership is five years. After five years, if there is no record of my application for withdrawal, automatic withdrawal or delisting, I will automatically become an ordinary member of the association.
Article 9 The procedures for joining the club are as follows:
1. Submit membership application;
2. Presented by two members of the Association;
3. The Organizing Committee of the Association authorizes the Standing Council of the Association to discuss and pass, and report to the Standing Council for approval;
4. The membership card shall be issued by the agency authorized by the Standing Council.
Members enjoy the following rights:
1. The right to vote, to be elected and to vote in this Association;
2. Participate in our activities;
3. Get the priority of our service;
4. Have the right to criticize, suggest and supervise the work of this Association;
5. Freedom of voluntary participation and withdrawal.
Article 11 Members shall perform the following obligations:
1. Implement the resolutions of this Council;
2. Safeguard the legitimate rights and interests of this Association;
3. Complete the work assigned by the Association;
4. Pay membership dues according to regulations;
5. Report to this Council or provide relevant information.
Article 12 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the association for one year, it will be deemed as automatic withdrawal.
Thirteenth members who seriously violate the articles of association, voted by the Standing Council, shall be removed.
Chapter III Creation and Dismissal of Organizational Structure and Person in Charge
Article 14 The highest authority of this Association is the members' congress. The functions and powers of the members' congress are:
1. Formulate and modify the Articles of Association;
2. Election and removal of directors;
3. To consider the work report and financial report of the Council;
4. Decide and propose a motion to terminate the association;
5. Decide on other important matters.
Fifteenth members' congress is held every five years. When it is necessary to convene a member representative meeting in advance or postponed due to special circumstances, it shall be voted by the Standing Council, reported to the competent business department for examination and approval, and approved by the registration administration organ of the Association. The time for postponing the convening of the members' congress shall not exceed one year at the longest.
Article 16 In principle, a member's congress can only be held when more than two thirds of the members' representatives are present. The resolution of the members' congress shall take effect only if it is passed by more than half of the members' representatives present.
Article 17 A director shall be a member who has made achievements in management or management science, is enthusiastic about studying and working, has a decent work style and is in good health. The director is recommended by the branch, local research society and relevant scientific research, teaching and management departments and elected through democratic procedures.
When a director is unable to serve as a director for any reason during his term of office, the original recommending unit may change its staff after consultation with the Association and report to the Council or the Standing Council for approval.
The Council is the executive body of the member congress, leading the association to carry out its daily work when the member congress is not in session, and being responsible to the member congress.
Article 18 In principle, the board of directors can only be convened when more than two thirds of the directors are present. The resolution of the board of directors shall take effect only if it is approved by more than two-thirds of the directors present.
Article 19 Duties of the Council:
1. Implement the resolutions of the members' congress;
2. Formulate the annual activity plan of the Association;
3. Elect the Standing Council;
4. Report the work and financial status to the members' congress;
5. Reward and commend members;
6. Decide to establish offices, branches, representative offices and entities;
7. Decide on the appointment of Deputy Secretaries-General and heads of agencies;
8. To lead the work of various agencies of this Council;
9. Formulate the internal management system of the Association;
10. Prepare for convening a general meeting of members and decide on other major issues;
1 1. Election and removal of the chairman, vice-chairman and secretary-general.
Article 20 The Council shall meet at least once a year. Under special circumstances, it can be convened by means of communication.
Article 21 The Association shall establish a standing council. The Standing Council is elected by the Council, and the number of executive directors shall not exceed 1/3 of the number of directors. When the Council is not in session, the Standing Council exercises the functions and powers of Item 0, 2, 5, 6, 7, 8, 9 and 10 of Article 19, and is responsible to the Council.
Article 22 The executive board shall be convened only when more than two thirds of the executive directors are present. The resolution of the Standing Council shall take effect only if it is voted by more than two-thirds of the standing directors present at the meeting.
Article 23 The Standing Council shall convene a meeting every six months, and it may also be convened by means of communication under special circumstances.
Article 24 The chairman, vice-chairman and secretary-general of this Association must meet the following conditions:
1. Adhere to the Party's line, principles and policies and have good political quality;
2. It has great influence in the field of management science;
3. Good health, able to work normally, and no more than 70 years old. The secretary-general is full-time;
4. Not deprived of political rights and having full capacity for civil conduct;
Twenty-fifth the chairman, vice-chairman and secretary-general of the association are over the maximum working age, and they can take up their posts only after they are approved by the Council, audited by the competent business unit and approved by the association registration authority.
Article 26 The term of office of the President, Vice-President and Secretary-General of this Association shall be five years, and the term of office shall not exceed two. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the members' congress, reported to the competent business department for review and reported to the registration and management authority of the association for approval before taking office.
Article 27 The chairman of this Association is the legal representative of this Association. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.
Article 28 The chairman or vice-chairman of this Association shall exercise the following duties:
1. The chairman is responsible for convening and presiding over the work of the Council and the Standing Council. When necessary, the chairman may entrust the executive vice-chairman or other vice-chairmen to lead the work;
2. Check the implementation of the resolutions of the General Assembly, the Council and the Standing Council;
3. The chairman is responsible for signing relevant important documents or entrusting the vice chairman to act as an agent;
4. Nominate candidates for vice-chairman and secretary-general, and report to relevant leading departments after democratic election by the Council;
5. To finally approve the appointment of the Deputy Secretary-General and the heads of major subordinate units.
Article 29 The Secretary-General of this Association shall exercise the following duties:
1. Assistant to the Chairman and Vice Chairman, whose main duties are to assist the Chairman and Vice Chairman in implementing the plans and resolutions of the Board of Directors or the Standing Committee, and to supervise the organization and implementation;
2. Coordinate the work of branches, representative offices and entities;
3. Negotiate with the chairman, vice chairman, deputy secretary-general and the principal responsible persons and candidates of offices, branches, representative offices and entities;
4. Negotiate the appointment of full-time staff with the heads of offices, representative offices and entities;
5. Handle other daily affairs.
Article 30 The Association shall have a financial supervisor who shall be responsible for guiding and supervising the financial work of the Association. The chief financial officer is elected by the general meeting of members.
Article 3 1 The Association shall have an honorary chairman, honorary directors and advisers. Honorary chairman, honorary director and consultant are all nominated by the chairman and passed by the members' congress.
Article 32 The Standing Council of the Association may set up working organizations and professional organizations to carry out various work and professional activities, including academic exchanges and cooperation, management consulting and services, scientific popularization and continuing education, work and annual meeting organization, international exchanges and cooperation, administrative management and policy, financial management and venture capital. Various professional committees, working committees and branches are responsible for organizing and coordinating various business activities.
Article 33 An association shall establish relevant economic entities to engage in social service activities in a certain field according to the needs of activities, business scope and market demand. The agency shall go through the relevant business procedures in accordance with the policies and regulations of the relevant departments of the State Administration for Industry and Commerce.
According to the provisions of Article 19, Article 21 and Article 4, the establishment of a branch of the Association shall be discussed and decided by the Council or the Standing Council, reported to the China Association for Science and Technology for approval, and applied to the Ministry of Civil Affairs, and can only be carried out after registration by the Ministry of Civil Affairs.
Chapter IV Principles of Asset Management and Use
Thirty-fourth sources of funds of the Association:
1. membership fee;
2. Donation;
3. government funding;
4. Funding for science and technology associations;
5. Income from activities or services provided within the approved business scope;
6. interest;
7. Other lawful income.
The funds of this association must proceed from the business scope and career development needs stipulated in the articles of association, and shall not engage in economic activities in non-management science fields, and the income shall not be distributed among members.
Article 35 This group collects membership fees in accordance with the relevant provisions of the state.
Article 36 An association shall establish a strict financial management system and equip accountants with professional qualifications to ensure the legality, truthfulness, accuracy and completeness of accounting information. Accounting personnel shall not concurrently serve as cashiers. Accounting personnel must carry out accounting and accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association. The asset management of this association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the inspection and supervision of the leading department and announce the relevant information to the public in an appropriate way. Before the legal representative is changed or replaced, he must accept the financial audit of the relevant leading departments.
Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter V Procedures for Amending the Articles of Association
Article 39 Any amendment to the articles of association of this Association must be approved by the Council and reported to the members' congress for deliberation. It will take effect within 15 days after it is reviewed and approved by the member representative assembly and reported to the association registration authority for the record.
Chapter VI Termination Procedure and Property Disposal
Article 40 When an association needs to be cancelled or dissolved by itself due to division or merger, the board of directors or the standing committee shall propose a termination motion, submit it to the members' congress for voting, report it to the competent business department for examination and approval, and report it to the association registration authority for cancellation of registration, which means termination.
Forty-first before the termination of this association, a liquidation organization shall be established under the supervision of the competent business department and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Forty-second this group shall terminate after the cancellation of registration by the association registration authority.
Article 43 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business departments and the registration and administration organs of associations in accordance with relevant state regulations.
Chapter VII Supplementary Provisions
Article 44 The articles of association of this Association shall come into effect on the date when it is voted by the fourth member congress of China Management Modernization Research Association and approved by China Association for Science and Technology and the association registration authority.
Article 45 According to the instructions of China Association for Science and Technology, China Management Modernization Research Association (to be established) and China Management Modernization Research Association will be merged, a new congress will be held, and a new leading body of China Management Modernization Research Association will be elected. The former leader of China Management Modernization Research Association, that is, the former leader was responsible for all the affairs of the research association before the new leader came into being, and the new leader took up his duties after the new congress was held.
Article 46 The right to interpret the Articles of Association belongs to the fourth Council.
Article 47 Matters not covered in the Articles of Association or supplementary amendments shall be decided by the next general meeting.
