1. The biggest responsibility to bear is criminal responsibility. The convener of the board of supervisors is usually called the chairman of the board of supervisors. In the course of performing their duties, supervisors who violate their loyal obligations to the company and cause huge losses to the company will constitute a crime.
2. Legal basis: Article 169th of the Criminal Law of People's Republic of China (PRC).
In the crime of breach of trust to damage the interests of listed companies, directors, supervisors and senior managers of listed companies violate their loyal obligations to the company and manipulate the listed companies by taking advantage of their positions, thus causing heavy losses to the interests of listed companies, they shall be sentenced to fixed-term imprisonment of not more than three years or criminal detention and shall also or only be fined; Whoever causes particularly heavy losses to the interests of listed companies shall be sentenced to fixed-term imprisonment of not less than three years but not more than seven years and shall also be fined.
Two. Appointment and removal of supervisors
1. Generation of supervisors: members of the board of supervisors are generally elected by the shareholders' meeting in the same way as directors. However, for the employees in the board of supervisors, many countries stipulate that they are elected by the employees of the company democratically or by the company's trade unions;
2. Term of office of supervisor: the term of office of supervisor is three years. Upon expiration of the term of office, a supervisor may be re-elected. The Board of Supervisors elects 1 convener from among its members;
3. Resignation and recall of supervisors: supervisors held by shareholders are elected or replaced by the shareholders' meeting, and supervisors held by employees are democratically elected or replaced by employees of the company, and supervisors can be re-elected if they are re-elected.
