1. Composition of name
Names generally consist of four parts in turn: administrative division+brand name+industry characteristics+organization form or brand name+(Beijing)+industry characteristics+organization form.
1. The administrative division in the enterprise name is the name or place name of the administrative division at or above the county level where the enterprise is located;
2. An enterprise as a legal person with the following conditions may put the administrative division in the name after the font size and before the organizational form:
① Use the font size in the name of the holding enterprise;
② a wholly foreign-owned enterprise that uses the name of a foreign-funded enterprise (region) may use the word "(China)" in the middle of its name.
II. Requirements for name verification by the State Administration for Industry and Commerce
1. Basic requirements for name approval
(1) Name of an enterprise without administrative divisions:
① approved by the State Council;
② registered by the State Administration for Industry and Commerce;
③ the registered capital (or registered capital) is not less than RMB 5 million;
④ it is otherwise stipulated by the state administration for industry and commerce.
(2) The following conditions shall be met if the national economy industry category terms are not used to describe the industries that enterprises are engaged in:
① The economic activities of enterprises belong to more than five categories of national economy industries respectively;
② The registered capital (or registered capital) of the enterprise is more than 1 million yuan or it is the parent company of an enterprise group;
③ The font size is different from that in the enterprise name approved or registered by the same administrative department for industry and commerce.
(3) If the name of the application is prefixed with the words "China", "China", "country", "national" and "international", a copy of the approval document of the State Council shall be submitted.
(4) A wholly foreign-owned enterprise or a foreign-invested enterprise controlled by a foreign party that uses the name of a foreign-funded enterprise (region) may use the word "(China)" in the middle of its name.
2. Specification for submission of materials
(1) Opinions on Approval of Enterprise Name Change (stamped with the seal of the enterprise registration authority);
(2) the certificate of designated representative or * * * with entrusted agent and a copy of the identity certificate of the designated representative or * * * with entrusted agent; The handling matters, authority and authorization period of the designated representative or the entrusted agent shall be indicated.
III. General requirements for company name verification
1. The name of an enterprise shall not contain the following words:
① It is harmful to the interests of the state and society;
② It may cause deception or misunderstanding to the public;
③ names of foreign countries (regions) and international organizations;
④ the names of political parties, party, government and military organs, mass organizations, social organizations and military titles;
⑤ foreign characters, Chinese phonetic alphabet and Arabic numerals;
⑥ prohibited by other laws and administrative regulations.
2. The name of an enterprise shall be in Chinese characters conforming to the national norms.
3. The name of an enterprise as a legal person shall not contain the names of other legal persons, unless otherwise stipulated by the State Administration for Industry and Commerce.
4. The enterprise name must not contain another enterprise name. The name of an enterprise branch shall be preceded by the name of the enterprise to which it belongs.
5. Only one enterprise name is allowed to be indicated on the enterprise business license.
6. An enterprise name shall not be approved in any of the following circumstances:
① It is the same as the name of an enterprise in the same industry approved or registered by the same administrative department for industry and commerce, unless it has an investment relationship;
② It is the same as the original name of other enterprises whose name has been changed for less than one year;
③ It is the same as the name of the enterprise whose registration has been cancelled or whose business license has been revoked for less than 3 years;
④ other violations of laws and administrative regulations.
7. If the enterprise name needs to be translated into a foreign language, it shall be translated and used by the enterprise on its own according to the principle of literal translation, and it is not necessary to report to the administrative department for industry and commerce for approval and registration.
