Legal basis: Article 47 of the Patent Law of People's Republic of China (PRC). During the validity period of the contract, the patents involved in the patent exploitation license contract are terminated due to the transferor's failure to pay the annual fee, and the original patent exploitation license contract is terminated at the same time. The transferor shall be liable for breach of contract, pay liquidated damages or compensate for losses. If the patent reexamination board or the people's court declares the patent right invalid or cancels the patent right according to law because the invention-creation does not meet the conditions for granting the patent right, the patent right shall, in principle, be regarded as nonexistent from the beginning. The patent right transfer contract or the patent right transfer contract concluded by both parties shall be treated differently. If the transferor has no subjective malice, resulting in the invalidation or revocation of his patent right, the patent transfer contract that has been performed or the patent transfer contract shall be terminated at the same time, but the patent use fee or patent transfer fee collected by the transferor shall not be returned retroactively. If the refusal to return the patent clearly violates the principle of fairness, the transferor shall return all or part of the patent use fee or patent transfer fee to the transferee. The assignor is subjectively malicious, so that its patent right is invalid or revoked. For example, when applying for a patent, the transferor knows that his invention-creation does not meet the conditions for granting a patent, and shall compensate the transferee for the economic losses caused thereby. Whether the patent licensing contract containing the transfer of technical secrets is completely terminated after it is revoked or declared invalid shall be handled in accordance with the contract.
