Articles of Association of China Council for the Promotion of International Trade
Chapter I General Principles
Article 1 The China Council for the Promotion of International Trade is referred to as the China Council for the Promotion of International Trade, or the China Council for the Promotion of International Trade in English.
Article 2 The China Council for the Promotion of International Trade is a national non-governmental foreign economic and trade organization composed of representatives from China's economic and trade circles, enterprises and organizations.
Article 3 The purpose of China Council for the Promotion of International Trade is to promote trade, investment and economic and technological cooperation between China and other countries and regions in the world, to enhance mutual understanding and friendship between the people of China and the people and economic and trade circles of other countries and regions, and to safeguard the legitimate rights and interests of China citizens and legal persons overseas.
Article 4 According to the authorization of the China Municipal Government, the China Council for the Promotion of International Trade undertakes relevant work and accepts the guidance of the government.
Article 5 China Council for the Promotion of International Trade is a legal person. Agreements, protocols and other documents to promote trade, investment and economic and technological cooperation can be signed with relevant organizations and institutions in various countries and regions and international organizations.
Article 6 The seat of the China Council for the Promotion of International Trade is located in Beijing.
Article 7 Local trade promotion agencies may be established at or above the county level within the administrative area of People's Republic of China (PRC), and relevant domestic industries may set up trade promotion agencies. China Council for the Promotion of International Trade guides and coordinates the work of local and industrial trade promotion agencies.
Chapter II Duties and Responsibilities
Article 8 The functions of China Council for the Promotion of International Trade are:
(1) Inviting and receiving people and delegations from foreign economic and trade circles to visit; Organize China economic and trade delegations to visit and study abroad, and carry out exchanges and cooperation with relevant international organizations, regional organizations, international trade promotion agencies and business associations; Participate in relevant international organizations and their activities; Organize, participate in or jointly hold international conferences on economy, trade, technical cooperation and law with foreign counterparts; Responsible for contacting foreign counterpart organizations and representative offices established by foreign chambers of commerce in China; Promote the establishment of Chinese-funded business associations abroad;
(two) to promote economic and trade exchanges between the mainland and Hong Kong, Macao Special Administrative Region, the mainland and Taiwan Province Province, and to provide services for the exchanges and cooperation between the mainland and Hong Kong, Macao Special Administrative Region and Taiwan Province Province;
(three) according to the authorization of the State Council, to approve and manage the economic and trade exhibitions held by various regions and units abroad; Participate in the activities of the International Exhibition Bureau on behalf of the country, and be responsible for the organization, coordination, supervision and management of China's participation in the International Exhibition Bureau and the World Expo; Hold China commodity fairs abroad and participate in international commodity fairs and exhibitions; Holding economic and trade exhibitions and expositions in China; To examine and approve foreign-related economic and technological exhibitions held in China by the China Council for the Promotion of International Trade;
(4) Collecting, collating, transmitting and publishing economic and trade information; To undertake the evaluation and feasibility study of Sino-foreign economic and technological cooperation projects; Contact and organize economic and trade negotiations and technical exchange activities; Provide training, economic and trade information, consultation and credit information services for relevant enterprises and institutions at home and abroad; Editing and publishing newspapers, periodicals, electronic publications and other publications;
(5) Providing services for enterprises in China; Reflect the relevant information and opinions of the business community to the relevant government departments; Study relevant issues in the field of economy and trade, and provide reference opinions for enterprises; Coordinate the business of the International Chamber of Commerce in China and the communication between the China National Committee of the International Chamber of Commerce and the International Chamber of Commerce;
(6) Providing legislative suggestions to the national legislature on behalf of the CCPIT and the business community, and participating in the formulation, revision and translation of international trade practices; Handling the business activities of international and domestic and foreign enterprises, providing legal advice, accepting business complaints and providing legal aid; Domestic commercial arbitration, maritime arbitration, domain name disputes and related mediation services, disputes are handled by arbitration, mediation and other dispute settlement methods; Cooperate with chambers of commerce, law firms and other legal service institutions in various countries to establish an international commercial legal service platform; Issue the certificate of origin and commercial certificate of the goods, issue the certificate of force majeure, and handle the consular authentication of foreign-related commercial documents; Accept general average adjustment and special average adjustment business; Carry out theoretical and practical research on foreign-related commercial law and dispute resolution, and organize foreign exchange activities of foreign-related commercial law; Conduct legal training for enterprises, and formulate and compile international business practices.
(7) Acting for China enterprises and individuals to apply for patents and registered trademarks in China at home and abroad or foreign enterprises and individuals, and providing legal services such as intellectual property consulting and dispute resolution; Carry out technical trade and other work; Provide legislative advice to the national legislature on the above business.
(8) Organizing, assisting or acting as an agent for China enterprises and individuals to protect their rights abroad, handling legal affairs and handling anti-monopoly and anti-dumping lawsuits involving China enterprises or individuals.
(nine) as the competent department of China International Chamber of Commerce and other national social organizations, in charge of their business work.
(ten) to handle other matters authorized or assigned by the State Council.
Chapter III National Committee
Article 9 The National Committee (hereinafter referred to as the "Plenary Session") is an advisory and deliberative body of the China Council for the Promotion of International Trade, and is composed of representatives of people, enterprises and organizations related to foreign economic relations and trade.
The duties of the tenth plenary session are:
(a) according to the national laws and the needs of enterprises in China, put forward suggestions and supervise the work of the China Council for the Promotion of International Trade;
(2) Hire invited consultants;
(three) to review and approve the work report of the president;
(four) to examine and approve the annual financial plan and final accounts;
(five) to decide on the establishment, alteration and cancellation of the working organization;
(six) to guide and coordinate the work of local and industry trade promotion agencies;
(seven) to formulate and amend the articles of association of China Council for the Promotion of International Trade;
(eight) to participate in the relevant activities of the China Council for the Promotion of International Trade.
Article 11 Formation of the Plenary Session
The plenary session is composed of representatives of people, enterprises and organizations that are representative in China's foreign economic and trade fields, and personnel can be elected from relevant government departments, business associations, social organizations and enterprises.
Chapter IV Organization
Article 12 The term of office of the plenary session is five years and it is held once a year. If the plenary session deems it necessary, an interim plenary session may be convened. The meeting is valid only if more than half of the members are present.
Article 13 As an advisory and deliberative body of the China Council for the Promotion of International Trade, the plenary session annually reviews the work of the China Council for the Promotion of International Trade, including its principles, policies, main tasks and plans.
Article 14 The President presides over the daily work of the China Council for the Promotion of International Trade, is responsible for convening plenary meetings, leading the daily affairs of the Council for the Promotion of International Trade internally, and signing agreements and relevant documents on behalf of the Council for the Promotion of International Trade externally. The vice president assists the president in his work. When the president is vacant or unable to perform his functions and powers for some reason, the vice president shall act as the president.
Chapter V Finance
Article 15 The China Council for the Promotion of International Trade is financially independent and owns its own property according to law. According to business needs, enterprises and institutions with independent economic accounting and legal personality can be established.
Article 16 The sources of funds for the China Council for the Promotion of International Trade are:
Government funding;
(2) service income;
(3) donation;
(4) others.
Article 17 The fiscal year of CCPIT is from 65438+ 10/to 65438+February 3 1.
Chapter VI Local and Industrial Trade Promotion Institutions
Article 18 Local and industry trade promotion organizations shall set up local committees, and their members shall be composed of local or industry representatives, enterprises, institutions and organizations.
Article 19 The purpose of local and industry trade promotion organizations is to carry out activities to promote trade, investment, economic and technological cooperation between the region and the industry and countries and regions around the world, and to enhance mutual understanding and friendship between the people of China and the people and economic and trade circles of countries and regions around the world.
Article 20 Local and industrial trade promotion institutions are independent legal persons, and can independently conduct business and sign agreements, protocols and other documents related to economic and trade promotion.
Twenty-first local and industrial trade promotion institutions have their own financial plans, and can purchase property in their own names and undertake relevant obligations. According to business needs, enterprises and institutions with independent economic accounting and legal personality can be established.
Twenty-second local and industrial trade promotion institutions may increase their membership.
Article 23 Members of local and industrial trade promotion organizations are divided into individual members, enterprise members and group members:
(1) Personnel related to foreign economic relations and trade may become individual members of local and industrial trade promotion organizations upon approval;
(2) Enterprises related to foreign economic relations and trade may become enterprise members of local and industrial trade promotion institutions upon application and approval;
(3) Organizations related to foreign economic relations and trade may become group members of local and industrial trade promotion organizations upon approval.
Article 24 Members of local and industrial trade promotion institutions shall enjoy the following rights:
(a) have the right to vote, to be elected and to be elected;
(two) to put forward suggestions and supervise the work of local and industrial trade promotion institutions;
(three) to participate in relevant activities of local and industry trade promotion institutions;
(four) give priority to the services provided by local and industry trade promotion agencies.
Twenty-fifth members of local and industrial trade promotion agencies have the following obligations:
(1) Abide by the articles of association of China Council for the Promotion of International Trade;
(two) to support and undertake the work entrusted by local and industry trade promotion agencies;
(3) Pay membership fees (individual members are free of membership fees).
Chapter VII Arbitration and Mediation Institutions
Article 26 The China International Economic and Trade Arbitration Commission shall be established within the China Council for the Promotion of International Trade to accept economic and trade arbitration cases.
Article 27 The China Council for the Promotion of International Trade has established the China Maritime Arbitration Commission to accept maritime arbitration cases.
Article 28 The China Council for the Promotion of International Trade shall set up a mediation center to accept civil and commercial and maritime mediation cases.
Chapter VIII Supplementary Provisions
Article 29 The China Council for the Promotion of International Trade may, if necessary, establish other institutions and set up representative offices abroad.
Article 30 The China Council for the Promotion of International Trade may award the title of "Honorary Consultant of the China Council for the Promotion of International Trade" to foreign economic and trade celebrities who have long been enthusiastic about promoting trade and economic and technological cooperation with China, and the president will issue certificates.
Article 31 The Articles of Association were discussed and adopted by the Fifth Committee Meeting of China Council for the Promotion of International Trade, and shall come into force on February 1 2065438.
