The supplier shall guarantee in writing that the equipment and technology provided will not infringe the patents of others.

Party B shall guarantee that all the equipment, technology and documents provided will not infringe on the intellectual property rights or proprietary technology or trade secrets of any other person, and Party B shall guarantee that Party A will not suffer any losses (not limited to compensation fees, legal fees and other related expenses) due to infringement claims filed by third parties. If the equipment, technology and documents provided by Party B cause any third party to lodge an infringement claim against Party A, Party B shall be responsible for negotiating with it and bear all the responsibilities arising therefrom.
