Articles of Association of Anhui Software Industry Association

Chapter I General Principles

Article 1 Anhui Software Industry Association (hereinafter referred to as "Association") is a local, industrial and non-profit social organization initiated by experts from many software industries (including integrated circuit industry) in our province and voluntarily formed by relevant enterprises, institutions and individuals in our province.

Article 2 The purpose of this Association is to strengthen cooperation, contacts and exchanges between enterprises, institutions and individuals in the software industry (including integrated circuit industry) in this province in line with the principles of observing the national constitution, laws, regulations and national policies, and observing social morality and fashion; Accelerate the informationization of national economy and society, the engineering of software development, the commercialization and integration of software products, the enterprise of software production and the collectivization of software enterprises; Open up domestic and foreign software markets and develop our province's software industry; Give play to the role of bridge and link between government, industry organizations and enterprise groups, promote the development of software industry, carry out various activities in the industry and serve members.

Article 3 The competent business department of this Association is the Information Industry Department of Anhui Province, and the competent registration authority is the Civil Affairs Department of Anhui Province. The association accepts the business guidance of the relevant competent business units and the supervision and management of the Anhui Provincial Civil Affairs Department.

Article 4 The Association's address is located at No.435 Tunxi Road, Hefei City, Anhui Province, the office building of the Provincial People's Congress 13, and the postcode is 230022.

Chapter II Scope of Business

Article 5 The business scope of this Association is:

(a) to publicize and implement the policies and regulations of government departments and reflect the wishes and requirements of members and industries to relevant government departments. Carry out industry surveys and put forward suggestions on medium and long-term development planning of the industry.

(two) to discuss and put forward reasonable suggestions for formulating technical and economic policies and regulations for the development of this industry, and actively publicize and implement relevant policies and regulations.

(3) formulate industry rules and regulations, restrain industry behavior, improve industry self-discipline, advocate fair competition, and safeguard industry interests.

(four) to assist government departments to organize the formulation and revision of industry-related standards and recommended standards, and to promote the implementation of standards.

(five) to organize the recommendation activities of excellent software products in this industry, and to diagnose, consult and guide the operation and management of enterprises; Collect and feedback the product quality information of the industry; Publicity and promotion of excellent software products. Advocate paid cooperation in software development and paid transfer of software products and achievements, attract venture capital, and promote the steady development of software enterprises and software products.

(six) to promote the popularization and application of new products and technologies and the commercialization of scientific and technological achievements, organize scientific and technological exchanges and experience exchanges, and promote technological progress in the industry.

(seven) to investigate and analyze the tax and product prices of software enterprises, and put forward opinions on tax and product price adjustment.

(eight) to organize technical exchanges in this industry.

(nine) to organize the collection and analysis of technical and economic information of the industry, to carry out the survey and statistics of software enterprises, market research and forecast, information exchange, to organize the compilation of economic and technical information of the industry, and to provide decision-making basis for the macro-control of relevant government departments.

(ten) to assist the relevant government departments to implement software intellectual property laws and regulations.

(eleven) summary and exchange of software industry reform, operation and management experience, commend outstanding enterprises, carry out management consulting, and promote management modernization.

(twelve) according to the needs of the development of the industry, the organization of industry personnel training, talent exchange, improve the quality of the industry team.

(thirteen) to carry out exchanges and cooperation with domestic and foreign counterparts, promote the export of software products, introduce foreign capital and technology, and promote our province's software products to enter the international software market.

(fourteen) to provide intellectual property consulting services for software products.

(fifteen) to complete other related work entrusted by the competent department of government business.

Chapter III Members

Article 6 Members of this Association are divided into unit members, individual members, group members and honorary members. Enterprises, institutions and individuals engaged in software research, development, production, application, sales service and system integration as well as information technology and software production in this province may apply to become unit members and individual members.

Municipal software industry associations can become group members after application, and software experts and celebrities who enthusiastically participate in the work of the association inside and outside the province can be recommended as honorary members.

Article 7 A member applying to join this Association must meet the following conditions:

(a) support the articles of association, willing to fulfill the obligations of membership;

(2) voluntarily joining the association;

(3) It has a certain impact on the software industry in our province.

Article 8 Membership procedures

(1) submitting an application for membership;

(2) Having been examined and approved by the Council of the Association;

(3) The Council authorizes the Organizing Committee to issue membership cards.

Article 9 Members shall enjoy the following rights

(a) Members have the right to vote, to be elected and to vote;

(two) to participate in the activities of this association;

(three) the priority of obtaining the service of this association;

(four) have the right to criticize, suggest and supervise the work of this association;

(5) Freedom to join and quit voluntarily.

Article 10 Members shall perform the following obligations

(a) to implement the resolutions of the association and abide by the articles of association and various rules and regulations;

(two) to safeguard the legitimate rights and interests of the association and the reputation of the association;

(three) to complete the work assigned by the association and actively participate in the activities organized by the association;

(four) to pay membership fees in accordance with the provisions;

(five) to reflect the situation to the association and provide relevant information.

Article 11 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of this association for one year, it will be deemed as automatic withdrawal.

Article 12 If a member seriously violates the Articles of Association, it shall be removed from the membership by voting of the Council or the Standing Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Thirteenth the highest authority of this association is the member congress, and its functions and powers are:

(a) to formulate and amend the articles of association;

(two) to determine the purpose and working principles of the association, and to formulate and modify the rules and regulations of the software industry;

(three) to elect and recall the directors of the association;

(four) to consider the work report and financial report of the Council;

(five) recommend honorary chairman, hire honorary members and consultants of the association;

(six) to be responsible for convening the members' congress or annual meeting;

(seven) to decide on other major issues.

Article 14 A member congress can only be held when more than two thirds of the members (or member representatives) are present, and its resolutions can only take effect when more than half of the members (or member representatives) present at the meeting pass.

Article 15 The term of office of a general meeting (or congress) is four years (the longest congress shall not exceed five years). Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. However, the term of office shall not be extended for more than one year.

Article 16 The Council is the executive body of the general meeting of members, leading the association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.

Article 17 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the chairman, vice chairman and secretary general;

(three) to prepare for the convening of the members' congress;

(four) to report the work and financial situation to the members' congress;

(five) to decide to absorb or recall members;

(6) Deciding to establish offices, branches, representative offices and entities;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) to lead the work of this association;

(nine) to formulate the internal management system of the association.

Article 18 The meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 19 The Council shall convene a meeting at least once a year, and it may also be convened by means of communication under special circumstances.

Article 20 The Association shall establish a standing council. The Standing Council is elected by the Council. When the Council is not in session, it shall exercise the functions and powers of Item 1, Item 3, Item 5, Item 6, Item 7, Item 8 and Item 9 of Article 17 and be responsible to the Council. Under special circumstances of urgent work, an enlarged meeting of the presidium may be held to study and decide on daily important and urgent matters. The chairman expanded the scope of the meeting: chairman, vice-chairman, secretary-general, deputy secretary-general and some executive directors.

Article 21 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Twenty-second meetings of the Standing Council shall be held at least once every six months, and may also be held in the form of communication under special circumstances.

Article 23 The chairman, vice-chairman and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the software industry;

(3) Being in good health and able to stick to normal work;

(4) Having not been subjected to criminal punishment of deprivation of political rights;

(5) Having full capacity for civil conduct;

(6) The maximum age of the chairman, vice-chairman and secretary-general shall not exceed 70, and the secretary-general shall be full-time.

Article 24 The term of office of the President, Vice-President and Secretary-General of this Association is four years (the longest term of office of the President, Vice-President and Secretary-General shall not exceed two terms). If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members of the general assembly, reported to the competent business unit for review, and approved by the registration and management agency of the association before taking office.

Article 25 The president of this Association is the legal representative of this Association. The legal representative of this Association shall not be the legal representative of other organizations.

Article 26 The chairman of this Association shall exercise the following functions and powers:

(a) to convene and preside over the Council (or the Standing Council);

(two) to check the implementation of the resolutions of the members' congress and the Council (or the Standing Council);

(3) Signing relevant important documents on behalf of the Association.

Article 27 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principals of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;

(four) to decide on the employment of full-time staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Article 28 sources of funds of the association

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 29 the association collects membership fees in accordance with relevant state regulations.

Article 30 The funds of this Association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.

Article 31 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data. ? Article 32 The Association shall be equipped with accountants with professional qualifications, and accountants shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 33 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Thirty-fourth before the association changes or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.

Article 35 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 36 The wage insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Thirty-seventh amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.

Article 38 The revised articles of association of this Association shall come into effect within 15 days after it is adopted by the members' congress, reviewed and agreed by the competent business unit, and reported to the registration authority of this Association for approval.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 39 If an association has completed its purpose or is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a resolution to terminate it. ?

Fortieth, the motion to terminate the association must be voted by the members' congress and reported to the competent business unit for approval.

Forty-first before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant parties to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 42 this association shall be terminated after the cancellation of registration by the association registration authority.

Article 43 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business unit and the registration authority of associations in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 44 The Articles of Association was adopted by the members' congress on March 23rd, 20001.

Article 45 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 46 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
