At the invitation of Party A, Party B appoints a lawyer to form a legal advisory group to provide legal services for the _ _ _ _ _ _ _ _ real estate project developed by Party A (hereinafter referred to as this project). Through consultation, both parties have reached the following agreement for mutual compliance:
I. Members of the Legal Advisory Panel and their term of office

Second, the legal advisory panel provides legal services.
The legal advisory panel provides the following legal services to Party A:
1. Draft and modify the early demolition contract of this project;
2. Participate in the bidding affairs of this project and review the bidding documents;
3. Review and modify the engineering design contract of this project;
4. Participate in the negotiation, drafting and revision of the project construction contract;
5. Review and modify the entrusted supervision contract of this project;
6. Participate in reviewing the qualifications of subcontractors of this project, and draft and modify subcontracts;
7. Review and modify the contract for Party A to purchase equipment and materials;
8. Assist Party A to control the project cost, and review the payment basis for the increase or decrease of quantities;
9. Assist Party A in handling disputes caused by project cost;
10. Participate in the project completion acceptance of Party A and assist Party A in determining the final project cost;
1 1. Entrusted by Party A, acting as an agent and participating in litigation, mediation and arbitration activities during the development of this project;
12. Acting as a notary in the development of this project and handling non-litigation legal affairs such as lawyer's witness;
13. Accept the entrustment of Party A to handle other special legal affairs of this project.
Three. Working methods of the Legal Advisory Group
1. Party A and Party B shall establish a contact system. If there are matters that need to be handled by the legal adviser, Party A shall fill in the matters that need to be handled by the legal adviser group in advance and notify the legal adviser to handle them at Party A's place; If the legal adviser is unable to go to Party A for some reason, Party B may temporarily entrust other lawyers to handle it for him.
2. In case of legal affairs that need legal counsel to handle, Party B shall assign a special person to work in Party A's office. Party A appoints _ _ _ _ _ _ _ _ as the contact person of the legal advisory group, and Party B appoints _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _ _.
Four. Working conditions provided by Party A for the legal advisory group
When the legal adviser works in Party A's office, Party A shall provide him with necessary office conditions.

1. According to the Interim Measures for the Administration of Lawyers' Service Fees (J.F. (1997) No.286) promulgated by the State Planning Commission and the Ministry of Justice, Party A shall pay Party B the legal service fee of RMB _ _ _ _ _ _ _ _ _.
2. When the legal counsel provides Party A with the services in Item 1- 10 of Article 2 of the Contract, there is no additional charge; When Party A entrusts Party B to handle Article 2, Item 1 1 of this contract, Party B will charge _ _ _ _ _ _% agency fee on the basis of the charging standard stipulated by the State Planning Commission and the Ministry of Justice.

The responsibility of both sides of intransitive verbs
1. The legal advisory panel shall be diligent and conscientious, safeguard the legitimate rights and interests of Party A, perform its duties within the scope authorized by Party A, and be responsible for the legality of the affairs handled. Where losses are caused to Party A due to the fault of legal counsel, Party B shall make compensation according to relevant regulations.
2. Party A shall truthfully explain the situation to the legal advisory panel and provide relevant materials. Party A shall bear the legal responsibilities arising from the firm handled by the legal adviser on behalf of Party A within the scope authorized by Party A. ..
Seven. Alteration, rescission and termination of the contract
1. Both parties shall abide by this contract, and neither party may change, dissolve or terminate this contract without the unanimous consent of both parties.
2. Under the following circumstances, Party A has the right to notify Party B in writing to dissolve this contract or request the replacement of legal counsel:
(1) The legal adviser fails to provide legal services as agreed in this contract and refuses to correct it after being pointed out by Party A;
(2) Losses caused to Party A due to the fault of legal counsel.
3. Under the following circumstances, Party B has the right to notify Party A in writing to terminate this contract:
(1) Party A intends to provide false information or fabricate facts to legal counsel;
(2) Party A fails to provide working conditions as agreed in this Contract;
(3) Party A fails to pay the lawyer's fees to Party B on time for a total of three months.
Eight. responsibility for breach of contract
If one party fails to perform this contract or fails to meet the agreed conditions, that is, it violates this contract, and shall compensate the other party for its losses and pay a penalty of RMB yuan.
Nine. Entry into force of contract
This contract shall come into effect as of the date of signature by both parties, and shall automatically become invalid at the end of this project. If the end time of this project exceeds the expected time, Party A and Party B shall negotiate separately and sign compensation clauses to extend the employment period.
X. Settlement of disputes
In case of any dispute during the performance of this contract, both parties shall settle it through consultation; If negotiation fails, either party has the right to bring a lawsuit to the court.
