Guangzhou Baiyun International Airport Group Co., Ltd. (hereinafter referred to as Airport Group) is a joint-stock company established by China International Airlines, China Civil Aviation Airport Construction Company, Guangzhou Baiyun International Airport Co., Ltd. and Guangzhou Communications Investment Company. The assets entering the joint-stock company include the operating net assets of 863,978,200 yuan assessed by the Airport Group and confirmed by the Ministry of Finance's document Caiqi [2000] 165, and the cash invested by China International Airlines, China Civil Aviation Airport Construction Corporation, Guangzhou Baiyun International Airport Co., Ltd. and Guangzhou Transportation Investment Co., Ltd. totaling 36 million yuan. Approved by the Ministry of Finance, Caiqi [2000] No.245, the above-mentioned net assets were converted into 600,000,000 shares at a rate of 66.67%, of which Airport Group held 576,000,000 shares, accounting for 96%, and China International Airlines, China Civil Aviation Airport Construction Corporation, Guangzhou Baiyun International Airport Co., Ltd. and Guangzhou Transportation Investment Co., Ltd. held 600 shares respectively. In April 2003, with the approval of China Securities Regulatory Commission, Jian Zheng Zheng Zi [2003] No.31,the company publicly issued 400,000 RMB ordinary shares (A shares), and the total share capital increased to/KLOC-0,000 shares. On February 25th, 2004, Guangzhou Baiyun International Airport Group Company, the controlling shareholder, was approved to be changed into Guangdong Airport Management Group Company, and the actual controller of the company was changed from Civil Aviation Administration of China to Guangdong Provincial People's Government. Guangzhou New Baiyun Airport was successfully handed over and officially opened to traffic on August 5, 2004. The company's main business was moved from the old Baiyun Airport to Guangzhou New Baiyun Airport. On June 5438+February, 2007, with the approval of China Securities Regulatory Commission Jian Zheng Fa Zi [2007] No.455, the company issued RMB ordinary shares150,000,000 shares, and the total share capital increased to1150,000,000 shares.
