Article 2 the nature of society
China Sculpture Society is a national first-class social organization approved by the Ministry of Civil Affairs, with independent legal personality. It is a high-level academic organization formed by national sculpture professional workers, sculpture professional units and groups through equal consultation in accordance with the principles of democracy and voluntariness.
Article 3 Purpose of the Association
China Sculpture Society firmly supports the leadership of China's * * * production party, adheres to the socialist direction, and consciously abides by and safeguards the national constitution and national laws, regulations, principles and policies; Adhere to the direction of "two ones" and the policy of "letting a hundred flowers blossom", carry forward the main theme, advocate diversity, and promote the construction of socialist spiritual civilization and harmonious society; Unite and organize national sculpture artists, prosper sculpture creation, promote academic research, promote foreign exchanges, and improve the artistic level of sculpture in China; Strive to vigorously develop socialist culture and art and realize the great rejuvenation of the Chinese nation.
Article 4 Directors of the Association
China Sculpture Society accepts the business guidance of the Ministry of Culture of People's Republic of China (PRC), the competent business unit, and the supervision and management of the Ministry of Civil Affairs of the People's Republic of China, the registration authority of the Association, and carries out various work according to law.
Article 5 Status of the Association

Chapter II Scope of Business
Article 6 Scope of business
The business scope of China Sculpture Society is:
(A) Sculpture creation
Organize and guide sculptors to engage in sculpture creation activities with major national themes, encourage and guide sculptors to explore and innovate in the field of sculpture, and support and participate in the planning and implementation of urban sculpture and public art projects.
theoretical research
Actively carry out research on the forward-looking development of traditional sculpture, modern sculpture and sculpture, pay attention to domestic sculpture hotspots and international sculpture trends, and regularly or irregularly carry out theoretical research activities with different themes and forms.
(3) Business training
Carry out various professional training and art promotion activities. Actively discover and cultivate sculpture talents.
(4) Professional exhibitions
Organize various academic exhibitions, promote works and create celebrities; Actively participate in internationally influential exhibitions and exchange activities to expand international prestige and academic influence.
(5) Book editing
Run the professional journals of the Institute well, and plan, organize and publish relevant professional works.

Chapter III Members
Article 7 Types of Members
Members of China Sculpture Society include individual members and unit members.
Article 8 Membership requirements
Individuals and units applying to join the China Sculpture Society must meet the following conditions:
(a) to support the constitution of China Sculpture Society.
(two) voluntarily join the China Sculpture Society.
(3) The sculpture works independently created by the applicant have participated in the national art exhibition for more than three times, or won the prize once, though less than three times.
(4) The publication of the applicant's works in national newspapers has great influence.
(5) The applicant's works are collected by national art institutions, which has great influence.
(6) The applicant's works have been well received in major international exhibitions and competitions.
(seven) engaged in the research of art history and art theory, with professional works and translations related to easel sculpture, urban sculpture and public art, and published many influential and high-level academic papers in national professional newspapers and periodicals.
(eight) engaged in sculpture education, sculpture management, Art editor for many years, with deputy senior titles or above.
(nine) engaged in architecture, landscape design, landscape design and other fields have made outstanding contributions and important influence on the cause of sculpture.
(10) Creation, design, teaching, management and production units or related institutions of sculpture art may apply to become members of this Association.
Except for Article (1) and Article (2), all the above clauses must have one of them.
Article 9 Membership procedures
Members must follow the following procedures to join the club:
(a) seriously and truthfully fill in and submit the application for membership.
(2) recommended by two members.
(3) The Council discussed and approved.
(4) A membership card shall be issued by the Council.
(5) The member of the unit shall submit an application for membership, which shall be reviewed and approved by the board of directors and issued to the unit membership card.
Article 10 Rights of Members
Members enjoy the following rights:
(a) The right to vote, to be elected and to vote.
(two) the right to use the membership of China Sculpture Society.
(3) Have the right to participate in all works exhibitions, academic research and art exchanges at home and abroad organized by the Association.
(four) the right to accept the artistic guidance and professional training of the association.
(five) the right to publish works and papers in the association's art publications.
(six) the right to consult the sculpture art industry.
(seven) the right to legal advice and the right to request assistance in the sculpture art industry.
(eight) have the right to criticize, suggest and supervise the work of this association.
(9) Freedom to join and quit voluntarily.
Article 1 1 Obligations of Members
Members shall perform the following obligations:
(a) To implement the resolutions of this Council;
(two) to safeguard the legitimate rights and interests of this association.
(three) to complete the relevant tasks assigned by the association.
(4) Pay membership dues according to regulations.
(five) reflect the relevant situation of the industry and provide relevant information to the bureau.
(6) Cooperate with the work of this Council to better serve the society.
Article 12 Members shall avoid the meeting.
Members must follow the following procedures when exiting the meeting:
(1) If a member needs to withdraw due to various circumstances, he must apply in writing and notify the Legislative Council.
(two) the Council will give a reply within the prescribed working days after the review.
(3) A member who fails to fulfill his obligations and responsibilities as a member, or fails to pay the membership fee as required, or does not participate in the activities of the association, shall be deemed to have withdrawn automatically.
(4) Members should return their membership cards immediately after leaving the meeting. If he/she does not do so, his/her membership card will be considered invalid and he/she will no longer enjoy any rights as a member.
Article 13 Illegal handling
(1) If a member violates the Articles of Association, it shall be voted by the board of directors and sent to informed criticism by letter or internal information.
(two) if the circumstances are serious, or the informed criticism has reached three times, it will be removed after voting by the Council.
(3) If the circumstances are particularly serious, it will be handed over to the relevant government departments and judicial organs for handling, and this Council reserves the right to hold the responsible person fully responsible.
Chapter IV Organizational Structure
Article 14 Power
The highest authority of the China Sculpture Society is the member congress, and its functions and powers are:
(a) to formulate and amend the articles of association of China Sculpture Society.
(2) Election and removal of directors.
(3) Review the work report and financial report of the Council.
(4) Deciding to terminate the China Sculpture Society.
(5) Deciding on other major matters.
Article 15 the exercise of power
Members' congresses can only be convened when more than two thirds of the members' representatives are present, and their resolutions can only take effect when more than half of the members' representatives present vote.
Article 16 Term of power
(1) Members' congresses are held every five years.
(two) due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the registration authority of the association. However, the term of office shall not be extended for more than one year.
Article 17 the executing agency
(a) The Council is the executive body of the general assembly. When the members' congress is not in session, the Council leads the association to carry out its daily work and is responsible to the members' congress.
(2) The Council shall have a standing Council, which shall be elected by the Council, and its members shall not exceed one third of the Council, and shall be the permanent organ of the Council. The Standing Council holds regular meetings to study the daily work of the Society and is responsible to the Council.
(3) When the Standing Council is not in session, the president, vice-president and secretary-general shall be responsible for the daily work on behalf of the Standing Council, adhere to the principle of democratic centralism, practice collective leadership, increase the transparency of work, and be responsible to the members' congress.
The 18th administrative organ
(1) The functions and powers of the Council are:

(2) The functions and powers of the Standing Council are to exercise the functions and powers of items 1, 3, 5, 6, 7, 8, 9 and 10 of the Council's functions and powers when the Council is not in session.
Article 19 Implementation
(1) The board of directors shall be attended by more than two thirds of the directors. The resolution of the board of directors shall come into effect after being voted by more than two-thirds of the directors present at the meeting.
(two) the Standing Council shall be convened only when more than two thirds of the executive directors are present. The resolution of the Standing Council shall take effect after being voted by more than 2/3 of the standing directors present at the meeting.

(4) The Secretary-General shall be a full-time person.
(5) Be in good health and be able to work normally.
(6) Having not been subjected to criminal punishment of deprivation of political rights.
(7) Having full capacity for civil conduct. If the president, vice-president and secretary-general of the association are over the maximum working age, they must be approved by the Council, reported to the competent business unit for examination and approval, and then they can take up their posts.
Article 22 Term of office
(1) The term of office of the President, Vice-President and Secretary-General of this Association shall be five years, and the longest term shall not exceed two terms.
(1) If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the registration authority of the Association before continuing to serve.
Article 23 A legal person
(1) The president of the Association shall be the legal representative of the Association after being examined by the competent business unit of the Association and approved by the registration authority of the association.
(2) The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.
Article 24 the functions and powers of the president
The President of the Association shall exercise the following powers:
(a) to convene and preside over the Council (or the Standing Council).
(two) to check the implementation of the resolutions of the members' congress and the Council (or the Standing Council);
(3) Signing relevant important documents on behalf of this Council.
(four) have the right to make decisions on major issues of the association under special circumstances, but it must be confirmed by the members' congress or the Council afterwards.
Article 25 Functions and powers of the Secretary-General
The Secretary-General of the Association shall exercise the following powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan.
(2) Coordinating the work of branches, representative offices and entities.
(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision.
(four) to decide on the employment of full-time staff in offices, branches, representative offices and entities.
(5) Handle other daily affairs.
Chapter V Asset Management
Article 26 Sources of funds
The sources of funds of the Association are as follows:
(1) Membership fees of individual members and unit members.
(two) sponsorship and donations from individuals and groups from all walks of life at home and abroad and relevant parties.
(3) Return income from carrying out foreign activities and social services within the approved business scope.
(4) Interest on all funds of the bank.
(5) Other lawful income.
Article 27 Use of membership dues
(1) The Association collects membership fees in accordance with relevant state regulations.
(2) Membership dues shall be used for business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 28 Asset management
(a) the asset management of this association must implement the financial management system stipulated by the state and accept the generation of members.
The supervisory assembly and the financial department shall report the relevant financial revenues and expenditures to the Council or the Standing Council before the end of each year.
(two) the source of assets belongs to the state grants or social donations, funding, must accept the supervision of audit institutions, and the relevant information to the public in an appropriate way.
(three) the assets of the association, any unit or individual shall not use any excuse or means to occupy or privately divide.

Article 29 Financial system
(a) strictly abide by the financial rules and regulations promulgated by the state.
(two) to formulate the financial management system of the association and strictly abide by it.

(four) accept the supervision of members and relevant units.
Article 30 Financial audit
Before the association changes its term of office or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.
Article 31 Financial personnel
(1) The Association is equipped with accountants with professional qualifications to be responsible for daily financial work.
(2) An accountant shall not concurrently serve as a cashier.
(3) Accountants must conduct accounting and exercise accounting supervision.
(four) when the accounting personnel transfer their jobs or leave their posts, they must go through the handover procedures with the recipients.
Article 32 Wages and benefits
The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Supplementary Provisions
Article 33 Revision of Articles of Association
(1) The amendment of the articles of association of this Association shall be approved by the Council and submitted to the members' congress for deliberation.
(2) The revised articles of association of this Association shall come into effect within 15 days after being adopted by the members' congress, reviewed and agreed by the competent business unit, and reported to the registration authority of this Association for approval.
Article 34 Termination procedures and financial treatment after termination
(1) If the Association has completed its purpose or dissolved itself due to division or merger or needs to be revoked, the Council and the Standing Council shall propose a termination motion.
(2) The motion to terminate the Association shall be voted by the members' congress and reported to the competent business unit for approval.
(three) before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and the relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
(4) The association is terminated after the cancellation of registration by the association registration authority.
The remaining property after the termination of the association shall be used for the development of undertakings related to the purpose of the association under the supervision of the competent business unit and the association registration authority in accordance with the relevant provisions of the state.
Article 35 Remarks of Articles of Association
(1) The Articles of Association was voted by the second general meeting of shareholders on February 6, 2006.
(2) The right to interpret the Articles of Association belongs to the Council of the Association.
(3) The Articles of Association shall come into effect as of the date of approval by the association registration authority.
