It is a cross-departmental and cross-ownership non-profit industrial social group legal person voluntarily formed by enterprises in the same industry and other economic organizations in the construction engineering testing industry of this Municipality, and implements industry service and self-discipline management.

Article 4

Chapter II Tasks, Scope of Business and Principles of Activities
Article 6
Our mission is:
(a) according to the needs of members, organize market expansion, release market information, promote industry services or products, carry out industry training and provide consulting services.
(two) to formulate industry rules and regulations, put forward suggestions to the relevant government departments to formulate relevant technical standards or participate in the formulation of relevant technical standards.
(3) Coordinating disputes arising from industry business activities among members, between members and non-members, and between members and customers, coordinating related business matters between industry associations and other industry associations or other organizations, participating in collective consultation on behalf of the industry, and putting forward opinions and suggestions involving industry interests.
(four) on behalf of the relevant enterprises or other economic organizations in the industry, apply to the relevant government departments for anti-dumping investigation, countervailing investigation or safeguard measures, assist the relevant government departments to complete relevant investigations, and participate in anti-dumping litigation activities.
(five) on behalf of the industry to reflect matters involving the interests of the industry to the relevant state organs, and put forward opinions and suggestions on economic policies and legislation.
(6) Members who violate the articles of association or industry rules and damage the overall image of the industry shall take corresponding industry self-discipline measures in accordance with the provisions of the articles of association, and may inform relevant government departments of the relevant industry self-discipline measures. Suggest and assist relevant government departments to investigate and deal with enterprises or other economic organizations that operate illegally in the industry.
(seven) to participate in the relevant industry development, industry reform and government decision-making demonstration involving the interests of the industry, put forward economic policies and legislative suggestions, and participate in relevant hearings held by the government.
(8) Accepting the transfer or entrustment of the functions of relevant government departments, and carrying out the work of industry evaluation and demonstration, industry appraisal, skill qualification examination and certification, pre-qualification for industry access, industry statistical investigation, publishing industry information, public trust certificates, price coordination, etc.
(nine) to collect and provide domestic and foreign construction engineering testing information, research and popularize advanced testing technology and management methods, develop and popularize testing instruments, equipment and software, and select and recommend excellent papers and technical achievements in construction engineering testing.
(ten) to accept the entrustment of relevant institutions and organize the arbitration and testing of construction projects.
(eleven) to participate in the detection and identification of new structures, new technologies and new products in construction projects.

Article 7
The business scope of the Association is: industry evaluation and demonstration, technical training, skill qualification examination, information service, scientific research and development promotion, industry research, editing and publishing, exhibition investment promotion, product promotion, intermediary consulting service, information technology exchange at home and abroad, industry appraisal, inter-laboratory comparison, etc.
Article 8
The principles of our activities:
(1) The Association shall carry out activities in accordance with the approved articles of association, abide by relevant laws, regulations, rules and policies, and abide by social ethics;
(two) the activities of this association are honest and trustworthy, fair and just, and do not resort to deceit, which harms the interests of the state, other units and individuals;
(3) The Association will not engage in business activities in its name. To carry out activities in the name of business units, not to compete with enterprises in the industry;
(4) In carrying out activities, the Association should follow the principles of democratic centralism and self-organization, and be self-employed, self-employed and self-responsible.
Chapter III Members
Article 9
Members of this association are unit members. To apply for membership, they must meet the following conditions:
(1) Enterprises in the same industry and other economic organizations;
(2) Recognition of the articles of association;
(3) To join this Association voluntarily.
Article 10
The membership procedure is:
(1) submitting an application for membership;
(2) The Council of this Association authorizes the Secretariat to examine and approve and send it to membership certificate.
Article 11
Members enjoy the following rights:
(a) The right to vote, to be elected and to vote;
(two) to participate in relevant activities organized by the association;
(three) the priority and preferential right to obtain the services of this association;
(four) have the right to criticize, suggest and supervise the work of this association;
(5) Freedom to join and quit voluntarily.
Article 12
Members shall perform the following obligations:
(1) Abide by the articles of association of this Association, implement the resolutions of this Association, abide by the rules and regulations, and safeguard the interests of the industry;
(two) to complete the work entrusted by the association, support and participate in various activities of the association;
(3) Paying membership fees according to regulations;
(four) take the initiative to reflect the situation to the bureau and provide relevant information, materials and statements in a timely manner.
Article 13
A member who withdraws from the meeting shall submit a written letter to the Association.
If a member fails to pay the membership fee or participate in the activities of the association for no reason within one year, it will be regarded as automatic withdrawal.
Article 14
If a member seriously violates the national laws and regulations or the articles of association and rules, he/she shall be removed from the list and publicized with the consent of more than two thirds of the participants of the Council.
Chapter IV Organizational Structure
Article 15
The highest authority of this association is the member congress. The functions and powers of the members' congress are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(4) Deciding to terminate.
(5) Deciding on other major matters.
Article 16
Members' Congress is held once a year. Members' congresses can only be convened when more than two thirds of the members' representatives are present, and their resolutions can only take effect when more than two thirds of the members' representatives are present to vote.
Article 17
Members' congresses are held every five years. If it is necessary to advance or postpone the general election due to special circumstances, it must be voted by the Council, reported to the Shanghai Urban and Rural Construction and Transportation Committee for review, and approved by the Municipal Association Administration. However, the term of office shall not be extended for more than one year.
Article 18
The Association has a Council, which is the executive body of the Congress. It leads the Association to carry out its daily work when the Congress is not in session and is responsible to the Congress.
Each director has a term of five years and can be re-elected. If a director changes or leaves his post due to work reasons during his term of office, his qualification as a director shall be terminated. The unit where the director belongs shall report to another candidate in writing and take over as a director with the consent of the Standing Council. The increase or decrease of directors shall be discussed and decided by the board of directors and approved by the next general meeting of members.
Article 19
The functions and powers of the Council are:
(a) to implement the resolutions of the members' congress;
(2) Electing and dismissing the chairman, vice-chairman and executive director;
(3) Convening a member's congress and reporting the work and financial situation to the member's congress;
(4) To decide on the recall of members;
(5) Deciding to establish branches, representative offices and entity institutions;
(six) to decide on the appointment and removal of the principal responsible persons of branches, representative offices and units;
(seven) according to the nomination of the chairman, decide the appointment and removal of the Secretary General;
(eight) according to the nomination of the Secretary General, to decide the appointment and removal of the Deputy Secretary General;
(nine) to lead the work of various institutions;
(ten) to formulate internal management system;
(eleven) to formulate the membership fee standard;
(twelve) to decide on other major issues.
Article 20
The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.
The Council shall meet at least once a year; Special circumstances can be held at any time.
Article 21
The Association shall establish a standing council, which shall be elected by the council.
When the Council is not in session, it shall exercise the functions and powers specified in Items 1, 4, 5, 6, 9, 10 and 11 of Article 19 and be responsible to the Council.
The increase of executive directors must be approved by the board of directors. Under special circumstances, the Standing Council may hold a by-election, but the executive director of the by-election shall be ratified by the next Council. The executive director of the by-election shall be produced among the directors.
Article 22
The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only when more than two thirds of the executive directors are present.
The Permanent Council shall meet at least once every six months; Special circumstances can be held at any time.
Article 23
The chairman and vice-chairman of this Association must meet the following conditions:
(a) has a greater impact in the industry;
(2) The maximum working age is no more than 65 years old;
(3) Being in good health and able to stick to normal work;
(4) Having not been subjected to criminal punishment of deprivation of political rights;
(5) Having full capacity for civil conduct.
Article 24
The term of office of the President and Vice-President of the Association is five years. The chairman shall not be re-elected for more than two terms. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for examination and approval, and approved by the Municipal Association Administration before taking office.
Article 25
The chairman of this association is the legal representative.
The legal representative of the association has no current public office in state organs and has good personal credit.
The legal representative of this Association shall not concurrently serve as the legal representative of other social organizations.
Article 26
The President of the Association shall exercise the following powers:
(1) Convening and presiding over the Council;
(two) to check the implementation of the resolutions of the members' congress and the Council;
(3) Signing relevant important documents on behalf of the Association.
Article 27
If a member of the Association who holds the post of director or above fails to perform his duties within one year and fails to attend relevant meetings without any reason, it can be regarded as voluntary resignation.
Article 28
The secretariat of the Association is the daily office of the Council. The Secretary-General shall preside over the day-to-day work of the Secretariat, and his qualifications shall refer to Article 23. The staff of the Secretariat shall be full-time, and the personnel distribution system and social security system shall be implemented in accordance with the relevant provisions of this Municipality.
Article 29
The Secretary General of the Association shall exercise the following functions and powers:
(a) to preside over the daily work of the Secretariat and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the heads of branches, representative offices and entities and submitting them to the Council for decision;
(four) to decide on the appointment and dismissal of full-time staff of offices, representative offices and entities;
(5) Handle other daily affairs.
Chapter V Principles of Asset Management and Use
Article 30
Sources of funds for the Association:
(1) membership fees;
(2) donation;
(three) to undertake the funding entrusted by government departments;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 31
The funds of this association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.
Article 32
The Association has established a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.
Article 33
The association is equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 34
The asset management of this Association strictly implements the financial management system stipulated by the state, and accepts the supervision of the members' congress and the financial department. Where the source of assets belongs to state grants or social donations or subsidies, it shall be subject to the supervision of audit institutions and the relevant information shall be announced to the public in an appropriate way.
No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 35
Before the association changes its legal representative, it shall engage a professional audit firm to conduct an audit and issue an audit report.
Chapter VI Procedures for Amending the Articles of Association
Article 36
Amendments to the articles of association of this Association shall be submitted to the members' congress for voting after deliberation by the Council.
Article 37
The revised articles of association shall be reviewed and approved by the members' congress, and shall be submitted to the Shanghai Urban and Rural Construction and Transportation Committee for approval within 30 days from the date of review and approval, and shall take effect after being submitted to the Municipal Association Administration for approval.
Chapter VII Termination Procedure and Disposal of Property after Cancellation
Article 38
If it is necessary to cancel due to the completion of the purpose stipulated in the articles of association, dissolution or division or merger, the board of directors shall propose a termination motion.
Article 39
The termination proposal must be voted by the member congress and submitted to the Shanghai Urban and Rural Construction and Transportation Committee for approval.
Article 40
Before the termination of this association, a liquidation working group shall be established under the guidance of the competent business unit and relevant departments to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 41
The association is terminated after the cancellation of registration by the Municipal Association Administration.
Article 42
The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business unit and the Municipal Association Administration in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 43
The Articles of Association was adopted by voting at the first meeting of the third session on April 26th, 20th/KLOC-0.
Article 44
The right to interpret the Articles of Association belongs to the Council of the Association.
Article 45
The Articles of Association shall come into effect as of the date of approval by the Municipal Association Administration.
