Articles of Association of Renewable Energy Industry in China

Chapter I General Provisions

Article 1 Full name of the Association: China Renewable Energy Industry Association;

English name: China Renewable Energy Industry Association;

Abbreviation: CREIA.

Article 2 Nature of the Association: The Association is a non-profit social organization registered by institutions and experts in the field of renewable energy in China according to law, which is self-financing, voluntary membership, self-management and self-service.

Article 3 Purpose of the Association: Adhering to the purpose of "integrating high-quality resources of the industry and promoting the healthy development of the industry", the Association provides Industry-University-Research, investment and financing, industrial chain construction and other services for members, safeguards the legitimate rights and interests of members, ensures fair competition in the industry, and communicates with the government and society.

The association strictly abides by the national constitution, renewable energy law, economic contract law and relevant laws, regulations and policies, and guides enterprises to operate according to law.

Article 4 The registration number of this Association is: 51544510-001-12-09-4.

Chapter II Scope of Business

Article 6 The business scope of this Association includes:

(a) to strengthen information services, collect domestic and foreign economic and technical data of the industry, run the website of China Renewable Energy Industry Association, edit and publish China Renewable Energy magazine, and provide information consultation and other services for members;

(two) to strengthen the construction of industrial chain, research development strategy, analysis of market information, research management countermeasures and product development direction. According to the needs of members, organize market expansion, release market information and promote industry products or services;

(three) to strengthen cooperation services in Industry-University-Research, organize technical consultation, technical training and technical services; To carry out activities such as observation, evaluation and exchange of advanced technology, advanced equipment and product quality; Introduce advanced and applicable technologies and equipment to members, and support members to carry out business or technical cooperation;

(4) Strengthening coordination services to coordinate disputes arising from business activities among members, between members and non-members, and between members and customers;

(5) Strengthen investigation and study, perform relevant functions entrusted by the government, accept the entrustment of the government, do a good job in relevant work, participate in relevant industry development, industry reform, government decision-making argumentation related to industry interests, participate in industry technology, economic policy formulation and other related activities, reflect the demands of enterprises through investigation and study, and strive for relevant policy support;

(six) to strengthen the study of laws and regulations, and participate in anti-dumping, countervailing and unfair competition activities on behalf of relevant enterprises in the industry according to laws and regulations.

Chapter III Members

Article 7 Association members are composed of unit members and individual members.

Article 8 A member applying to join this Association must meet the following requirements:

Unit member: Anyone who acknowledges and is willing to abide by the articles of association of the Association and is willing to fulfill the obligations of membership can apply for membership.

Individual member: All experts, professors, R&D personnel and managers engaged in renewable energy research, development, production, operation and management can apply for membership.

Article 9 Membership procedures:

(a) unit members, submit the application for membership to the secretariat of the association, and submit a copy of the business license and qualification certificate, and fill in the membership registration form;

(two) individual members, apply for membership to the secretariat of the association, and submit a copy of ID card, a copy of academic certificate or a copy of technical title certificate, and fill in the membership registration form;

(3) After discussion and approval by the Council, the membership was formally approved;

(4) Bronze medals and certificates are issued by the secretariat of the Association for unit members, and membership cards are issued by the secretariat of the Association for individual members;

Article 10 Members shall enjoy the following rights:

(1) Having the right to vote and stand for election;

(two) have the right to discuss, suggest and criticize the work of the association, have the right to supervise and have the right to vote on major decisions of the association;

(3) Give priority to obtaining technical and commercial information materials, periodicals and other technical materials (including national policies, standards and norms) published and exchanged by the Association, and participate in various activities organized by the Association, such as forums, expositions and seminars;

(four) give priority to the application for technical consultation, technical service and technical training put forward by members;

(five) members of the association who have mastered some advanced technologies or equipment may give priority to exporting technical equipment and undertake technical consultation and technical services as needed;

(six) the right to join the club voluntarily and freely;

Article 11 Members shall perform the following obligations

(a) the product quality of the member units must meet the national standards;

(two) to recognize and abide by the articles of association, implement the resolutions of the association, and consciously safeguard the legitimate rights and interests and social reputation of the association;

(three) care and support the work of the association, often recommend publications to the association, and provide manuscripts on development strategy, technology research and development, operation and management, market information and industry trends;

(four) actively undertake the work entrusted by the association and report on the implementation of the work;

(five) actively participate in exhibitions, development forums, seminars, new products and technologies promotion meetings, industrial chain construction supply and demand matchmaking meetings, academic exchanges and other related activities organized by the association;

(six) to pay the membership fee to the association on time.

Article 12 Members must notify the Association in writing and return the bronze medal and membership card. Published by the association on its website and internal magazines.

Article 13 If a member seriously violates the Articles of Association, he shall be dismissed by the board of directors.

Chapter IV Procedures for the Formation and Dismissal of Organizational Structure and Person in Charge

Article 14 The highest authority of the Association is the members' congress, and its functions and powers are:

(a) to formulate and amend the articles of association;

(two) to elect and recall the directors of the association;

(three) to consider the work report and financial report of the Council;

(four) to decide on the termination of the association;

(five) to discuss and decide on major issues of the Association.

Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the representatives present vote.

Article 16 Members' congresses are held every three years. If it is necessary to advance or postpone the general election due to special circumstances, it must be voted by the Council.

Article 17 The Council is the executive body of the general meeting of members, leading the association to carry out its daily work during the intersessional period and being responsible for the general meeting of members. The director is elected by the general assembly for a term of three years.

The association has one chairman, 3-5 honorary chairmen, 5-7 executive vice-chairmen, several vice-chairmen, several executive directors and several directors.

The Council has a secretariat, which is responsible for the daily work of the Association, with one secretary-general, 2-3 deputy secretaries-general and several deputy secretaries-general.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the president, vice president and secretary general, and to hire honorary presidents, consultants and experts;

(three) according to the nomination of the Secretary General, to decide on the deputy secretary general and the principal responsible persons of various institutions;

(four) to prepare for the convening of the members' congress;

(five) to report the work and financial situation to the members' congress;

(six) to decide to absorb or recall members;

(7) Deciding to establish offices, branches, representative offices and entities;

(eight) to lead the institutions of the Association to carry out their work;

(nine) to formulate the internal management system of the association;

(ten) to consider the motion submitted to the members' congress;

(eleven) to decide on other major issues.

Article 19 The board of directors shall be convened only when more than 65,438+0/2 directors are present, and its resolutions shall take effect only when more than 65,438+0/2 directors are present.

Article 20 The Council shall meet at least once a year; Under special circumstances, an exchange meeting can also be held.

Article 21 The chairman, vice-chairman and secretary-general of the Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the Association;

(3) The maximum age of the chairman, vice-chairman and secretary-general is generally no more than 70 years old, and the secretary-general of the association is full-time;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 22 The chairman, vice-chairman and secretary-general of the Association shall not take up their posts until they are over the maximum working age (70 years old).

Article 23 The Association shall have a chairman, who shall be the legal representative of the Association. Up to two consecutive terms.

Article 24 The chairman shall exercise the following functions and powers:

(1) Convening and presiding over the Council;

(two) to check the implementation of the resolutions of the members' congress and the Council;

(3) Signing relevant important documents on behalf of the Association.

Article 25 The Secretary General of the Association shall exercise the following functions and powers:

(a) to preside over the daily work of the secretariat of the Association and organize the implementation of the annual work plan;

(two) to nominate the deputy secretary general and the principal responsible person of the association's office, and submit them to the Council for decision;

(three) to decide on the employment of full-time staff of the Association Secretariat;

(4) Handle other daily affairs.

Article 26 Organizational structure

Article 27 The Council consists of an advisory committee, an expert committee and a standardization committee, which can be continuously adjusted according to the development of the industry.

Twenty-eighth professional committees under the wind energy, photovoltaic, solar energy, biomass energy professional committees, engaged in related professional work in this industry.

Chapter V Principles of Asset Management and Use

Twenty-ninth sources of funds of the Association:

(1) Membership dues paid by members;

(2) Organizing annual meetings, forums, seminars, exhibitions, consultation, training, technical lectures, promotion meetings and project docking services;

(3) Service fees for undertaking matters entrusted by relevant government departments;

(4) donation;

(5) government funding;

(6) Interest and other lawful income.

Article 30 The fund income of the Association shall be mainly used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 31 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 32 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 33 The asset management of the association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Article 34 No unit or individual may occupy, privately divide or misappropriate the assets of the Association.

Article 35 The wages, insurance and welfare benefits of the full-time staff of the Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Amendment of Articles of Association, Procedures for Termination and Disposal of Property after Termination

Article 36 Any amendment to the Articles of Association must be approved by the board of directors and submitted to the shareholders' meeting for deliberation.

Article 37 If an association has fulfilled its purpose or is dissolved or needs to be revoked due to division or merger, the Council shall propose a termination motion. The motion to terminate the association must be voted by the member congress.

Thirty-eighth before the termination of the association, a liquidation organization shall be established to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Chapter VII Supplementary Provisions

Article 39 The Articles of Association shall be adopted by the general meeting of members. The final interpretation right of the Articles of Association belongs to the Council of the Association.
