Constitution of Shanghai Landscape Architecture Society

Chapter I General Principles

Article 1 The name of this Association is Shanghai Landscape Architecture Society.

Article 2 The Shanghai Landscape Architecture Society (hereinafter referred to as the Society) is a citywide, academic and non-profit social organization composed of landscape workers and organizations voluntarily, and it is an important social force for the development of landscape architecture in our city.

Article 3 Purpose of the Association: unite garden workers, abide by the national constitution, laws, regulations and policies, and abide by social morality; Carry out the policy of "letting a hundred flowers blossom and a hundred schools of thought contend", adhere to the scientific attitude of seeking truth from facts and keeping pace with the times and excellent style of study, carry forward academic democracy, activate academic thoughts and promote the development of disciplines; Carry forward the fashion of respecting knowledge and talents, advocate the spirit of "dedication, innovation, truth-seeking and cooperation", adhere to people-oriented, adhere to democratic organization, and serve the vast number of landscape workers; Implement the strategy of rejuvenating the country through science and education, sustainable development and strengthening the country through talents, promote the prosperity and development of garden construction in our city, promote the growth of garden research and design talents, and make contributions to the harmonious coexistence between man and nature and China's socialist modernization.

Article 4 This Association accepts the business guidance, supervision and management of Shanghai Science and Technology Association (hereinafter referred to as Shanghai Association for Science and Technology) and Shanghai Association for Science and Technology Administration. The association is affiliated to Shanghai Planning Bureau, Shanghai Labor and Social Security Bureau and Shanghai Personnel Bureau.

Chapter II Business Scope and Main Tasks

Article 5 The business scope of this Association

Our business scope: landscape planning and design, supervision, drawing examination, bidding management, exhibition, publication, training, consultation and award.

Article 6 The main tasks of this Association

(1) Organizing academic exchanges, investigations and field visits of landscape science at home and abroad, and providing consulting services and technical information support for formulating landscape development strategies, principles, policies and planning plans;

(two) to carry out non-governmental international landscape academic exchanges, organize international landscape design and related products exhibitions, exhibitions and academic exchanges, publicize and promote advanced landscape design and products at home and abroad, find and determine joint venture and cooperation partners of domestic and foreign users, and provide intermediary services;

(three) to open up and dredge the channels for the use of international garden research and design funds, and to provide information consulting services for Sino-foreign cooperative garden construction projects in China;

(four) landscape research and design and related engineering management consulting services, organize landscape research, formulate relevant standards and design achievements of the landscape industry, and promote the transformation of scientific and technological achievements into productive forces;

(five) to organize and plan large-scale public welfare and mass publicity and education activities that are conducive to the landscape construction in China and the global landscape construction;

(six) to carry out continuing education and vocational training, popularize the knowledge of landscape science, and improve the overall quality of landscape workers;

(seven) committed to domestic and foreign landscape research, design and construction units, the transmission of scientific research and industrial information, provide a convenient e-commerce platform, break through the time and geographical constraints, timely capture new business opportunities.

Chapter III Members of the Association

Article 7 Associations are divided into individual members and unit members, and individual members are divided into ordinary members, senior members and senior members.

Article 8 Ordinary members. Anyone who supports the articles of association, has a certain professional level in landscape architecture and related fields, and meets the following conditions can apply to become an ordinary member of the association.

(a) scientific and technical personnel holding the qualification certificate of landscape architect;

(2) Persons who have a college degree or technical secondary school degree in garden-related disciplines and are engaged in the study and research of garden disciplines;

(three) managers who enthusiastically support the work of the society and those who have been engaged in the work of the society for a long time.

People who want to join the club must meet the above conditions and become ordinary members of the club after their own application, introduction by individual members of the club or recommendation by members of the club office and unit, and approval by the club board.

Article 9 Rights and obligations of ordinary members.

Rights:

The right to vote, to be elected and to vote;

(two) to participate in the activities of the association, to publish papers in the association books and periodicals, and to enjoy the services of the association;

(three) have the right to criticize, suggest and supervise the work of this association;

(four) to participate in continuing education of vocational skills;

(5) Freedom to quit the meeting.

Obligation:

(a) To implement the resolutions of this Council;

(two) to safeguard the legitimate rights and interests of the association;

(three) to complete the work assigned by the association;

(four) to pay membership fees in accordance with the provisions;

(5) Report the situation to this Council and provide relevant information.

Article 10 Senior members. All ordinary members of the Association, who have the titles of professors, researchers and senior engineers at the corresponding level, or garden workers at or above the corresponding level, can become senior members of the Association upon their own application, recommendation by two directors of the Association or members of offices and units, and approval by the Council of the Association.

Article 11 Rights and obligations of senior members. In addition to the rights and obligations of ordinary members, senior members also enjoy the following rights and obligations:

(a) give priority to participate in major academic activities organized by the association, be employed by the association to make academic reports, and participate in continuing education or training;

(two) give priority to participate in the investigation, demonstration, consultation, evaluation and appraisal organized by this association;

(3) Representing the Association in international non-governmental academic organizations and participating in international non-governmental academic exchanges and cooperation;

(four) to undertake other tasks entrusted by member associations or offices and units.

Article 12 Senior members. Experts and scholars who have served as senior members of the association for more than three years, have a certain reputation and influence in the field of landscape research and design at home and abroad, and have made outstanding contributions to landscape construction or the development of the association, can become senior members of the association upon their own application, recommendation by two directors of the association or members of the association's offices and units, and approval by the association's board of directors.

Article 13 Rights and obligations of senior members. In addition to the rights and obligations of senior members, senior members also enjoy the following rights: they can enjoy senior membership for life without violating the articles of association.

Article 14 Personal membership card. Personal membership cards are uniformly printed by the association, and the number of personal membership cards is the number of individual members.

Fifteenth unit members. Anyone who has a certain number of landscape architecture researchers (generally above 10), academic groups in landscape architecture and related fields who support the articles of association and are willing to participate in the activities of the association, as well as enterprises, institutions and private non-enterprise units can apply to the association and become members of the association after being approved by the Council of the association, and the association will issue unit membership cards.

Article 16 Rights and obligations of unit members:

(a) to take the initiative to carry out or participate in various activities within the business scope stipulated in the articles of association of the association;

(two) to participate in and support the international and domestic academic and popular science activities organized by the association, and give priority to the use of academic materials provided by the association;

(three) give priority to the scientific and technological consulting projects entrusted by the association and participate in the continuing education and training organized by the association;

(four) to implement the resolutions of this Council, safeguard the rights and interests of this Council, and complete the tasks entrusted by this Council;

(five) to pay the membership fee according to the regulations.

Seventeenth individual members and unit members who withdraw from the meeting shall submit a written report to the association. After the approval of the Council, its membership will be cancelled, and its personal membership card or unit membership card must be returned when it leaves the meeting. Individuals and groups who quit the club are not allowed to apply for membership again within three years. If an individual member fails to pay the membership fee or participate in the activities of the association for one year without justifiable reasons, it can be regarded as automatic withdrawal after being prompted to be invalid.

Article 18 If a member seriously violates the Articles of Association, his membership shall be cancelled after discussion and decision by the Council of the Association. If a crime is constituted, criminal responsibility shall be investigated according to law.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 19 The highest authority of this Association is the members' congress, and its functions and powers are:

(a) to formulate and amend the articles of association;

(2) Electing the Council, and electing or dismissing the chairman, vice-chairman, secretary-general and directors of the Council;

(three) to consider the work report and financial report of the Council;

(4) To decide on the termination of this Association;

(5) Deciding on other major matters.

Article 20. Members' congresses are held once every five years. If it is necessary to hold them in advance or postponed due to special circumstances, it must be voted by the Council, reported to the Shanghai Association for Science and Technology for deliberation, and approved by the Association Administration. The longest period of change in advance or delay shall not exceed one year.

Article 21 The Council is the executive body of the general assembly, leading the work of the Council and being responsible to the general assembly when it is not in session. The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to report the work and financial situation to the members' congress;

(3) The offices and entities that decide to establish the association;

(four) to coordinate the work of offices, entities and member units;

(five) decided to appoint the principal responsible persons of offices and units;

(six) to formulate internal management system and supervise the implementation;

(7) Deciding to admit and cancel members;

(8) Reward and commendation activities.

Article 22 The Council shall convene a meeting at least once a year, and it may be convened at any time under special circumstances.

Twenty-third chairman, vice chairman and secretary general must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the Association;

(3) The maximum working age of the chairman and vice-chairman (upon expiration) shall not exceed 65 years in principle, and the working age of the secretary-general (upon expiration) shall not exceed 65 years in principle, and the secretary-general shall be full-time;

(4) Being in good health and able to stick to normal work;

(five) enthusiastic study and work, fair and democratic style;

(6) Having not been subjected to criminal punishment of deprivation of political rights;

(7) Having full capacity for civil conduct.

Article 24 The term of office of the chairman, vice-chairman and secretary-general of this Association is five years, and they may be re-elected.

Article 25 The chairman shall exercise the following functions and powers:

(1) Convening and presiding over the Council;

(two) to check the implementation of the resolutions of the members' congress and the Council.

Article 26 The Secretary-General shall exercise the following functions and powers:

(a) as the legal representative of the association;

(two) to preside over the daily work of the office, organize the implementation of the annual work plan, and sign relevant important documents on behalf of the association;

(three) to prepare for the members' congress;

(four) to nominate the deputy secretary general and the principal responsible persons of various offices and units, and submit them to the Council for examination and approval;

(five) to decide on the employment of full-time staff of organs and units;

(6) Handling other daily affairs.

Twenty-seventh the outgoing chairman of the association or comrades who have made outstanding contributions to the cause of landscape architecture may be employed as the honorary chairman of the association for life upon nomination by the board of directors and approval by the members' congress.

Famous experts and scholars who have served as directors for two times or made significant contributions to the cause of landscape architecture may be employed as honorary directors or honorary directors for life upon nomination by the Council and approval by the members' congress.

Chapter V Principles of Asset Management and Use

Twenty-eighth sources of funds of the Association:

(1) membership fees;

(2) donation;

(3) funds;

(4) Subsidies from the government and relevant parties;

(5) Income from activities or services provided within the approved business scope;

(6) interest;

(7) Other lawful income.

Article 29 The Association shall collect membership fees from its members in accordance with relevant state regulations.

Article 30 The funds of this Association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.

Article 31 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information. Our association is equipped with accountants with professional qualifications. When accounting personnel transfer their jobs or leave their posts, they must go through the handover procedures.

Article 32 The asset management of this Association shall implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and affiliated units. Assets allocated by the state or donated or funded by the society must be supervised by audit institutions, and relevant information shall be announced to the public in an appropriate way.

Article 33 Before changing its legal representative, the Association must accept the financial audit of Shanghai Science and Technology Association and relevant departments.

Article 34 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 35 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Thirty-sixth amendments to the articles of association of this association shall be approved by the Council and reported to the members' congress for deliberation.

Article 37 The revised articles of association shall come into effect after being approved by Shanghai Association for Science and Technology within 15 days after being adopted by the members' congress, and shall be submitted to Shanghai Association Administration for approval.

Chapter VII Termination Procedure and Property Disposal

Article 38 If the Association completes its purpose or disbands itself or needs to be cancelled due to division or merger, the Council shall propose a termination motion, which shall be passed by two-thirds of the members' representatives and submitted to the Shanghai Association for Science and Technology for examination and approval.

Article 39 Before the termination of this Association, under the guidance of Shanghai Science and Technology Association and the management department of the Association, a liquidation organization was established to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. After the cancellation of registration by Shanghai Association Administration, the Association will be terminated.

Article 40 After the termination of the association, under the supervision of Shanghai Science and Technology Association and Shanghai Association Administration, according to the relevant provisions of the state, the remaining property will be used to develop undertakings related to the purpose of the association.

Chapter VIII Supplementary Provisions

Article 41 The Articles of Association shall be adopted by voting at the first general meeting of the first session of the Association.

Article 42 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 43 The Articles of Association shall come into force as of the date of approval.
