Articles of Association of China International Economic Exchange Center

Chapter I General Principles

Article 1 Name of this group: China International Economic Exchange Center, English name: China Center for International Economic Exchange, English abbreviation: CCIEE, hereinafter referred to as National Economic Center.

Article 2 The National Economic Center is a national, academic and non-profit social organization voluntarily formed by units and individuals committed to international economic research and exchange.

Article 3 The National Economic Center aims at serving national development, promoting people's well-being and promoting exchanges and cooperation, adheres to Socialism with Chinese characteristics's theoretical system and the concept of "innovation, realism, wisdom and compatibility", actively conducts research on major theoretical issues, strategic issues, hot issues and overall issues at home and abroad, strives to build a high-level and internationally influential new think tank with China characteristics, gathers social intellectual resources, and provides intellectual support and consulting services for national, local and enterprise decision-making.

The State Economic Center abides by the Constitution, laws, policies, regulations and social ethics of People's Republic of China (PRC).

Article 4 The State Economic Center accepts the business guidance, supervision and management of the competent business unit, the National Development and Reform Commission, and the Ministry of Civil Affairs, the organization registration authority.

Article 5 The domicile of the national economic center: Beijing.

Chapter II Scope of Business

Article 6 The business scope of the National Economic Center:

(1) Study on strategic issues. According to the needs of national development, carry out forward-looking, strategic and overall research on national interests and security, and provide evaluation and strategic planning, decision-making schemes and policy design suggestions for the external environment of the country.

(2) Research on economic problems. Mainly includes: international and domestic economic, trade, finance, investment and other fields of research; National macroeconomic policies, industrial development, structural adjustment, system reform and other fields; Economic trends, major hot and difficult issues at home and abroad

Continuous research.

(3) Economic exchanges and cooperation. Cooperate with foreign governments, enterprises, research institutions, universities, social groups and international organizations; Communicate around major social and economic issues, bilateral and multilateral cooperation, international public policies and global governance; Organize think tanks at home and abroad to hold forums, seminars and other activities; Provide channels and platforms for domestic and foreign research institutions, enterprises and governments to carry out economic cooperation and exchange information, achievements and experiences.

(4) Policy consulting services. To provide analysis reports and suggestions for the government to formulate economic and social development plans and study and formulate economic policies; Formulate regional development plans for local governments and provide intellectual support for industry organizations to formulate industry development plans; Provide information, policies, regulations and other consulting services for enterprise strategic planning, business decision-making, domestic and foreign investment and restructuring, technological innovation and market development.

Chapter III Members

Article 7 The members of the National Economic Center are composed of unit members and individual members. Members of the unit include research institutions, enterprises, institutions of higher learning, trade associations, academic groups, etc. Individual members include experts, scholars, entrepreneurs and celebrities from all walks of life.

Article 8 The unit members and individual members who apply to join the National Economic Center must meet the following conditions:

(1) Supporting the articles of association of the National Economic Center;

(2) Willingness to join the national economic center;

(3) Willing to participate in activities organized by the State Economic Center.

Article 9 Membership procedures:

(1) submitting an application for membership;

(two) discussed and adopted by the Council or the Standing Council;

(3) A membership card shall be issued by the Council.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in relevant activities organized by the State Economic Center;

(3) Give priority to the services of the national economic center, including:

1, and enjoy the information provided by the State Economic Center;

2. Participate in seminars, training and other research and exchange activities organized by the National Economic Center;

3. Enjoy all kinds of research results, research reports and consulting services provided by the National Economic Center.

(four) to put forward suggestions and supervision on the work of the National Economic Center;

(5) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations:

(1) Abide by the articles of association of the National Economic Center;

(2) Implementing the resolutions of the National Economic Center;

(three) to safeguard the legitimate rights and interests of the national economic center;

(four) to provide support for the business activities of the National Economic Center;

(five) to pay membership fees in accordance with the provisions;

(6) Exchange information with the National Economic Center.

Article 12 A member who withdraws from the meeting shall notify the State Economic Center in writing and return his membership card.

Thirteenth members seriously violate the articles of association, the Council or the Standing Council shall vote to cancel their membership.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of the national economic center is the general meeting of members. The functions and powers of the General Assembly are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(four) to formulate and revise the membership fee standards;

(5) Deciding to terminate.

(six) to decide on other major issues.

Article 15 A general meeting of members shall be held only when more than two thirds of the members are present, and its resolutions shall take effect only when more than half of the members are present.

Article 16 The general meeting of members shall be held every five years.

Article 17 The Council is the executive body of the general assembly, leading the work of the state-owned economic center when the general assembly is not in session, and being responsible to the general assembly.

The term of office of the Council is five years. If it is necessary to advance or postpone the general election due to special circumstances, it must be voted by the Council, reported to the competent business unit for review, and approved by the community registration authority. The longest extension shall not exceed 1 year.

Article 18 The functions and powers of the Council are:

(a) Implementing the resolutions of the General Assembly;

(two) to elect and recall the chairman, vice chairman, secretary general and executive director;

(3) Preparing for convening a general meeting of members;

(4) Drafting and amending the draft articles of association;

(five) to report the work and financial situation to the general assembly;

(six) to decide to absorb and recall members;

(seven) to decide on the establishment, cancellation and change of offices, branches, representative offices and entities;

(eight) to decide on the establishment and selection of honorary posts; (nine) to lead the work of this group; (ten) to formulate internal management system;

(eleven) to decide on other major issues.

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 20 The Council shall meet at least once a year. When the chairman considers it necessary or 1/3 directors jointly propose, a board meeting may be convened. Special circumstances can be held in the form of communication.

Article 2 1 The State Economic Center shall set up a standing council. The Standing Council is elected by the Council, and its number shall not exceed 65,438+0/2 of the number of directors. When the Council is not in session, the Standing Council exercises the functions and powers of Article 18, items 1, 3, 4, 6, 7, 9, 10, and is responsible to the Council. According to the needs, the executive director may be invited to undertake important tasks such as research and communication in the national economic center.

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Twenty-third meetings of the Standing Council shall be held at least once every six months. Under special circumstances, it can be held by communication.

Article 24 The National Economic Center shall have a director 1 person, several deputy directors and a secretary-general 1 person. According to needs, there may be/kloc-0 honorary directors, several consultants and specially invited deputy directors.

Article 25 The director, deputy director and secretary general of the National Economic Center shall meet the following requirements:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the national economic center;

(3) Enthusiastic participation in the construction of new think tanks;

(four) the maximum age is generally not more than 70 years old;

(5) Be healthy and competent for the leadership of the national economic center.

Article 26 The term of office of the chairman, vice-chairman and secretary-general of the National Economic Center is five years, and the term of office may not exceed two consecutive terms. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the members of the general assembly, reported to the competent business unit for review, and approved by the registration authority of the association before taking office.

Article 27 The National Economic Center shall have a board of directors. The chairman's meeting consists of the chairman, vice-chairmen and the secretary-general The chairman's meeting is decided by the chairman. When the Standing Council is not in session, the Chairman shall exercise the functions and powers as mentioned in Items 1, 3, 6, 9 and 10 of Article 18 and be responsible to the Council.

Article 28 The director of the National Economic Center shall exercise the following powers:

(1) Nominate a vice chairman as the legal representative of the State Economic Center, and the legal representative of the State Economic Center shall not concurrently serve as the legal representative of other organizations upon the approval of the board of directors;

(2) To preside over (or entrust the vice president) the convening of the Council and the Standing Council;

(3) Presiding (or entrusting the vice chairman) to convene a meeting of the board of directors to study and decide on important matters;

(four) to check the implementation of the resolutions of the general assembly, the Council and the Standing Council.

Article 29 The State-owned Economic Center shall, under the leadership of the Council, set up the Executive Committee of the Council. The executive director shall be nominated by the chairman and decided by the chairman's meeting. Entrusted by the chairman's meeting, the executive board of the Council presides over the daily work of the state-owned economic center, and is responsible for implementing the resolutions of the chairman's meeting and completing all the tasks assigned by the chairman. The Secretary-General of the Council assists the Director of the Executive Board of the Council.

Chapter V Principles of Asset Management and Use

Article 30 Sources of funds for the National Economic Center:

(1) membership fees;

(2) donation;

(3) Services purchased by the government;

(four) income from activities and services within the approved business scope;

(5) Other lawful income.

Article 31 The State Economic Center collects membership fees in accordance with relevant state regulations.

Article 32 The State Economic Center shall set up a special fund-China International Economic Research Exchange Fund, and a fund management institution to be responsible for raising, managing and supervising the research exchange fund of the State Economic Center. The National Economic Center should provide special services according to the needs of donors. The functions and powers of the management organization shall be stipulated separately.

Article 33 The funds of the State Economic Center must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 34 The State Economic Center shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 35 State-owned economic centers shall be equipped with accountants with professional qualifications, and accountants shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 36 The asset management of the State Economic Center must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to national and social assistance or donation, it must accept the supervision of audit institutions and publicize the relevant information to the public in an appropriate way.

Article 37 Before the State Economic and Trade Center changes its legal representative, it must accept the financial audit organized by the audit institution recognized by the registration authority of the association and the competent business unit.

Article 38 No unit or individual may occupy, privately divide or misappropriate the assets of the national economic center.

Article 39 The wages, insurance and welfare benefits of the full-time staff of the National Economic Center shall be implemented with reference to the relevant provisions of the state.

Chapter VI Procedures for Amending the Articles of Association

Fortieth amendments to the articles of association of the state-owned economic center shall be approved by the Council and submitted to the general meeting of members for deliberation.

Article 41 The revised articles of association of China Economic and Trade Center shall be submitted to the competent business unit for review within 15 days after being adopted by the general meeting of members, and shall come into effect after being approved by the association registration authority.

Chapter VII Termination Procedure and Property Disposal after Termination

Forty-second state-owned economic center to complete its purpose or due to division or merger, or need to be dissolved, the Council or the Standing Council proposed a termination motion.

Article 43 The proposal to terminate the National Economic Center shall be approved by the general meeting of members and submitted to the competent business unit for examination and approval.

Forty-fourth before the termination of the National Economic Center, a liquidation organization must be established under the guidance of the competent business unit and the relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 45 The National Economic Center shall be terminated after the cancellation of registration by the association registration authority.

Forty-sixth after the termination of the National Economic Center, the remaining property, under the supervision of the competent business unit and the association registration authority, shall be used to develop undertakings related to the purpose of the group in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 47 The Articles of Association was adopted by the shareholders' meeting on June 8, 2004.

Article 48 The right to interpret the Articles of Association belongs to the Council of the State Economic Center.

Article 49 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
