Article 1 The name of this group is: Botanical Society of China, English name: Botanical Society of China, abbreviated as BSC.
Article 2 This group is an academic (academic, joint, professional and industrial) national non-profit social group composed of national plant science and technology workers (personnel or units must be indicated), and its activity area is.
Article 3 The purpose of this group: adhere to the basic line of Deng Xiaoping Theory and the Party, fully implement Scientific Outlook on Development, adhere to the idea that science and technology are the primary productive forces, unite and organize botanists, implement the strategy of rejuvenating the country through science and education and sustainable development, promote the popularization, prosperity and development of botany science and technology, promote the growth and improvement of botany talents, serve China's socialist modernization, build a socialist harmonious society, safeguard the legitimate rights and interests of botanists, and serve members and botanists. Abide by the national constitution, laws, regulations and national policies, and abide by socialist morality. Carry out the basic policy of national scientific and technological work and carry forward the spirit of "respecting knowledge and talents" and "being dedicated, innovative, realistic and cooperative". Adhere to the principle of democratic organization and the working principle of "letting a hundred flowers blossom and a hundred schools of thought contend".
Article 4 The organization accepts the business guidance, supervision and management of the registration authority of the Ministry of Civil Affairs of the People's Republic of China and the China Association for Science and Technology, the competent business unit.
Article 5 The domicile of this group is Beijing.
Chapter II Scope of Business
Article 6 The business scope of the Group: (It must be specific)
(a) actively carry out academic exchanges in plant science, focusing on organizing academic discussions and scientific investigations in scientific research and teaching, and promoting scientific development and independent innovation;
(2) Organizing the editing, publishing and distribution of academic books and periodicals on plant science in accordance with regulations;
(three) carry forward the scientific spirit, popularize botanical scientific knowledge, spread scientific ideas and methods, popularize advanced plant science and technology, provide technical advice and technical services to the society, and carry out popular science education activities for young people;
(4) Organizing botany scientific and technical personnel to participate in the scientific decision-making of national plant science and technology policies and development strategies, and conducting scientific demonstration and scientific consultation on major decisions of plant science and technology in national economic construction;
(five) to discover and recommend talents, and to commend and encourage members and scientific and technological workers who have made outstanding achievements in plant science and technology activities with the approval of relevant government departments; Carry forward the social fashion of "respecting knowledge and talents";
(six) often reflect the opinions and legitimate voices of plant science and technology workers to the relevant departments, and safeguard the legitimate rights and interests of scientific and technological workers;
(seven) actively carry out international academic exchanges in botany and strengthen friendly ties with foreign botanical academic groups and botanists;
(eight) to hold various training courses, workshops or refresher courses, disseminate botanical knowledge and advanced technology, and strive to improve the academic level of members;
(nine) to organize various business activities for botanists.
Chapter III Members
Article 7 Type of members of this group: individual members. Members of this group are divided into ordinary members, senior members and honorary members.
All foreign experts and scholars who have high academic achievements, are friendly to China and are willing to exchange and cooperate with this group can be admitted as foreign members after being discussed and approved by the Council or the Standing Council of this group and reported to the competent business unit for the record. Foreign members have priority in obtaining academic publications and related materials published by the Group, and can be invited to attend academic conferences organized by the Group in China and obtain other related services.
The following articles in the Articles of Association do not include foreign members.
Article 8 A member applying to join this group must meet the following conditions:
(1) Supporting the articles of association of this group;
(two) have the will to join this group;
(three) has a certain influence in the business (industry, discipline) of this group;
(four) ordinary members must have intermediate titles or above, or scientific research, teaching and management workers who have obtained master's degrees or above in related disciplines;
(five) senior members (in addition to the above conditions, must also meet the following conditions)
1. Persons with senior technical titles or doctoral degrees;
2. Those with intermediate technical titles and outstanding achievements (referring to awards at or above the provincial level and major scientific research achievements, etc.). );
3. Directors of this group and members of all branches;
4. Directors of Botanical Societies of provinces, autonomous regions and municipalities directly under the Central Government (referred to as local societies);
5. Enthusiastic, actively support the work of the Society, and engage in middle-level organization and management workers in related disciplines.
(6) Academician of China Academy of Sciences and Academician of China Academy of Engineering who are engaged in botany and related fields; Above 70 years old, who has made great contributions to the development of plant science and technology and the work of China Botanical Research Institute, and has served as the director or director of this group's professional committee, can be awarded the title of honorary member.
Article 9 The procedures for joining the club are as follows:
(1) submitting an application for membership;
(2) discussed and adopted by the Council;
(three) membership must be applied by myself and introduced by two members or their units;
(4) The membership card shall be issued by the Council or an institution authorized by the Council.
Article 10 Members shall enjoy the following rights:
The right to vote, to be elected and to vote of this group;
(two) to participate in the activities of this group;
(three) to obtain the priority of this group service;
(four) have the right to criticize, suggest and supervise the work of this group;
(5) Freedom of voluntary membership and withdrawal;
(six) members (the direct development of this group), senior members, honorary members (in addition to the above rights, there are the following rights)
(1) Give priority to international and domestic academic activities sponsored by this group;
(two) give priority to the acquisition of academic materials and periodicals edited by this group;
(3) Give priority to international and domestic conference information.
Article 11 Members shall perform the following obligations:
(a) Implementing the resolutions of the Panel;
(two) to safeguard the legitimate rights and interests of this group;
(three) to complete the work assigned by the group;
(four) to pay membership fees in accordance with the provisions;
(five) to report the situation to the group and provide relevant information;
(six) actively participate in various academic and popular science activities organized by the group and support various publications sponsored by the group;
(seven) carry forward the scientific spirit, abide by scientific ethics, and constantly update their knowledge.
Article 12 When a member withdraws from the meeting, he shall notify the group in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of this group for 2 years, it will be deemed as automatic withdrawal.
Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Fourteenth the highest authority of this group is the member congress, and the functions and powers of the member congress are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(four) to formulate and revise the membership fee standards;
(5) Deciding to terminate.
(six) to decide on other major issues.
Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.
Article 16 Members' congresses are held every five years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. However, the longest extension shall not exceed 1 year.
Article 17 The group shall establish a standing council. The Council is the executive body of the member congress, leading the group to carry out daily work during the intersessional period and being responsible to the member congress.
Article 18 The functions and powers of the Council are:
(a) to implement the resolutions of the members' congress;
(two) to elect and recall the chairman, vice chairman and secretary general; To elect and recall executive directors;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(five) to decide to absorb or recall members;
(6) Deciding to establish offices, branches, representative offices and entities;
(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(eight) to lead the work of this group;
(nine) to formulate internal management system;
(ten) to raise funds for the activities of this group and supervise the implementation;
(eleven) reward and commendation activities;
(twelve) to decide on other major issues.
Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.
Article 20 The Council shall meet at least once a year. Under special circumstances, it can also be convened by communication.
Article 21 The Group has a standing board of directors, which is elected by the board of directors. When the board of directors is not in session, it shall exercise the functions and powers in Item 1, Item 3, Item 5, Item 6, Item 7, Item 8 and Item 9 of Article 18 and be responsible to the board of directors (the number of standing directors shall not exceed 0.3 of the number of 65,438+directors).
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 23 The Standing Council shall meet at least once every six months; Special circumstances can also be held by means of communication.
Twenty-fourth the chairman, vice chairman and secretary general of this group must meet the following conditions:
(a) adhere to the party's line, principles and policies and good political quality;
(2) It has great influence in the business field of the Group;
(3) The chairman and vice-chairman shall not be over 70 years old;
(4) The highest post-holding age of the Secretary-General is no more than 62 years old, and the Secretary-General is full-time;
(5) Being healthy and able to stick to normal work;
(6) Having not been subjected to criminal punishment of deprivation of political rights;
(7) Having full capacity for civil conduct;
(eight) if there is a part-time secretary-general, each group office has a full-time deputy secretary-general to assist the secretary-general.
Twenty-fifth the chairman, vice-chairman and secretary-general of this group are over the maximum working age, and they can only take up their posts after being approved by the Council, reported to the competent business unit for examination and approval, and approved by the registration authority of the association.
Article 26 The term of office of the chairman, vice-chairman and secretary-general of this group shall be five years, and the longest term shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the general meeting of members, reported to the competent business unit for review, and approved by the registration administration organ of the association before taking office.
Article 27 The chairman of the group is the legal representative of the group, and the legal representative signs relevant important documents on behalf of the group. Due to special circumstances, it is necessary for the vice president or the secretary-general to be the legal representative, which shall be reported to the competent business unit for examination and approval before appointment.
The legal representative of this group does not concurrently serve as the legal representative of other groups.
Article 28 The chairman of this group shall exercise the following functions and powers:
(a) to convene and preside over the Council and the Standing Council;
(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council.
Article 29 The Secretary-General of this group shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(5) Handle other daily affairs.
Chapter V Principles of Asset Management and Use
Thirtieth sources of funds for this group:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(six) affiliated units funded;
(7) Group funds;
(8) Other lawful income.
Thirty-first this group collects membership fees in accordance with the relevant provisions of the state.
Article 32 The funds of this group must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 33 The Group shall establish a strict financial management system to ensure that the sources of assets are legal, true, accurate and complete.
Article 34 The Group is equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 35 The assets management of this group must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 36 Before a group changes or changes its legal representative, it must accept the financial audit organized by the organization registration authority and the competent business unit.
Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this group.
Article 38 The wages, insurance and welfare benefits of the full-time staff of this group shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Thirty-ninth amendments to the articles of association of this group must be approved by the Council and reported to the members' congress for deliberation.
Article 40 The revised Articles of Association of the Organization shall come into effect within 15 days after it is adopted by the members' congress, agreed by the competent business unit and approved by the organization's registration authority.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 41 If a group completes its purpose or is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a motion for termination.
Forty-second the motion to terminate the group must be voted by the members' congress and reported to the competent business unit for approval.
Forty-third before the termination of this group, a liquidation organization must be established under the guidance of the competent business unit and the relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Forty-fourth this group shall terminate after the cancellation of registration by the association registration authority.
Forty-fifth after the termination of the group's remaining property, under the supervision of the competent business unit and the group registration authority, in accordance with the relevant provisions of the state, for the development of undertakings related to the purpose of the group.
Chapter VIII Supplementary Provisions
Article 46 The Articles of Association was adopted by the 14th member congress (indicating the session) on July 6, 2008.
Article 47 The right to interpret the Articles of Association belongs to the Council of the Organization.
Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
