Constitution of international confucian association

Chapter I General Provisions

Article 1 The name of this Association is "international confucian association". The English name is International Confician Association (ICA).

Article 2 This Association is a non-profit international academic joint organization composed of academic groups, institutions and individuals related to Confucianism in various countries and regions.

Article 3 The purpose of this Association is to study Confucianism, inherit its essence and carry forward its spirit, so as to promote the freedom, equality, peaceful development and prosperity of mankind. We will abide by the Constitution, laws, regulations and national policies of People's Republic of China (PRC).

Article 4 The Association shall accept the business guidance, supervision and management of the competent business units, the Ministry of Culture, the registration authority and the Ministry of Civil Affairs.

Article 5 The permanent meeting place of this Association is located in Beijing, China.

Article 6 The specific work of this Association includes:

1. Carry out Confucianism research activities and evaluate the achievements of Confucianism research.

2. Hold international conferences on Confucianism and related academic research.

3. Hold lectures on Confucianism and related academic research.

4. Promote Confucian education.

5. Editing and publishing Confucianism and related academic works, periodicals and materials.

6. Collect, sort out and publish comprehensive information of international Confucianism.

7. Edit and distribute the information guide of the Association's activities and international Confucianism.

8. Promote international Confucianism and related academic exchanges and cooperation.

9. Explore other undertakings that contribute to the development of Confucianism.

Chapter II Members

Article 7 Members of this Association are divided into group members and individual members.

Article 8 Any Confucianism-related organizations and institutions that agree to the articles of association can become group members of the association after applying to the association, fulfilling the relevant procedures for joining the association, discussing and passing the association, and reporting to the Executive Committee for the record.

Any individual who agrees with the purpose of the Association can become an individual member of the Association after applying to the Association, being recommended by two directors, approved by the permanent organization, discussed and agreed by the Association, and reported to the Executive Committee for the record.

Any candidate who is recommended by the permanent organization and approved by the Executive Committee as a director will become a member of the Association.

Persons who are honorary presidents, honorary chairmen, honorary consultants and consultants of the Association may become members of the Association with their consent.

If a member fails to pay the membership fee for two years, and fails to pay the membership fee after half a year's reminder, it will be regarded as automatic withdrawal. Members who seriously violate the Articles of Association or commit illegal acts shall be removed from the list with the approval of the Executive Committee.

Article 9 Members shall enjoy the following rights:

1. Group members and individual members have the right to vote, stand for election and vote. A team member has one vote.

2. Take part in our activities and use our facilities.

3. Put forward opinions and suggestions on the work of this Association.

4. Joining is voluntary and quitting is free.

10 members shall perform the following obligations:

1. Abide by the articles of association and actively participate in various activities of the association.

2. Members of various organizations are obliged to provide information about Confucianism in their respective fields.

3. Pay the membership fee.

4. Membership fee: the membership fee for group members is USD 65,438+000 or RMB 700 yuan, and the membership fee for individual members is USD 50 or RMB 350 yuan.

5. Annual membership fee: Group members pay an annual membership fee of $80 or RMB 560 yuan; Individual members pay an annual membership fee of US$ 30 or 200 yuan RMB.

Chapter III Organizational Structure

Article 1 1 The general meeting is the highest resolution body of the Association.

1. The general meeting consists of group members and individual members.

2. The functions of the General Assembly are:

(1) The President, Vice President and Directors were elected.

(2) Reviewing and amending the Articles of Association.

(3) Review the budget and final accounts of this Council.

(4) Review the work plan and work report.

Article 12: The general meeting of members shall be convened only when more than half of the members (or member representatives) are present, and the resolution shall take effect only when more than half of the members (or member representatives) are present and vote.

Article 13 The general meeting of shareholders shall be held every five years. If it is necessary to advance or postpone the general election due to special circumstances, the Executive Committee shall report it to the competent business unit for examination and approval, and it shall be approved by the association registration authority. However, the longest extension shall not exceed 1 year.

Article 14: The Association shall have one president and several vice-presidents; The president is recommended by the Executive Committee and elected by the General Assembly. The vice president is recommended by the president and approved by the shareholders' meeting. The term of office of the President and the Vice-President is five years, and they may be re-elected, but generally they shall not exceed two terms.

The president is responsible for all business affairs on behalf of the association, is the chairman of the general meeting, and presides over the meeting of the executive Committee when the general meeting is not in session.

Article 15 Executive Committee

1. The Executive Committee is the executive body of the General Assembly.

2. The Executive Committee shall be presided over by the President or, in the absence of the President, the Vice President designated by the President.

3. Function: Recommend candidates for president, chairman and director through consultation, and submit them to the general meeting of members and the general meeting of directors for voting; When the shareholders' meeting is not in session, perform the duties of the shareholders' meeting as stipulated in Item (3), (4) and (5) of Paragraph 2 of Article 1 1.

4. Members of the Executive Committee: china confucius foundation, China Confucius Institute (Taipei), Korean Confucianism Society, Japanese Sven Society, American International China Philosophy Society, Sinology Research Center of National University of Singapore, Hong Kong Humanities Society, Vietnamese representatives, president, vice-president, chairman, vice-chairman and some directors elected by the Council, secretary-general, deputy secretary-general and directors of various professional committees.

5. If a group member acts as a representative of the Executive Committee, if his position changes during his term of office, he shall be replaced by a new one, and an application shall be submitted to this Council and approved by the Executive Committee meeting.

Article 16 Council

1. Organization of the Council:

(1) The chairman is recommended by the Executive Committee and elected by the Council.

(2) One executive vice-chairman and several vice-chairmen, nominated by the chairman and adopted by the Council through consultation.

(3) The total number of directors shall not exceed 320.

(4) The directors are nominated by the permanent institutions among the members, deliberated by the executive committee and elected by the general meeting of members.

(5) The chairman is the chairman of the board of directors and presides over the board meeting. When the chairman is absent, the executive vice chairman shall act as chairman.

(6) The term of office of the chairman and vice-chairman is five years, and they may be re-elected, but generally they shall not exceed two terms.

2. Functions of the Council:

(1) Review the proposal submitted to the shareholders' meeting.

(2) Responsible for planning the financial support needed by this Council.

(3) Organizing and coordinating international Confucianism and related academic exchange activities.

(4) Elect directors as members of the Executive Committee.

Article 17 Permanent office

1. The Association consists of secretariat, academic committee, publicity and publication committee, education and communication popularization committee, international liaison committee, advisory liaison committee, Confucianism and enterprise management committee, fund management committee and other offices. The secretariat consists of a comprehensive department, a finance department and a business department.

2. The Secretariat shall have one Secretary-General and several Deputy Secretaries-General. The Deputy Secretary-General is nominated by the Secretary-General and appointed by the President. The heads of the functional departments of the Secretariat shall be appointed by the Secretary-General.

3. The Secretary-General assists the Chairman in daily affairs, presides over the work of the Secretariat and coordinates the work of various professional committees; The Deputy Secretary-General assists the Secretary-General in his work.

4. Each committee shall have one director and several deputy directors. The chairman and vice-chairman of each committee are appointed by the President. The chairman of the fund management committee is concurrently appointed by the president, and the vice-chairmen and directors and the secretary-general are appointed by the president.

Chapter IV Guidance and Consulting Institutions

Article 18: The guidance and consultation institutions of this Association are as follows:

1. Establish several honorary presidents.

2. There should be several honorary directors.

3. The permanent offices have the obligation to inform the honorary president and honorary chairman of their work at any time or regularly, and the honorary president and honorary chairman have the obligation to provide opinions and suggestions to the president and chairman.

4. Set up several honorary consultants. Honorary consultants are generally people and well-known scholars who have made important contributions to the work of the International Federation of Confucian Scholars.

5. Several consultants. Consultants have the obligation to put forward work suggestions and answer consulting matters to the president, vice president, chairman, vice chairman and permanent offices on the work of the association.

6. The honorary president, honorary chairman, honorary consultant and consultant shall be hired by the president.

Chapter V Meeting

Article 19 The general meeting of members shall be held every five years, and shall be convened and presided over by the president. When more than half of the members of the Executive Committee, more than three-fifths of the directors of the Council or more than two-thirds of the members make a request, the President shall convene an interim general meeting.

Article 20 The Executive Committee shall be convened once a year, or every other year according to the situation, or the annual main work and financial budget and final accounts of the Association shall be reviewed and approved by means of communication.

Article 2 1 The Council shall be convened every five years. When more than three fifths of the directors make a request, the chairman shall convene an interim board of directors. It is valid only when more than half of the directors of the board of directors are present.

Article 22 Effective resolutions

1. The general meeting of members shall be valid only if more than half of the members are present, and the resolution shall be passed by a majority vote.

2. The meeting of the Executive Committee shall be valid only if more than half of the members are present, and the resolution shall be made by a majority vote.

3. When convening the general meeting of members, the meeting of the Executive Committee and the meeting of the board of directors, corporate members or individual members, directors and representatives who cannot attend may submit a power of attorney to entrust others to attend, and the power of attorney will be counted as the number of members, but they will not enjoy the right to vote.

Chapter VI Finance

Article 23 The fiscal year of this Association begins on 10/day and ends on 1 day in February.

Article 24 The financial income of the Association includes membership dues, donations, government subsidies, interest, income from activities or services within the approved business scope and other lawful income.

Article 25 The Association shall collect membership fees in accordance with the relevant provisions of the State.

Article 26 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 27 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 28 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to state appropriations or social donations or subsidies, it must accept the supervision of audit institutions.

Twenty-ninth before the association changes its legal representative, it must accept the financial audit organized by the association registration authority and the competent business unit.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 30 When the Association completes its purpose, disbands itself or needs to be cancelled due to division or merger, the Executive Committee shall propose a termination motion.

Article 3 1 The motion to terminate this association shall be passed by the general meeting of members or the general meeting of members and submitted to the competent department for examination and approval.

Thirty-second before the termination of this association, a liquidation organization shall be established under the guidance of the competent department to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 33 The Association shall be terminated after the cancellation of registration by the association registration authority.

Article 34 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent authorities and the registration and administration organs of associations and in accordance with the relevant regulations of the China Municipal Government.

Chapter VIII Revision and Interpretation of Articles of Association

Article 35 The right to amend the Articles of Association belongs to the general meeting of members.

Article 36 The right to interpret the Articles of Association belongs to the Executive Committee of the General Assembly.

Supplementary rules

1. The articles of association of the International Federation of Confucian Scholars shall come into effect as of the date of the founding meeting of the Japan Association.

2. On June 26th, 2004, the second enlarged meeting of the second permanent members proposed amendments. On June 65438+1October165438+1October, 2004, it was submitted to the general meeting of members and the general meeting of the Council for discussion and adoption.

3. In June 2009, the third enlarged meeting of the three permanent members proposed amendments. On September 23, 2009, it was submitted to the general meeting of members and the general meeting of the Council for discussion and adoption.

4. Matters not covered in the Articles of Association shall be formulated separately by the Executive Committee.
