Chapter I General Provisions

Article 1 Association name: China Green Food Association; English translation: China Green Food Association; ; English abbreviation: CGFA.

Article 2 Nature of the Association: It is an industrial, national and non-profit social group with legal personality, formed voluntarily by units and individuals engaged in green agriculture, green food, organic food, pollution-free agricultural products management, scientific research, education, production, storage and transportation, sales, monitoring, consultation and technology popularization, and it is a bridge and link between the government and green food enterprises and institutions.

Article 3 Purpose of the Association: actively implement the principles and policies of the Party and the state, abide by the Constitution, laws and regulations, abide by social ethics, adhere to the guidance of Deng Xiaoping Theory and Theory of Three Represents, implement Scientific Outlook on Development, build a harmonious society, serve agriculture, countryside and farmers, strive to promote the development of green agriculture and green food in China (including organic food and pollution-free agricultural products promoted by the Ministry of Agriculture, the same below), and promote the sustainable development of society, economy and ecology in China.

Article 4 The Association shall accept the business guidance, supervision and management of the competent business units, the Ministry of Agriculture and the Ministry of Civil Affairs, and the registration and administration authorities of the Association.

Article 5 domicile of the association: Beijing.

Chapter II Scope of Business

Article 6 The business scope and functions of the Association

(a) to study, discuss and vigorously promote the theory of green agriculture and green food development; Provide advice and suggestions for the relevant government departments to formulate green agriculture and green food development plans and related policies and the development of members, and serve members, enterprises and the government.

(two) to organize scientific research and demonstration of the development model and business philosophy of green agriculture, and to carry out theoretical research and academic exchanges at home and abroad on green food and related issues.

(three) to organize green food research, understand and master the research, production and sales information of green food and related products at home and abroad, and provide advice for green food production and operation enterprises to acquire new technologies and introduce advanced equipment.

(four) to organize the research and promotion of new products, new processes, new technologies and new packaging of green food, and to carry out technical consultation, promotion and scientific popularization services.

(five) publicity, promotion and popularization of green food knowledge, editing and publishing newspapers, books, software, audio-visual products, etc. Build the website of the Association and build a national platform for information exchange and service of green food.

(six) cooperate with relevant departments to set up green food technology business training courses to improve the management level of green food management personnel and the technical level of production enterprise personnel.

(seven) organize or cooperate with relevant departments and units to organize green food production, management, scientific research and other units to carry out multi-form, multi-level and multi-field learning, inspection, exchange and publicity and display activities.

(eight) to cooperate with relevant departments to formulate and revise green food standards, protect the intellectual property rights of green food, and safeguard the reputation of green food among consumers.

(nine) actively reflect the opinions and requirements of member units to the relevant government departments, and safeguard the legitimate rights and interests of member units and industries according to law.

(ten) to develop friendly exchanges with relevant foreign organizations, enterprises and individuals, organize members to participate in relevant international exchange activities, and carry out international economic and technological cooperation.

(eleven) entrusted by the government, according to the needs of the development of green food, undertake or organize exhibitions, fairs, seminars, academic lectures and other activities, and build a platform for communication, cooperation, publicity and promotion.

(twelve) to coordinate the relationship between scientific research, production, monitoring, storage, transportation and sales of green food, open up domestic and foreign markets, advocate the concept of green consumption, and improve the quality and safety level of agricultural products and food.

(thirteen) to coordinate the relationship between members, effectively promote the contact and cooperation between members of this association, enhance the self-discipline and self-protection awareness of members, and safeguard the market interests of members.

(fourteen) to strengthen the contact and cooperation with the green food industry related groups, especially the green food associations at all levels.

(fifteen) to carry out research on market circulation information, assist member enterprises to explore the market, and promote the sustainable and healthy development of green food.

(sixteen) to undertake other matters or tasks related to the association entrusted or assigned by the relevant departments.

Chapter III Members

Article 7 Association members include unit members and individual members.

All professional committees under the association can recruit members nationwide on behalf of the association and report them to the association for the record. Professional committees that accept honorary members must report to the Association for approval.

Article 8 A member applying to join the Association must meet the following conditions:

(1) Membership: enterprises, institutions and social organizations that recognize the articles of association and have certain influence in the business field of the association and engage in the management, scientific research, education, production, storage, transportation, sales, monitoring, consultation and promotion of green food and related industries can apply for membership.

(2) Individual members: any individual who has recognized the Articles of Association, engaged in the management, scientific research, education, production, storage, transportation, sales, monitoring, consultation and promotion of green food and related industries, and has certain professional knowledge and more than 3 years' work experience may apply for membership.

Article 9 The procedures for joining the club are as follows:

(1) submitting an application for membership;

(two) the Council entrusted the relevant departments to discuss and pass;

(3) Membership card issued by the member departments of the Association.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in the activities of the association;

(three) give priority to the relevant materials, information and services of the association;

(four) have the right to criticize, suggest and supervise the work of the association;

(5) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations:

(1) Implementing the resolutions of the Association;

(two) to safeguard the legitimate rights and interests of the association;

(three) to complete the work assigned by the association;

(four) to pay membership fees in accordance with the provisions;

(five) to reflect the relevant situation to the association and provide relevant information;

(six) to publicize the knowledge of green food to the society.

Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to fulfill his obligations for more than one year, he shall be deemed to have withdrawn automatically.

Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.

Article 14 The specific management of members and membership fees shall be implemented in accordance with the Measures for the Management of Members of China Green Food Association.

Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge

Fifteenth the highest authority of the association is the member congress, and the functions and powers of the member congress are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(four) to formulate and revise the membership fee standards;

(5) Deciding to terminate.

(six) to decide on other major issues.

Article 16 A member congress can only be convened when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives are present to vote.

Seventeenth members' congress is held every five years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority.

Article 18 The Council is the executive body of the general assembly, leading the work of the Association when the general assembly is not in session, and being responsible for the general assembly.

Article 19 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the president, vice president, secretary general and executive director.

(three) to prepare for the convening of the members' congress;

(four) to report the work and financial situation to the members' congress;

(five) to decide to absorb or recall members;

(6) Deciding to establish offices, branches, representative offices and entities;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) to lead the institutions of the Association to carry out their work;

(nine) to formulate internal management system;

(10) To decide on other major matters.

Article 20 A meeting of the board of directors shall be held only when more than two thirds of the directors are present. The resolution shall take effect only if it is approved by more than two thirds of the directors present.

Article 21 The Council shall meet at least once a year. Under special circumstances, it can be convened by means of communication.

Article 22 The Association shall establish a standing council. The Standing Council is elected by the Council. When the Council is not in session, it exercises the functions and powers of Article 19, items 1, 3, 5, 6, 7, 8 and 9, and is responsible to the Council.

Article 23 The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the executive directors present at the meeting.

Article 24 The Standing Council shall meet at least once every six months. Under special circumstances, it can be convened by means of communication.

When the Standing Council is not in session, the President's Office shall exercise the functions and powers of Items 1, 3, 5, 7, 8 and 9 of Article 19. Its decision shall be approved by the meeting of the Executive Council.

Article 25 The president, executive vice president, vice president and secretary general of the Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the Association;

(3) The maximum working age is no more than 70 years old, and the secretary-general is full-time;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 26 The president, vice-president and secretary-general of the Association shall be approved by the Council, reported to the competent business unit for review and approved by the registration authority of the Association before taking up their posts.

Article 27 The term of office of the president, vice-president and secretary-general of the Association shall be five years, and the longest term shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the registration and management authority of the association before taking office.

Article 28 The president is the legal representative of the Association. The legal representative signs relevant important documents on behalf of the Association.

Due to special circumstances, with the consent of the board of directors, the board of directors, the board of directors, the board of directors, the board of directors (president) and the board of directors, and with the approval of the competent business unit for examination and registration, the vice-president or the secretary-general may act as the legal representative. Entrusted by the president, with the consent of the board of directors, the executive vice president can serve as the legal representative after being reported to the competent business unit for review and approved by the association registration authority.

The legal representative of the association shall not concurrently serve as the legal representative of other organizations.

Article 29 The president of the Association shall exercise the following functions and powers:

(a) to convene and preside over the Council and the Standing Council;

(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council.

Article 30 The Secretary General of the Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating deputy secretaries-general and principal responsible persons of various institutions and submitting them to the Council or the Standing Council for decision;

(four) to decide on the employment of full-time staff in offices, branches, representative offices and entities;

(5) Handle other daily affairs.

Article 31 The Association shall set up an office meeting of the president, which shall be composed of the president, the vice-president and the secretary-general, and exercise the following functions and powers:

(a) to implement the resolutions of the members' congresses and councils;

(two) to supervise the implementation of the rules and regulations of the association;

(three) to supervise the implementation of the annual work plan of the association;

(4) Proposing issues raised by the Council or the Standing Council.

The president's office meeting can only be held when more than two thirds of the employees are present, and the resolution can only be valid when more than two thirds of the employees are present.

Chapter V Principles of Asset Management and Use

Thirty-second sources of funds of the Association:

(1) membership fees;

(2) donation;

(3) enterprise funding;

(4) government funding;

(5) Income from activities or services provided within the approved business scope;

(6) interest;

(7) Other lawful income.

Article 33 The Association shall collect membership fees in accordance with relevant state regulations.

Article 34 The funds of the association must be used to develop the business scope and undertakings stipulated in the articles of association, and maintain the normal work and operation of the secretariat of the association, and shall not be distributed among members.

Article 35 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 36 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 37 The asset management of the association must implement the financial system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to government subsidies or social donations, it must accept the supervision of audit institutions and publish relevant information to the public in an appropriate way.

Article 38 Before changing its legal representative, an association must accept the financial audit organized by the social organization registration management organ and the business management unit.

Article 39 No unit or individual may occupy, privately divide or misappropriate the assets of the Association.

Fortieth the wages, insurance and social welfare of the full-time staff of the association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Article 41 Any amendment to the Articles of Association must be approved by the Council and submitted to the members' congress for deliberation.

Article 42 The revised articles of association shall be submitted to the competent business unit for review within 15 days after being adopted by the members' congress, and shall take effect after being approved by the association registration authority.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 43 If the association has completed its purpose or dissolved itself due to division or merger or needs to be revoked, the Council or the Standing Council shall propose a termination agreement.

Article 44 The termination of this Association's agreement must be approved by the members' congress and reported to the competent business unit for approval.

Forty-fifth before the termination of the association, a liquidation organization must be established under the guidance of the business management unit and the relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Forty-sixth associations shall be terminated after the cancellation of registration by the association registration authority.

Article 47 The remaining property after the termination of the association shall be used for the development of undertakings related to the purpose of the association under the supervision of the competent business unit and the association registration authority in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 48 The Articles of Association was adopted by the general meeting on June 20, 20 10.

Article 49 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 50 The Articles of Association shall come into force as of the date of approval by the association registration authority.
