Chapter I General Provisions
Article 1 The name of this Association is: Fujian Chamber of Commerce in Shaanxi Province.
Article 2 This Association is a non-profit social organization voluntarily joined by enterprises and business people from Shaanxi and Fujian. Address of Chamber of Commerce: Juncheng International Hotel 12/F, No.202 Lianhu Road, Xi City.
Article 3 The purpose of this Association is to adhere to the Four Cardinal Principles, persist in reform and opening up, and focus on economic construction to implement Scientific Outlook on Development. Guide enterprises to abide by laws and regulations, operate in a civilized manner, and safeguard the legitimate rights and interests of enterprises. Enhance the communication and exchange of Fujian enterprises in Shaanxi, improve the competitiveness and economic benefits of enterprises, and promote economic cooperation, exchanges and development between Fujian and Shaanxi provinces.
Article 4 Associations shall carry out various activities in accordance with the national constitution, laws, decrees and policies, safeguard the fundamental interests of the country and promote economic development and social progress.
Article 5 This Association shall accept the leadership of the competent department of business and the supervision, inspection and management of the administrative organs of social organizations.
Article 6 This Association adheres to the principle of democratic centralism, follows the articles of association approved for registration, takes the road of democracy, self-discipline and self-development, and strives to build a socialist social organization with China characteristics.
Article 7 The registered amount of this Association is RMB 30,000 Yuan only.
Chapter II Tasks of the Chamber of Commerce
Article 8 Carry out networking activities of Fujian enterprises in Shaanxi, strengthen unity, enhance friendship, improve quality of enterprise, exchange experiences in development, construction and investment in Shaanxi, form complementary advantages of various industries in the Chamber of Commerce, promote cooperative development of enterprises, and establish a good overall image of Fujian enterprises in Shaanxi.
Article 9 To provide Shaanxi and Fujian enterprises with political, economic, cultural, scientific and technological, financial and commercial information, and provide legal advisory services.
Tenth to assist the relevant departments of Shaanxi Province to educate enterprises in Shaanxi in terms of law-abiding, stability and unity, safety in production and law-abiding operation.
Eleventh according to the need to hold seminars, seminars and training courses every year; Organize members to hold or participate in various trade fairs, trade fairs and investment promotion associations; Organize members to study and visit at home or abroad; Help member enterprises to expand their business, find projects and provide business opportunities.

Thirteenth to carry out horizontal economic cooperation and cultural exchanges between Fujian and Shaanxi, and strive to contact enterprises and individuals at home and abroad and Fujian to invest in Shaanxi, realize the complementary and common development of Shaanxi and Fujian, and undertake the matters entrusted by the relevant departments of the two governments.
Chapter III Members
Fourteenth associations are group members, and the principle of voluntary membership and withdrawal is implemented.
Article 15 A member applying to join this Association must meet the following requirements:
First, support the articles of association;
Second, there is a willingness to join this association;
Third, various social organizations established by Fujian Province in Shaanxi;
4. Fujian enterprises and business people registered in Shaanxi;
Five, law-abiding business, good performance, a certain economic strength and good reputation;
6. Love the Chamber of Commerce, help each other and actively participate in various activities of the Chamber of Commerce;
Seven, did not participate in illegal organizations such as cults.
Sixteenth membership procedures are:
First, submit a formal membership application;
2. The Executive Committee of the Council discussed and adopted the plan;
Three. Membership cards shall be issued by institutions authorized by the Council.
Article 17 Rights and obligations of members
I. Rights of members
The right to vote and stand for election; Voting rights; The right to suggest and criticize; Participate in the management of internal affairs of the Chamber of Commerce; Give priority to participating in various activities sponsored by the Chamber of Commerce; The right to join the club voluntarily and leave the club freely; Abide by other rights stipulated in the articles of association of the Chamber of Commerce.
Second, member obligations.
Fulfill the obligations stipulated in the articles of association; Obligation to implement the resolution; Undertake the obligation of entrusted affairs; The obligation to maintain the reputation of this association; Obligation to actively participate in activities; Obligation to pay membership dues on time and other obligations in line with the articles of association.
The membership fee shall be paid once a year, and the specific time is: one-time payment at the next general meeting of shareholders.
Article 18 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay the membership fee for one year, it will be deemed as automatic withdrawal.
Article 19 If a member withdraws involuntarily or seriously violates the Articles of Association, his membership shall be cancelled or removed by the board of directors.
Chapter IV Organizational Structure
Article 20 The representatives, directors, vice presidents, executive vice presidents, presidents and other members of this Association embody the principle of democratic centralism and are finally elected after full deliberation and consultation.
Article 21 The general meeting of members is the highest authority of this Association, and its main duties are:
1. Formulate and modify the Articles of Association;
2. Elect the Council;
Three. To decide on the tasks and policies of the Association;
4. Consideration of the report on the work of the Council;
Verb (abbreviation for verb) adopts important resolutions;
6. Decide on major changes and termination of this Association;
Seven, other matters needing attention:
More than half of the participants in the general meeting or representative meeting are effective meetings, and the matters passed by more than half of the members present at the meeting are effective resolutions.
The general meeting or the representative meeting is held once a year. If it is necessary to convene temporarily due to special circumstances, it shall be decided by the board of directors through discussion.
Article 22 Council
The Council is the executive body during the closing of the general meeting of members and is responsible to all members of the Chamber of Commerce. The term of office is three years and can be re-elected. The board of directors shall have a president, several executive vice presidents, several vice presidents, one full-time secretary general and several directors, and the president shall be re-elected for no more than two terms. The association employs relevant leaders and well-known entrepreneurs from Shaanxi and Fujian as honorary presidents, honorary presidents, senior consultants and permanent consultants.
The main responsibilities of the Council:
1. Elect or remove the president, executive vice president and vice president;
2. Electing or dismissing the Secretary-General;

4. Decide on the establishment of offices and branches of the Association;
5. Appoint the heads of offices and branches;
6. Propose candidates for the next Council member;

Ten, convene a meeting of member representatives and report the work and financial situation;
Eleven, accept the opinions of the higher authorities on the disciplinary problems of the association, put forward solutions and accept their supervision;

Article 23 The meeting of the board of directors shall be held only when more than half of the directors are present, and its resolutions shall be valid only when more than two thirds are present, or it may be held by means of communication.
Article 24 The Association shall establish the Executive Committee of the Council. The Executive Committee consists of the Chairman, the Executive Vice Chairman and the Secretary General. Duties of the Executive Committee of the Council:
(1) Implementing the decisions of the Council;
(two) to formulate the annual work plan and financial budget;
(3) To decide on the proposals that need to be submitted to the Council or the members' congress for deliberation;
(4) Appointing the Deputy Secretary-General and approving the admission of new members;
(five) when the members' congress and the Council are not in session, the members of the Council shall be added and submitted to the next Council for confirmation;
(six) to lead the work of the subordinate institutions of the Chamber of Commerce;
(seven) to discuss and study other important matters;
(8) The Executive Committee shall be convened only when more than half of its members are present, and its decision shall take effect only after it is approved by more than half of the members present.
Article 25 The Secretary-General is responsible for the daily work of the Association.
Article 26 The legal person of this Association is the Council. The legal representative of this association is the chairman.
Article 27 Meeting system
First, hold a meeting of vice presidents on duty at least once a month. Presided over by the President, attended by the Vice President and the Secretary-General on duty that month, to study and decide on various matters of that month.
Two, the Executive Committee held at least once every six months, can also be held in the form of exchanges;
Three, at least twice a year to convene the Council, special circumstances can also be held in the form of communication.
Chapter V Assets and Finance
Article 28 The assets of the Association are * * * property, which can only be used to promote various undertakings conducive to the realization of the objectives of the Association, no matter how it is obtained. The assets of the association shall be managed in accordance with the provisions of the administrative departments of the state and social organizations and the articles of association of the association, and no unit or individual may occupy them.
Twenty-ninth sources and main uses of funds:
1. Membership dues paid by members;
2 donations provided by enterprises and individuals to the Chamber of Commerce;
3. It was discussed and adopted by the fourth Council of the second Council and submitted to the second member congress of the second Council for discussion and adoption, and supplementary provisions were made on the Measures for the Administration of Income and Expenditure of Membership Fees, Donation Fees and Sponsorship Fees;
4. Income from other legal service activities;
5. These funds will be used to carry out various activities and purchase necessary supplies;
Thirtieth strictly implement the national financial laws and regulations, establish and improve the accounting system, prepare the annual budget and final accounts, regularly report the financial revenue and expenditure to the members' congress, and accept the audit and supervision of members and relevant departments.
Thirty-first the income from the development of community economy is used for career development and daily management expenses in line with the purpose of the association.
Chapter VI Alteration and Termination
Article 32 Change procedures
1. In case of major changes in the articles of association, name, legal representative and competent business department, the board of directors shall submit a report on the changes to the members' congress for adoption.
2. General changes involving other registered contents of the registration certificate shall be considered and decided by the board of directors.
Three, report to the original business department and the administrative department of social organizations, and go through the formalities of change registration according to law.
Article 33 Termination procedure
I. The termination report shall be submitted by the board of directors to the members' congress for adoption.
Two, by the Council to propose a termination plan, determine the aftermath, set up a clean-up organization, in conjunction with the relevant departments to do a good job in the aftermath.
Three, to the original business departments and social organizations in charge of reporting, cancellation of registration according to law.
Four, after the termination of the remaining assets in accordance with the relevant provisions of the Shaanxi provincial administrative organs of social organizations for liquidation.
Chapter VII Supplementary Provisions
Article 34 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 35 The Articles of Association shall come into effect on February 30, 2008 after being voted by the general meeting of members and approved by the administrative organs of social organizations.
