International bamboo and rattan organization agreement

States Parties to this Agreement,

Recognizing that bamboo and rattan are the two most important non-wood forest products in Asia, and they also have great development potential in other regions, especially in Africa, the Caribbean and Central and South America;

Further realize that bamboo and rattan can greatly promote the economic and social development of villages in the above areas;

Notes with satisfaction that in some Asian countries, the informal bamboo and rattan network initiated by the Canadian International Development Research Center and supported by the International Fund for Agricultural Development has made considerable achievements in bamboo and rattan research, personnel training and information exchange since 1984 began to operate;

Willing to expand its interests to other countries in Asia, Africa, the Caribbean and Central and South America;

Convinced that the establishment of an international organization aimed at promoting and coordinating the research and development of bamboo and rattan, personnel training and information exchange will greatly enhance the interests of all institutions and individuals related to the production and development of bamboo and rattan;

Also convinced that the organization should take the form of decentralized network to contact and strengthen existing national research plans;

Have reached the following agreement:

Article 1 Establishment and location of bamboo and rattan tissue

I. An international bamboo and rattan organization is hereby established, hereinafter referred to as "INBAR" or "bamboo and rattan organization". Bamboo and rattan organization is an independent non-profit international organization.

Second, bamboo and rattan organizations have complete international legal person status. Within the territory of each contracting state, bamboo and rattan organizations enjoy legal capacity, privileges and immunities agreed with each contracting state.

Article 2 Headquarters and offices

1. The headquarters of the bamboo and rattan organization is located in Beijing, People's Republic of China (PRC) (hereinafter referred to as the "host country").

Two, after consultation with the host government, bamboo and rattan organizations can set up other offices and experimental stations in China.

Three, in order to coordinate regional action or other purposes in line with this agreement, the bamboo and rattan organization may set up offices in other States parties.

Article 3 Mission and purpose

1. The mission of bamboo and rattan organization is to promote the interests of bamboo and rattan producers and consumers by uniting, coordinating and supporting the strategic and adaptive research and development of bamboo and rattan resources on the premise of maintaining the sustainable development of bamboo and rattan resources.

Two, in order to complete the above mission, the purpose of the bamboo and rattan organization should include:

1. Identify, coordinate and support bamboo and rattan research according to the national plans of member countries and the priorities set by other organizations and institutions that have cooperative relations with bamboo and rattan organizations;

2. Improve the capacity and technical level of national bamboo and rattan R&D institutions and service institutions;

3. Strengthen national, regional and international coordination and cooperation in the field of bamboo and rattan.

Three, in order to achieve its mission and purpose, bamboo and rattan organizations should pay special attention to:

1. Meet the living and basic needs of people in bamboo and rattan producing areas, especially women and non-dominant groups;

2. Give full play to the role of bamboo and rattan in protecting the environment, especially in reducing forest destruction, soil erosion and land degradation;

3. Maintain and expand the diversity of bamboo and rattan resources;

4. On the basis of sustainable development, improve and strengthen the utilization, domestic production and processing of bamboo and rattan;

5. Formulate and popularize policies and value-added technologies aimed at realizing the full potential of bamboo and rattan as wood substitutes.

Article 4 People's activities

Bamboo and rattan organizations can engage in various activities that help to realize their mission and purpose. Without limiting the above general provisions, the bamboo and rattan organization shall:

1. Identify, participate in, coordinate and support the strategic research and development of bamboo and rattan;

2. Organize international, regional, national and local forums and seminars on bamboo and rattan to promote information exchange on bamboo and rattan;

3. Promote links between scientific, technical, managerial and financial expertise and local partners;

44. Train research and development personnel of bamboo and rattan at regional, national and local levels, and strengthen the capacity of bamboo and rattan research institutions;

5. Providing expert services so that scientific knowledge can serve the needs of local scientific research, technology transfer, policy formulation and information services;

6. Coordinate and lead relevant groups to make suggestions and fund projects.

Article 5 Power

In order to achieve its mission and purpose, bamboo and rattan organizations can:

1. Sign contracts or agreements with the government, international or domestic public and private organizations, institutions and individuals;

2. Hire staff and consultants;

3. Under the premise of observing the laws of the country where the real estate is located, acquire and hold the real estate and its attached welfare package, and enjoy the right to transfer;

4. Obtaining movable property, including funds, rights and concessions, from the government, international institutions, social organizations or individuals through purchase, donation, exchange, bequest or other means, and having the right to hold, manage, operate, use and dispose of the above-mentioned property and rights;

Parties to judicial, quasi-judicial and administrative proceedings in the country where the bamboo and rattan organization is located or in other countries;

6. Engage in other activities conducive to the realization of its mission and purpose.

Article 6 Members

1. Any Member of the United Nations or member of the specialized agencies of the United Nations who accepts the mission and purpose of the Organization may become a member of the Organization.

2. The countries that signed this Agreement during its opening for signature as stipulated in Article 20, paragraph 1 of this Agreement are the founding members of the bamboo and rattan organization.

Three, after the expiration of this agreement, other countries that meet the requirements of the first paragraph of this article may apply to join the bamboo and rattan organization by joining in accordance with the provisions of the second and third paragraphs of Article 20 of this agreement.

Four, the members of the bamboo and rattan organizations should designate a competent government department or agency as the contact point of the bamboo and rattan organizations.

Article 7 Institutions

1. The tissues of bamboo and rattan include:

1. Council;

2. Trusteeship Council (hereinafter referred to as "the Council");

3. Secretariat headed by the Director-General.

Article 8 Council

I. The board of directors shall provide guidance to the board of directors on the overall policy direction and strategic objectives of the bamboo and rattan organization.

Two. According to other provisions of this Agreement, the Council also has the following powers:

1. admit new members;

2. Approve the decision of the Board of Directors to appoint or dismiss the Director-General;

3. Review and approve the annual report of the bamboo and rattan organization, including the financial audit report of the bamboo and rattan organization;

4. Approve the decision of the board of directors on the internal articles of association, financial rules, personnel policies, annual work plan and budget of the bamboo and rattan organization;

5. Amend this Agreement;

6. Ratify any treaty concluded by bamboo and rattan organizations;

7. Decided to dissolve the bamboo and rattan organization and take corresponding measures.

3. The Council is composed of representatives of the member countries of the bamboo and rattan organization.

4. The Council shall elect a President and a Vice-President.

5. The Council shall hold a regular session every two years at its headquarters or other place decided by the Council, and may hold additional meetings when necessary. During the recess, the Security Council can make decisions by letter, e-mail, fax or other means of communication. The expenses for the representatives of member States to attend the Council meetings shall be borne by the member States themselves.

Six, each member of the Council has one vote.

7. The Board shall make every effort to take decisions by consensus. Unless otherwise stipulated in this Agreement, when consensus cannot be reached on specific matters, the decision of the Council shall be adopted by a two-thirds majority of the members voting.

Subject to other provisions of this Agreement, the Council shall formulate its own rules of procedure.

9. The Director-General shall provide secretarial and administrative services for the effective operation of the Council.

Article 9 Composition of the Board of Directors

1. The board of directors consists of eight to sixteen directors, including:

1. a director appointed by the friends of the host government;

2. Not less than six ex-officio directors, including three from bamboo and rattan producing countries and three from scientists and management experts;

3. Director-General.

2. The term of office of a non-ex-officio director is three years, and can be re-elected once. Regarding the composition of the first board of directors, the term of office of one-third ex officio directors should be one year, two years and three years respectively. Non-ex officio directors whose first term of office is less than three years may be re-elected for two consecutive terms, each with a term of three years.

3. The first ex officio director shall be appointed by the host government, the International Fund for Agricultural Development and the International Development Research Center (hereinafter referred to as "the initiator of the bamboo and rattan organization"). Thereafter, when the post of non-ex-officio director becomes vacant, the board of directors will appoint a new director to fill the vacancy.

4. Of course, directors other than directors should serve in their personal capacity.

5. Ex-officio directors shall be nationals of the United Nations or member States of its specialized agencies.

Article 10 The functions and powers of the board of directors

1. The responsibility of the board of directors is to ensure that:

1. The goals, projects and plans of the bamboo and rattan organization are consistent with its mission and purpose;

2. The Director-General shall manage the bamboo and rattan organizations in a green and effective way according to the objectives, plans and budgets agreed by the bamboo and rattan organizations and the requirements of laws and regulations;

3. Avoid inadvertently exposing the financial resources, personnel or credit of the bamboo and rattan organizations, and damage the long-term interests of the bamboo and rattan organizations.

Two. Without affecting the guidance and power of the Board of Directors as stipulated in Article 8 of this Agreement, the Board of Directors has the following responsibilities:

1. Regularly formulate multi-year plans and strategies for bamboo and rattan organizations;

2. Approve the plans, objectives, priority projects and operation plans of bamboo and rattan organizations, and supervise their implementation;

3. Approve the work plan, budget, annual report and financial status report of the bamboo and rattan organization, and inform the Council;

4. Formulate the internal articles of association, administrative and personnel policies and financial rules of the bamboo and rattan organization;

5. Regularly evaluate or review the plans, policies and operations of bamboo and rattan organizations, and give due consideration to the opinions and suggestions of evaluation or review;

6. Except the third paragraph of Article 12, appoint and remove the Director-General with the approval of the board of directors, decide the post conditions and term of office of the Director-General, and supervise him to perform his duties;

7. Appoint non-ex-officio directors without affecting the provisions of Article 9, paragraph 5;

8. Approve the organizational framework of the secretariat according to the bamboo and rattan organization plan;

9. Appoint officials of bamboo and rattan organizations;

10. Appoint external auditors and approve the annual audit plan;

1 1. Ensure that the bamboo and rattan organization conforms to cost-effectiveness, financial discipline and responsibility;

12. approve all contracts or agreements concluded by the bamboo and rattan organization, except the authorization to the director-general;

13. Approve and accept all donations to bamboo and rattan organizations, except the authorization given to the general manager;

14. supervise loans and major expansion activities, including the purchase of important equipment and facilities and the disposal of major assets;

15. adopt guiding principles applicable to conflicts of interest among directors, directors-general and staff, and supervise their implementation;

16. Take other necessary and appropriate actions to realize the purpose and mission of the bamboo and rattan organization.

3. The board of directors may establish subsidiary bodies necessary for the performance of its functions.

Article 11 Procedures of the Board of Directors

1. The voting of the board of directors shall be conducted in accordance with the following provisions:

1. Except for the Director General, each board member has one vote;

2. The chairman has a decisive vote;

3. The Board of Directors shall make every effort to make decisions by consensus. If no consensus can be reached, unless otherwise stipulated in this agreement, the decision of the board of directors shall be adopted by a simple majority of voting members.

2. The board of directors shall elect a chairman from among the non-ex-officio directors for a term of three years, and may be re-elected for one term.

3. The board of directors shall meet at least once a year. During the intersessional period, the board of directors may make decisions by letter, e-mail, fax or other means of communication.

Four. Subject to this agreement, the Board of Directors shall formulate its own rules of procedure.

5. More than half of the directors constitute a quorum for the board meeting.

Article 12 Appointment of the Director-General

1. Except as stipulated in the third paragraph of this article, the appointment and removal of the Director-General shall be decided by the Council and reported to the Council for approval.

2. The first term of office of the Director-General shall be a fixed term of not more than four years, and may be renewed for one term.

3. The first Director-General shall be appointed by the promoters of the bamboo and rattan organization.

Article 13 The functions and powers of the Director General

1. The Director-General is the CEO and the head of the secretariat of the bamboo and rattan organization.

Two. In particular, the Director General shall be responsible for the following matters:

1. Ensure that the implementation of the plan of Zhuteng Group meets the highest commercial standards;

2. Cooperate with the board of directors and the Council to raise funds for the bamboo and rattan organizations;

3. Determine the organization of bamboo and rattan organization cooperation;

4. Assist the board of directors and the board of directors to perform their duties, especially provide them with all kinds of information needed and prepare all kinds of meeting documents;

5. According to the personnel policy of the bamboo and rattan organization, recruit the most talented secretariat staff and supervise their work;

6. Perform other functions authorized by the board of directors.

Three. The director-general is responsible for the operation and management of the bamboo and rattan organization to the board of directors. In leading the work of the Secretariat, the Director-General shall ensure that the policies, guidelines and instructions formulated by the Council are observed.

4. The Director-General is the legal representative of the bamboo and rattan organization. Within the scope authorized by the board of directors, the Director-General may sign contracts, covenants, agreements and other legal documents necessary to ensure the normal operation of bamboo and rattan organizations. The board of directors may specify the scope of this power authorized by the Director-General. Such authorization shall be evidenced by a written document indicating the name and position of the authorized person.

Article 14 Secretariat

1. When hiring staff and determining the conditions of service, the executive office of the Secretariat should give top priority to ensuring the highest standards of quality, efficiency, competence and ethics.

2. The staff of the secretariat shall be appointed by the Director-General in accordance with the personnel policy of the bamboo and rattan organization.

Third, staff employed by bamboo and rattan organizations cannot be discriminated against because of their origin, race, descent, political beliefs, skin color, age, marital status or gender.

Fourthly, the employment conditions such as salary level, insurance and pension system of staff in bamboo and rattan organizations are stipulated in the personnel policy of bamboo and rattan organizations.

Article 15 Financing

1. In order to support the bamboo and rattan organization, the States parties to this agreement and other countries may provide voluntary contributions to it. Other financial support for bamboo and rattan organizations will mainly come from voluntary contributions from intergovernmental or non-governmental international organizations and public or private institutions, companies or individuals. In addition, bamboo and rattan organizations must obtain funds through their activities.

2. The financial management of bamboo and rattan organizations shall be conducted in accordance with the financial management rules.

3. The operation of the bamboo and rattan organization shall be conducted by an independent international audit institution appointed by the board of directors on the recommendation of the Director-General. The audit results shall be submitted by the Director-General to the Board of Directors and the Board of Directors.

Article 16 Relations with States and other organizations

In order to achieve its mission and purpose, bamboo and rattan organizations can establish partnerships and sign cooperation agreements with countries, organizations, companies, foundations and institutions.

Article 17 Settlement of disputes

Disputes arising from the interpretation and implementation of this Agreement shall be settled through consultation in the spirit of friendly cooperation.

Article 18 Amendment

1. This Agreement may be amended by the Board of Directors on its own initiative or on the recommendation of the Board of Directors.

2. The board of directors shall submit a proposal with positive consent to the board of directors, which shall be approved by more than two-thirds of the directors present.

Article 19 dissolution

1. If the Council considers that the mission and purpose of the bamboo and rattan organization have been successfully realized, or the bamboo and rattan organization can no longer operate effectively, the Council may dissolve the bamboo and rattan organization. When the Council makes a decision to dissolve the bamboo and rattan organization, it should try its best to reach an agreement. If no consensus can be reached, the Council may decide to dissolve the bamboo and rattan organization with the consent of three-quarters of the voting representatives of the Council.

2. When the number of member countries is less than four due to withdrawal, the bamboo and rattan organization will be dissolved by itself.

Three, when the bamboo and rattan organization is dissolved, its real estate belongs to the country where the real estate is located, or in accordance with the agreement reached with the government of that country.

4. Unless otherwise agreed by the parties to this agreement, all movable property of the bamboo and rattan organization will be distributed among the parties according to their respective political contributions to the bamboo and rattan organization.

Article 20 Signature and accession

1. This agreement was opened for signature in Beijing on June 6th, with an opening period of two years.

2. After the conclusion of the signing period of the agreement mentioned in the preceding paragraph, this agreement will continue to be open to any country specified in Article 4 of this agreement for its accession with the prior consent of a simple majority of the Council.

3. The instrument of accession shall be deposited with the Depositary of this Agreement.

4. People's Republic of China (PRC) is the depositary of this Agreement.

Five, the depositary government shall establish a register of signatures and accessions, and notify the member States of the signatures and accessions in a timely manner. The Depositary shall also register this Agreement with the United Nations Secretariat in accordance with Article 102 of the Charter of the United Nations.

Article 2 1 came into force.

1. This agreement shall come into force after being signed by four countries. If the domestic law of the signatory country stipulates that the signature needs to be approved, this Agreement will enter into force for that country on the first day of the month after the depositary receives the instrument of ratification deposited by that country.

Two, after the entry into force of this agreement, for each country that has deposited the instrument of accession, this agreement will enter into force on the first day of the first month after the date of receipt of the instrument of accession by the depositary.

Article 22 Withdrawal

Any signatory country may withdraw from this agreement. Denunciation shall be notified in writing to the Depositary Government of this Agreement, which shall inform all the Contracting Parties accordingly. The denunciation shall take effect six months after the notice of denunciation is sent. In any case, withdrawal will not affect the contract or other obligations undertaken by the bamboo and rattan organization in the withdrawal notice.

This agreement was signed in Beijing on 1997 1 1 6/month in duplicate in Chinese, English, French and Spanish, all four texts being equally authentic.

In witness whereof, the following plenipotentiaries, duly authorized by their respective governments, have signed this Agreement.
