Chapter I General Provisions
Article 1 Name of this Association: Henan Chamber of Commerce in Zhejiang Province (hereinafter referred to as this Association).
Article 2 This Association is a non-profit joint social organization voluntarily formed by enterprises and units founded by people from Zhejiang and Henan provinces.
Article 3 The purpose of this Association is:
1. Enhance the image of businessmen in Henan, safeguard their rights and interests, integrate various resources and seek greater development;
2. Abide by national laws and regulations, abide by social ethics, play a bridge role between enterprises and between enterprises and the government, promote mutual exchanges and cooperation, achieve prosperity and development, achieve self-discipline, and safeguard the legitimate rights and interests of members;
3. Adhere to the principle of unity, exchange, expansion, guidance and service for members, and adhere to the principle of promoting business with the society and supporting the society with business, and make contributions to the construction of socialist material civilization, spiritual civilization and political civilization in Zhejiang and Henan.
Article 4 The Association accepts the business guidance, supervision and management of the Economic and Technical Cooperation Office of the People's Government of Zhejiang Province and the Civil Affairs Department of Zhejiang Province.
Article 5 Address of the Association: Rooms 526 and 527, Wu Shanming Building Hotel, No.388 Hefang Street, Shangcheng District, Hangzhou.
Chapter II Scope of Business
Article 6 The business scope of this Association is:
1, safeguard the legitimate rights and interests of members, reflect their opinions, demands and suggestions to relevant departments, and keep close contact with government departments;
2. Provide members with information, technology, management, law, accounting, auditing, financing, consulting and other services;
3. Organize members to conduct business investigation and negotiation at home and abroad;
4. Organize members to hold trade fairs;
5. Carry out professional business training to help members improve their business management and financial management;
6. Attracting investment for Zhejiang and Henan provinces; ;
7. Provide relevant certificates for members, coordinate relations and mediate economic disputes;
8. To undertake matters entrusted by the government and relevant departments.
Chapter III Members
Article 7 Members of this Association are unit members. Including: Henan nationals or enterprises who invest in production and business activities in Zhejiang, and become members of the Association with the approval of the Council of the Association.
Article 8 A member applying to join this Association must meet the following requirements:
1. Have the will to join this association and recognize its articles of association;
2. Abide by the national constitution and regulations and have no serious criminal record;
3. Participate in our activities;
4. Pay the membership dues on time.
Article 9 Membership procedures:
1. Submit membership application;
2. It was discussed and adopted by the Council;
3. The membership card shall be issued by the Secretariat of the Chamber of Commerce authorized by the Council.
Article 10 Members shall enjoy rights.
1, the right to vote, the right to be elected and the right to vote;
2. Participate in the activities and relevant meetings of the Association and obtain all kinds of information and related materials provided by the Association;
3. Give priority to our services and all kinds of exhibition platforms provided by our association;
4. The right to suggest and supervise the work of this Association;
5. When the legitimate rights and interests of members are damaged, they have the right to apply for help from the Association;
6. Joining is voluntary and quitting is free.
Article 1 1 Obligations of Members
1. Abide by the articles of association and implement the resolutions of the association;
2. Safeguard the legitimate rights and interests of this Association;
3. Assist the Association to carry out relevant conference work and provide convenience, and accept related matters entrusted by the Association;
4. Pay membership dues according to regulations;
5. Reflect the situation to this Council, and provide information and materials that are conducive to investigation and research, discussion of problems, investment attraction and other related aspects, as well as suggestions to the governments of the two places.
Article 12 Members of this Association shall notify the member management organization in writing and return their membership cards; If a member fails to pay the membership fee or participate in the activities of the association for one year, he/she will automatically withdraw after being approved by the Council.
Article 13 If a member of this Association seriously violates any of the following circumstances, this Association will remove him from the list. After the collective discussion and voting by the Council, it will be notified on the information materials of the Association.
1, in violation of national laws, subject to criminal punishment;
2, engaged in illegal activities verified;
3. Personal behavior has great damage to the reputation of the association;
4. Violating the Articles of Association, especially if the circumstances are serious.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 The highest authority of this Association is the general meeting of members, and its functions and powers are:
1, to formulate and modify the Articles of Association;
2. Elect the Council;
3. To consider the work report and financial report of the Council;
4. To adopt the annual work plan and budget report of the Council and other major issues;
5. Decided to terminate.
Article 15 The general meeting of members shall be held once a year, and it may be held in advance or postponed if necessary. The meeting can only be held when more than two thirds of the members are present, and the resolution can only take effect when more than half of the members present agree.
Article 16 The general meeting of members is held every five years. If it needs to be changed or postponed in advance due to special circumstances, it must be approved by the board of directors, reported to the office of Economic and Technical Cooperation Office of the competent business department of Zhejiang Provincial People's Government for review, and approved by the Civil Affairs Department of Zhejiang Province, the registration authority of associations, but the longest change or postponement in advance shall not exceed 1 year.
Article 17 The Council is the executive body of the general meeting of members, leading the Association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.
Article 18 Functions and powers of the Council
1, implement the resolutions of the shareholders' meeting;
2. Elect and recall the president, executive vice president and vice president;
3. Prepare for the general meeting of members;
4. Report the work and financial status to the general assembly;
5. Decide on the absorption or recall of members;
6. Decide to set up offices, branches, representative offices and entities;
7. Decide on the appointment of the Secretary-General, Deputy Secretary-General, Deputy Secretary-General and principals of various institutions;
8. To lead the work of various institutions of the Association;
9. Formulate internal management system;
10, submit the annual work plan and financial budget to the General Assembly;
1 1. Decide other important matters.
Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.
Article 20 The Council shall convene a meeting at least once a year, and it may also be convened by means of communication under special circumstances.
Article 21 The Association shall establish a standing council. The Standing Council consists of President, Executive Vice President, Vice President, Secretary General, Deputy Secretary General, Deputy Secretary General and Executive Director. Upon confirmation by the Council, exercise the functions and powers of the Council when the Council is not in session and be responsible to the Council.
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Twenty-third meetings of the Standing Council shall be held at least once every six months, and may be held in the form of communication under special circumstances.
Article 24 The Association shall have 1 president, executive vice president, several vice presidents, 1 secretary general, 1 deputy secretary general, several honorary presidents and consultants. The above personnel must meet the following conditions:
1, adhere to the party's line, principles and policies, and have good political quality;
2. It has great influence in the business field of the association;
3. The maximum age of the president, executive vice president, vice president, secretary general and executive deputy secretary general is 70 years old;
4, good health, can adhere to normal work;
5. No criminal punishment of deprivation of political rights;
6. Have full capacity for civil conduct;
7. There is enthusiasm and enthusiasm for serving and seeking things for this association.
Article 25 The Association shall set up a president's office meeting, which shall be composed of the president, executive vice president, vice president, secretary general, executive deputy secretary general, deputy secretary general and specially invited executive directors. The president's office meeting is held once every quarter. The president's office meeting is an organizational form for implementing, executing and checking the relevant decisions of the Council and the Standing Council and studying major issues of the Association.
Article 26 The Association shall set up an office meeting of the executive president, which shall be composed of the president, the executive vice president, the secretary general and the executive deputy secretary general. Hold an executive chairman's office meeting once a month to study and decide how to deal with the relevant issues of the association in the same period.
Article 27 The president, executive vice-president, vice-president, secretary-general and executive deputy secretary-general of this Association shall be approved by the Council, reported to the Economic and Technical Cooperation Office of the People's Government of Zhejiang Province for examination, and approved by the Civil Affairs Department of Zhejiang Province, the registration authority of this Association, before taking up their posts.
Article 28 The term of office of the President of the Association shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two-thirds of the members of the general assembly, reported to the competent department of economic and technical cooperation office of Zhejiang Provincial People's Government for review, and approved by the Civil Affairs Department of Zhejiang Province, the organization registration management organ.
Article 29 The president of this Association is the legal representative of this Association. The legal representative of this Association shall not concurrently serve as the legal representative of other social organizations.
Article 30 The President of this Association shall exercise the following functions and powers:
1. Convene and preside over the Standing Council and the Council;
2, check the implementation of the resolutions of the General Assembly, the Council and the Standing Council;
3. Sign relevant important documents on behalf of the Association;
4. To represent the Association in other major activities related to the Chamber of Commerce;
5. Formulate and submit it to the general meeting of members to discuss the development policies and objectives of the Association.
Article 31 The Secretary-General of the Association shall be nominated and appointed by the President, and shall exercise the following powers with the approval of the Council:
1. Assist the President and the Executive Vice President in their daily work and organize the implementation of the annual work plan;
2. Coordinate the work of branches, representative offices and entities;
3. Nominate the principals of all offices, branches, representative offices and units, and submit them to the Council or the Standing Council for decision after being approved by the executive president's office meeting;
4. Decide on the employment of full-time staff in the offices of the Secretariat;
5. Coordinate the relationship between the Association and relevant government departments and sister organizations, and strengthen the contact with the outside world;
6. Handle other daily affairs.
Chapter V Principles of Asset Management and Use
Article 32 The sources of funds of this Association are:
1. Membership dues paid by members according to regulations;
2. Accept sponsorship and donations from members, enterprises and related persons;
3. government funding;
4. Income from activities or services provided within the approved business scope;
5. interest;
6. Other lawful income.
Article 33 The membership fee collection standard of this Association must be discussed and approved by the general meeting of members.
Article 34 The funds of this Association must be used for the business scope and career development stipulated in the articles of association, and may not be distributed among members or borrowed from abroad.
Article 35 An association shall establish a strict financial management system according to national laws and regulations to ensure that accounting information is legal, true, accurate and complete. The financial expenditure shall be signed by the chairman according to the financial regulations of the board of directors, and shall be supervised by the board of directors and the relevant financial departments of the government.
Article 36 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers, and they must conduct accounting and exercise accounting supervision. When an accountant changes his job or leaves his post, he must go through the handover procedures with the recipient.
Article 37 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and relevant financial departments. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 38 Before the Association changes its legal representative, it must accept the financial audit organized by the Civil Affairs Department of Zhejiang Province, the registration authority of associations and the office of the Economic and Technical Cooperation Office of the People's Government of Zhejiang Province.
Article 39 The assets of this Association belong to this Association, and no unit or individual may occupy, privately divide or misappropriate them.
Fortieth the wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented in accordance with the relevant provisions of public institutions.
Chapter VI Procedures for Amending the Articles of Association
Article 41 Any amendment to the articles of association of this Association shall be approved by the Council and submitted to the general meeting of members for deliberation.
Article 42 The articles of association of this Association shall come into effect within 05 days after being passed by the general meeting of members, examined and approved by the Economic and Technical Cooperation Office of the People's Government of Zhejiang Province, the competent business unit, and reported to the Civil Affairs Department of Zhejiang Province, the registration management organ of this Association.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 43 If the Association completes its purpose, dissolves or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a termination motion.
Article 44 The motion to terminate this association must be voted by the general meeting of members and submitted to the Economic and Technical Cooperation Office of the People's Government of Zhejiang Province for approval.
Article 45 Before the termination of this Association, a liquidation organization shall be established under the guidance of the Economic and Technical Cooperation Office of the People's Government of Zhejiang Province, the competent business unit and the relevant organs and units to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Forty-sixth this association shall be terminated after the cancellation of registration by the Civil Affairs Department of Zhejiang Province and the organization registration authority.
Article 47 The remaining property after the termination of the Association shall be used for the development of undertakings related to the purpose of the Association under the supervision of the Economic and Technical Cooperation Office of the People's Government of Zhejiang Province and the Civil Affairs Department of Zhejiang Province.
Chapter VIII Supplementary Provisions
Article 48 The articles of association of this Association were voted by the first general meeting on September 6, 2009.
Article 49 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 50 The Articles of Association shall come into force as of the date of approval by the Civil Affairs Department of Zhejiang Province, the registration authority of associations.
