Chapter I General Principles

Article 1 The name of this Association is Guangxi Insurance Industry Association (hereinafter referred to as "Association").

Article 2 This Association is an industry self-regulatory organization of commercial insurance industry in Guangxi, and a non-profit social organization formed voluntarily by insurance companies and insurance intermediary companies in Guangxi.

Article 3 The purpose of this Association is to provide services for its members, safeguard the interests of the industry and promote the development of the industry.

Article 4 This Association accepts the business guidance, supervision and management of Guangxi Supervision Bureau and Guangxi Civil Affairs Department of China Insurance Regulatory Commission.

Article 5 The office of the Association is located on the 6th floor, Block A, Xijiang Building, Minzu Avenue 100, Nanning.

Chapter II Scope of Responsibilities

Article 6 The core of our work is service, and its basic duties are: self-discipline, rights protection, coordination, communication and publicity.

(1) Formulating a self-discipline convention to be observed by the insurance industry in the whole region.

(two) to safeguard the legitimate rights and interests of member companies, and to reflect the same wishes and suggestions to the national insurance regulatory authorities and other government departments on behalf of the insurance industry.

(three) to urge all member units to implement various financial and insurance laws and policies.

(4) Restrain and standardize market behaviors according to industry practices, coordinate business relations among members, and accept the consultation of insurance parties.

(five) to promote the contact and exchange between the insurance industry in Guangxi and the insurance industry outside the region and abroad.

(six) to formulate a publicity plan, organize the overall publicity of the industry, popularize insurance knowledge, raise public awareness of insurance, commend advanced, and establish a good image of the insurance industry.

(seven) to organize insurance market research and provide members with market research, information consultation, training and other services.

(eight) to accept matters entrusted by the China Insurance Regulatory Commission and relevant government departments.

Chapter III Members

Article 7 Members of this Association include unit members and individual members.

Article 8 A member applying to join this Association must meet the following requirements:

(1) Support the articles of association.

(2) Have the will to join this Association.

(3) Insurance companies and insurance intermediary companies approved by the state insurance regulatory authorities and registered in the administrative department for industry and commerce.

(4) It has a certain influence in the insurance field and has a business share in the insurance market in Guangxi.

Article 9 Membership procedures:

(1) Submit the application for membership.

(2) The Council discussed and approved.

(3) The membership card shall be issued by the Council or an organization authorized by the Council.

Article 10 Members shall enjoy the following rights:

(1) Members have the right to deliberate, vote, vote and stand for election.

(2) Members have the right to participate in various activities organized by the Association.

(three) members have the right to put forward opinions and suggestions on the work of the association, as well as criticism and supervision.

(4) Freedom of voluntary membership and withdrawal.

Article 11 Members shall perform the following obligations:

(1) Abide by the rules formulated by the Association and implement the resolutions adopted by the Association.

(two) to safeguard the legitimate rights and interests of the association.

(three) to complete the tasks assigned by the association.

(four) to accept the consultation and investigation of the association, truthfully reflect the situation, and provide the required information in time.

(5) Pay membership dues on schedule.

Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of this association for one year, it will be deemed as automatic withdrawal.

Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the members' congress, and its functions and powers are:

(1) To formulate and revise the articles of association.

(2) Electing and dismissing directors, secretaries-general, etc.

(3) Review the work report and financial report of the Council.

(four) to consider matters raised by the Council and members.

(5) Deciding to terminate.

(six) to decide on other major issues.

Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives are present to vote.

Article 16 The general meeting of members is held every two years and needs to be changed or postponed in advance due to special circumstances. Voted by the board of directors, submitted to Guangxi Supervision Bureau of China Insurance Regulatory Commission for review and approved by Guangxi Civil Affairs Department. However, the term of office shall not be extended for more than one year.

Article 17 The Council is the executive body of the general meeting of members. When the Congress is not in session, lead the Association to carry out its daily work and be responsible to the Congress.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress.

(two) to elect and recall the president, vice president and secretary general of the Council.

(three) to prepare for the convening of the members' congress.

(four) to report the work and financial situation to the members' congress.

(5) Deciding to absorb or recall members.

(six) decided to set up offices and special committees.

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of the internal organs.

(eight) to formulate internal management system.

(9) Deciding on other major matters.

Article 19 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.

Article 20 The board of directors shall hold a meeting once a year. When the president is unable to perform his duties due to special reasons, the vice president shall convene or preside over it. If there are special circumstances, the board of directors may be convened temporarily upon the proposal of the president or more than one third of the directors, or by means of communication.

Article 21 The president, vice-president and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality.

(2) It has great influence in the business field of the Association.

(3) The maximum working age of the president, vice-president and secretary-general shall not exceed 65.

(4) Good health and can persist in work.

(5) Having not been subjected to criminal punishment of deprivation of political rights.

(6) Having full capacity for civil conduct.

Article 22 The president, vice-president and secretary-general of the Association shall be approved by the Council, submitted to the Guangxi Insurance Regulatory Bureau for review and approved by the Guangxi Civil Affairs Department before taking up their posts.

Article 23 The term of office of the President of the Association is two years, and he may not be re-elected. The Secretary-General shall be full-time with a term of two years and may be re-elected.

Article 24 The president of this Association is the legal representative of this Association, and does not concurrently serve as the legal representative of other organizations.

Article 25 The President of this Association shall exercise the following functions and powers:

(1) Convening and presiding over the Council.

(two) to check the implementation of the resolutions of the members' congress and the Council.

(3) Signing relevant important documents on behalf of the Association.

Article 26 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of each office and organize the implementation of the annual work plan.

(2) Coordinating the work of various offices and special committees.

(3) Nominating the Deputy Secretary-General and the principals of offices and special committees, and submitting them to the Council for decision.

(four) to decide on the employment of full-time staff in various offices and special committees.

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Twenty-seventh sources of funds of this Association:

(1) membership fees;

(2) Donation and misappropriation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 28 the association collects membership fees in accordance with relevant state regulations.

Article 29 The funds of this Association must be used for the business scope and career development as stipulated in the articles of association, as well as the salaries, welfare and other expenses of staff, and shall not be used for other purposes or distributed among members.

Thirtieth Association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 31 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through liquidation procedures with the receiver.

Article 32 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. Prepare the last year's final accounts report and this year's budget report every year 1 month, submit them to the Council for deliberation, and report them to Guangxi Supervision Bureau of China Insurance Regulatory Commission for the record. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way. If the association holds large-scale activities and needs to raise funds temporarily, it must be approved by the Council.

Article 33 Before the association changes its legal representative, it must accept the financial audit organized by the Civil Affairs Department of Guangxi District and Guangxi Supervision Bureau of China Insurance Regulatory Commission.

Article 34 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 35 The salary of full-time staff of this Association shall refer to the salary level of insurance industry in Guangxi, combined with the relevant provisions of the state and the actual situation of this Association, and the Secretary-General shall put forward a plan and report it to the Council for study and determination. The basic pension, medical care, unemployment and other social insurance and retirement systems for full-time staff shall be implemented in accordance with the relevant provisions of the state and Guangxi.

Chapter VI Procedures for Amending the Articles of Association

Thirty-sixth amendments to the articles of association of this association shall be submitted to the members' congress for deliberation after being voted by the board of directors.

Article 37 The revised Articles of Association of this Association shall take effect within 65,438+05 days after it is adopted by the members' congress, deliberated and agreed by Guangxi Supervision Bureau of China Insurance Regulatory Commission and reported to Guangxi Civil Affairs Department for approval.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 38 when the association is dissolved by itself, the board of directors shall propose a termination motion.

Article 39 The motion to terminate this Association shall be voted by the members' congress and submitted to the competent business unit for examination and approval.

Article 40 Before the termination of this Association, under the guidance of Guangxi Supervision Bureau of China Insurance Regulatory Commission and relevant departments, a liquidation organization shall be established to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 41 The Association shall be terminated after the cancellation of registration by the Civil Affairs Department of Guangxi District.

Article 42 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of Guangxi Supervision Bureau of China Insurance Regulatory Commission and Guangxi Civil Affairs Department in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 43 The Articles of Association was adopted by the members' congress on September 27th, 2005.

Article 44 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 45 The Articles of Association shall come into effect as of the date of approval by Guangxi Civil Affairs Department.
