Chapter I General Provisions

The name of this association is Chengdu Purchasing Service Association (CASS for short).

The Association consists of enterprises, scientific research institutions, universities, training institutions and other intermediary service institutions (including consulting institutions such as law firms and accounting firms) registered in Chengdu and engaged in information technology outsourcing (ITO), business process outsourcing (BPO) and knowledge process outsourcing (KPO) in the fields of finance, government and education, manufacturing, retail, service, energy, transportation and health.

Purpose of the Association: Abide by the Constitution, laws, regulations and national policies, abide by social ethics, and establish a service outsourcing industry cooperation system with Chengdu as the center, radiating the west and facing the international outsourcing market under the guidance of the national service outsourcing industry policy and development strategy, establish the overall image and brand of Chengdu service outsourcing, and promote the development of the western service outsourcing industry.

Article 4

The association accepts the business guidance, supervision and management of Chengdu Municipal Bureau of Commerce and Chengdu Civil Affairs Bureau.

Article 5

The association shall abide by the laws and regulations of the state and the articles of association of the association, safeguard national interests and social interests, and accept relevant government supervision.

Chapter II Scope of Business

Article 7

Business scope of the Association:

(1) Build a bridge between the government and enterprises, help enterprises to interpret and make good use of industrial policies, and at the same time put forward specific policy suggestions to the government according to the needs of enterprises.

(2) helping enterprises to explore international and domestic markets by organizing various market activities.

(3) Providing Chengdu service outsourcing industry research and information consulting services to member units, domestic and foreign contracting institutions and government departments.

(4) Integrated marketing services.

(5) Promote the construction of service outsourcing training system and promote school-enterprise cooperation.

(six) to promote the construction of service outsourcing supplier certification system.

(seven) to provide multi-link industrial support services for member units.

(eight) to provide expert consulting services for member units.

(nine) to carry out relevant publicity, training and consulting services around intellectual property protection.

(ten) to help member units to obtain relevant financial services and financial support.

Chapter III Members

Article 8

Members of this association are unit members.

Article 9

To apply to join this Association, the following conditions must be met:

(a) have the will to join the association and support the articles of association;

(2) an independent legal person organization registered in Chengdu;

(3) Enterprises engaged in service outsourcing, that is, enterprises with service outsourcing contract registration and contract execution performance in the service outsourcing business management system and software export and service outsourcing statistical system of the Ministry of Commerce;

(4) Universities and training institutions that provide order-based training for service outsourcing enterprises;

(5) Intermediary service agencies engaged in service outsourcing (such as talent dispatch agencies, certification agencies, examination and evaluation agencies, consulting service agencies, etc.). ).

Article 10

Membership procedures:

(a) submit a written application for membership;

(two) discussed by the secretariat and reported to the Council for adoption;

(3) The membership card shall be issued by the board of directors or an institution authorized by the board of directors within six months.

Article 11

Members enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in the activities of this association;

(three) the priority of obtaining the service of this association;

(four) have the right to criticize, suggest and supervise the work of this association;

(5) Freedom to join and quit voluntarily.

Article 12

Members shall perform the following obligations:

(a) to implement the resolutions of this Council;

(two) to safeguard the legitimate rights and interests and reputation of this association;

(three) to complete the work assigned by the association;

(four) according to the resolution of the annual general meeting, pay the membership fee according to the regulations;

(five) to reflect the situation to the association and provide relevant information;

(six) abide by the principle of industry self-discipline.

Article 13

Members who withdraw from the meeting shall notify the Association in writing and return their membership cards. If a member does not participate in the activities of this association for one year, it will be regarded as automatic withdrawal.

Article 14

If a member seriously violates the Articles of Association and the Articles of Association, the board of directors will vote to remove him.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 15

The highest authority of this Association is the member congress, whose main duties are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(4) Deciding on major changes and termination;

(5) Deciding on other major matters.

Article 16

Members' congresses can only be convened when more than two thirds of the members' representatives are present, and their resolutions can only take effect when more than half of the members' representatives present vote.

Article 17

The members' congress shall be presided over by the president of the association. When the chairman is unable to perform his duties due to special reasons, the vice chairman designated by the chairman shall preside over it. Members' representatives may entrust agents to attend the members' congress, and the agents shall submit the power of attorney signed by the members' representatives to the Association and exercise their voting rights within the scope authorized by the power of attorney.

Article 18

The matters discussed by the members' congress shall be recorded by the Council of the Association and signed by the members of the Council attending the meeting. The minutes of the meeting shall be kept together with the roster of members attending the meeting and the power of attorney of the agents attending the meeting.

Article 19

Members' congresses are held every two years. If it is necessary to advance or postpone the term change due to special circumstances, it must be voted by the board of directors, reported to the Chengdu Municipal Bureau of Commerce for review and approved by the Chengdu Civil Affairs Bureau. However, the term of office shall not be extended for more than one year.

Article 20

The Council is elected by the member congress and is the executive body of the member congress. During the intersessional period, lead the association to carry out its daily work and be responsible to the members' congress. The legal representative or principal responsible person of the member unit of the board of directors or other clear candidates of the unit shall exercise the rights of directors on behalf of the unit.

Article 21

The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to prepare for the convening of the members' congress;

(three) to elect and recall the chairman, vice chairman and secretary general;

(4) Appointment and dismissal of honorary directors and consultants;

(five) to formulate membership fee standards;

(six) to report the work and financial situation to the members' congress;

(seven) to decide to absorb or recall members;

(8) Deciding to establish offices, branches, representative offices and entities;

(nine) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(ten) to lead the work of the institutions affiliated to the association;

(eleven) to formulate internal management system;

(twelve) to decide on other major issues.

Article 22

The term of office of the board of directors is two years. Before the change, the current board of directors can recommend new members and elect a new board of directors at the shareholders' meeting. The new Council elected a new chairman, vice-chairman and secretary-general, and the previous Council dissolved itself.

Article 23

The number of members of the board of directors shall not exceed 65438+ 0/3 of the total number of members (it shall be odd). The Council shall hold regular meetings at least once a year, and may hold special meetings from time to time as required. The meeting of the board of directors can only be held when more than two thirds of the directors are present, and its resolutions can only take effect when more than two thirds of the directors are present to vote.

Article 24

The board meeting shall be attended by the directors themselves. If the director is unable to attend for some reason, he may entrust a representative to attend in writing, and the power of attorney shall specify the scope of authorization.

Article 25

The meeting of the board of directors shall truthfully record the decisions on the matters discussed, and the directors and recorders present at the meeting shall sign the minutes. Directors who express objections in the voting at the meeting have the right to request that the objections be truthfully recorded in the minutes of the meeting.

Article 26

The association has a secretariat, which is the daily office.

Article 27

The chairman, vice-chairman and secretary-general of this association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the Association;

(3) The maximum age of the chairman, vice-chairman and secretary-general shall not exceed 60, and the secretary-general shall be full-time;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 28

If the chairman, vice-chairman and secretary-general of the Association are over the maximum working age, they must be approved by the Council, reported to the Chengdu Municipal Bureau of Commerce for review, and approved by the Chengdu Civil Affairs Bureau before taking up their posts.

Article 29

The chairman and vice-chairman of the association shall serve for one term and shall not be re-elected. The term of office of the Secretary General shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the member congress, reported to the Chengdu Municipal Bureau of Commerce for review, and approved by the Chengdu Civil Affairs Bureau before taking office.

Article 30

The legal representative of this association is the chairman. The legal representative of this Association shall not concurrently serve as the legal representative of other associations.

Article 31

The President of the Association shall exercise the following powers:

(1) Convening and presiding over the Council;

(two) to check the implementation of the resolutions of the members' congress and the Council;

(3) Signing relevant important documents on behalf of the Association.

Article 32

The Secretary General of the Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of various offices, branches, representative offices and units, and submitting them to the Council for decision;

(four) to decide on the employment of full-time staff of Secretariat organs, representative offices and entities;

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Article 33

Sources of funds for the Association:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 34

The fees charged by members of this Association are as follows:

(1) Enterprises whose annual service outsourcing contract execution amount exceeds USD 6.5438+million: 20,000 yuan/year;

(2) Enterprises whose annual service outsourcing contract execution amount is more than 5 million 10000 USD:10000 RMB/year;

(3) Enterprises with an annual service outsourcing contract execution amount of more than $6,543,800 and less than $5 million: 5,000 yuan/year;

(4) The annual service outsourcing contract execution amount is less than $6.5438+RMB 2,000/year;

(5) Members of other units except service outsourcing enterprises: 2,000 yuan/year.

Article 35

The funds of this association must be used for the development of business scope and undertakings stipulated in the articles of association, and shall not be distributed among members.

Article 36

The Association has established a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 37

The association is equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 38

This group implements the accounting system of non-profit organizations, and its assets and financial management are subject to the supervision of member congresses and financial departments. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Article 39

Before the association changes its legal representative, it must accept the financial audit of Chengdu Municipal Bureau of Commerce and Chengdu Civil Affairs Bureau.

Article 40

No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 41

The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Article 42

The amendments to the articles of association of this Association shall be submitted to the members' congress for deliberation after being voted by the Council.

Article 43

The revised articles of association of this Association shall come into effect within 15 days after it is adopted by the members' congress, reviewed by Chengdu Municipal Bureau of Commerce and approved by Chengdu Civil Affairs Bureau.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 44

If the association completes its purpose, disbands itself or needs to be revoked due to division or merger, the Council shall propose a termination motion.

Article 45

The motion to terminate the association must be voted by the members' congress and reported to the Chengdu Municipal Bureau of Commerce for approval.

Article 46

Before the termination of this Association, a liquidation organization should be established under the guidance of Chengdu Municipal Bureau of Commerce and Chengdu Civil Affairs Bureau to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 47

After the cancellation of registration by Chengdu Civil Affairs Bureau, the Association was terminated.

Article 48

Under the supervision of Chengdu Municipal Bureau of Commerce and Chengdu Civil Affairs Bureau, the remaining property after the termination of the association will be used for the development of the cause related to the purpose of the association in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 49

The Articles of Association was adopted by the members' congress on April 29, 2009.

Article 50

The right to interpret the Articles of Association belongs to the Council of the Association.

Article 51

The Articles of Association shall come into effect as of the date of approval by Chengdu Civil Affairs Bureau.
