Chapter I General Principles

According to the spirit of Regulations on the Registration of Social Organizations and Provisions of Shanghai Municipality on Promoting the Development of Trade Associations, this Association is established. It is a cross-departmental and cross-ownership non-profit industry social group legal person, which is voluntarily formed for the same industry enterprises and other economic organizations in the non-ferrous metal industry in this city and implements industry service and self-discipline management.

Article 4

The competent business unit of this Association is Shanghai Economic and Information Technology Commission, and the registration authority is Shanghai Association Administration. The association also accepts the business guidance, supervision and management of Shanghai Economic and Information Technology Commission and Shanghai Association Administration.

Chapter II Tasks, Scope of Business and Principles of Activities

Article 6

The main tasks of the association are:

(a) to publicize and implement the national non-ferrous metal industry policy.

(2) Organize activities such as vocational training, famous and special products, energy saving and emission reduction, e-commerce platform promotion, exhibition investment promotion, and special seminars to improve the market competitiveness of member units.

(3) strive to run newspapers, websites and magazines well, and provide services for member units to understand industry information, display corporate image, promote product technology and participate in market competition.

(four) on behalf of the industry to reflect matters involving the interests of the industry to the state organs, and put forward economic policies and legislative suggestions.

(five) to accept the work of industry evaluation and certification, skill qualification evaluation, industry statistical investigation, industry development planning and product technical standards formulation, etc., which are handed over by the relevant government departments or entrusted by the association.

(six) to formulate and supervise the implementation of the rules and regulations of the industry, and abide by the principle of good faith. Take corresponding industry self-discipline measures for members who violate discipline and damage the overall image of the industry; It is suggested that the relevant government departments investigate and deal with enterprises that violate the rules.

(seven) to coordinate disputes between members, between members and non-members, and between members and consumers due to industry business activities.

(8) Organizing economic and technological exchanges and cooperation at home and abroad.

(nine) on behalf of enterprises in the industry, apply to the relevant government departments for anti-dumping and countervailing investigations or safeguard measures, and assist the relevant government departments to complete relevant investigations.

Article 7

The business scope of this association: industry research, technical training, editing and publishing, exhibition investment promotion, product promotion, intermediary consultation, information technology exchange at home and abroad, etc.

Article 8

Principles of the Association's activities:

(1) The Association shall carry out activities in accordance with the approved articles of association, abide by relevant laws, regulations and policies, and abide by social ethics.

(two) the activities of this association are fair, honest and trustworthy, and do not resort to deceit, and do not harm the interests of the state, other units and individuals.

(3) The Association does not engage in business activities that compete with enterprises in this industry in the name of the Association.

(4) The Association follows the principles of "democratic centralism" and "holding meetings independently" when carrying out activities, so as to work independently, choose their own jobs and be responsible for their own profits and losses.

Chapter III Members

Article 9

Members of this association are unit members. To apply for membership, they must meet the following conditions:

(1) Enterprises in the same industry and other economic organizations;

(2) Recognition of the articles of association;

(3) To join this Association voluntarily.

Article 10

Membership procedures:

(1) Submit the application for membership and a copy of the business license of the enterprise;

(2) The Board of Directors of this Association authorizes the Secretariat to examine and approve and issue relevant membership documents.

Article 11

Members enjoy the following rights:

(a) Have the right to vote, to be elected and to vote in this Association;

(two) to participate in relevant activities organized by the association;

(three) the priority of obtaining the service of this association;

(four) have the right to criticize, suggest and supervise the work of this association;

(5) Freedom to join and quit voluntarily.

Article 12

Members shall perform the following obligations:

(1) Abide by the articles of association of this Association, implement the resolutions of this Association, abide by the rules and regulations, and safeguard the interests of the industry;

(two) to complete the work entrusted by this association, and to support and participate in various activities of this association;

(3) Paying membership fees according to regulations;

(four) take the initiative to report the situation to the association and provide relevant information and statements;

(five) to safeguard the legitimate interests of this association.

Article 13

When a member withdraws from the association, he shall submit a written letter to the association and return his membership card. If a member fails to pay the membership fee or participate in the activities of the association within two years without reason, it will be deemed as automatic withdrawal.

Article 14

If a member seriously violates the national laws, regulations or articles of association, he/she shall be removed from the list and publicized with the consent of more than two thirds of the participants of the Council. If a member refuses to accept the delisting decision of the Council, he may lodge a complaint, which will be answered by the Council and submitted to the general meeting of members for consideration when necessary.

Chapter IV Organization and Person in Charge

Article 15

The highest authority of this Association is the General Assembly, and its functions and powers are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(4) Deciding to terminate.

(five) to decide on other major issues;

(6) Formulating membership fee standards.

Article 16

The general meeting of members is held once a year. A general meeting of members shall be held only when more than two thirds of the members are present, and its resolution shall take effect only when more than two thirds of the members are present.

Article 17

The general meeting of members is held every four years. If the shareholders' meeting needs to be held in advance or postponed due to special circumstances, it must be approved by the board of directors, and reported to the Shanghai Economic and Information Technology Commission for review, and approved by the Shanghai Association Administration. However, the term of office shall not be extended for more than one year.

Article 18

The association has a board of directors and is the executive body of the conference. When the general meeting is not in session, lead the association to carry out its daily work and be responsible for the general meeting.

Article 19

The functions and powers of the Council are:

(a) Implementing the resolutions of the General Assembly;

(2) Electing and dismissing principals and vice principals;

(3) Convening a general meeting of members and reporting their work and financial status to the general meeting;

(4) To decide on the recall of members;

(5) Deciding to establish branches, representative offices and entity institutions;

(six) to decide on the appointment and removal of the principal responsible persons of branches, representative offices and units;

(7) To decide on the appointment and removal of the Secretary-General on the nomination of the President;

(eight) according to the nomination of the Secretary General, to decide the appointment and removal of the Deputy Secretary General;

(nine) to lead the work of various institutions;

(ten) to formulate internal management system;

(eleven) to decide on other major issues.

Article 20

The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.

The Council shall meet at least once a year; Special circumstances can be held at any time.

Article 21

The president and vice president of the Association must meet the following requirements:

(a) has a greater impact in the industry; (2) The maximum working age is no more than 70 years old;

(3) Being in good health and able to stick to normal work;

(4) Having not been subjected to criminal punishment of deprivation of political rights;

(5) Having full capacity for civil conduct.

If the chairman and vice-chairman of the association are over the maximum age, they must obtain the consent of two-thirds of the directors present at the Council before they can take office.

Article 22

The term of office of the President and Vice-President of this Association is four years, and the President may not be re-elected for more than two terms.

If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members of the general assembly, reported to the competent business unit for examination and approval, and approved by the Shanghai Municipal Association Administration before taking office.

Article 23

The chairman of this Association is the legal representative. The legal representative of the association has no current public office in state organs and has good personal credit. The legal representative of this Association shall not concurrently serve as the legal representative of other social organizations.

Article 24

The President of the Association shall exercise the following powers:

(1) Convening and presiding over the joint meeting of the board of directors and vice presidents;

(two) to check the implementation of the resolutions of the General Assembly and the Council;

(3) Signing relevant important documents on behalf of the Association.

Article 25

The secretariat of the Association is the daily office of the Council. The Secretary-General shall preside over the day-to-day work of the Secretariat, and his qualifications shall refer to Article 2 1. The staff of the Secretariat shall be full-time, and the personnel distribution system and social security system shall be implemented in accordance with the relevant provisions of this Municipality.

Article 26

The Secretary General of the Association shall exercise the following functions and powers:

(a) to preside over the daily work of the Secretariat and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the heads of branches, representative offices and entities and submitting them to the Council for decision;

(four) to decide on the appointment and dismissal of full-time staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Article 27

Sources of funds for the Association:

(1) membership fees;

(2) donation;

(three) to undertake the funding entrusted by government departments;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 28

The funds of this association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.

Article 29

The Association has established a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 30

The association is equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 31

The asset management of this association strictly implements the financial management system stipulated by the state and accepts the supervision of the general meeting of members and the financial department. Where the source of assets belongs to state grants or social donations or subsidies, it shall be subject to the supervision of audit institutions and the relevant information shall be announced to the public in an appropriate way.

No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 32

Before the association changes its legal representative, it shall engage a professional audit firm to conduct an audit and issue an audit report.

Chapter VI Procedures for Amending the Articles of Association

Article 33

Amendments to the articles of association of this association shall be submitted to the general meeting of members for voting after deliberation by the Council.

Article 34

The revised articles of association shall be submitted to the Shanghai Association Administration for examination and approval, and shall take effect within 30 days after being approved by the general meeting of members and deliberated and agreed by the Shanghai Economic and Information Technology Commission.

Chapter VII Termination and Procedures and Property Disposal after Termination

Article 35

If it is necessary to cancel due to the completion of the purpose stipulated in the articles of association, dissolution or division or merger, the board of directors shall propose a termination motion.

Article 36

The termination proposal must be voted by the general meeting of members and reported to the Shanghai Economic and Information Technology Commission for approval.

Article 37

Before the termination of this association, a liquidation working group shall be established under the competent business unit and relevant departments to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 38

The association was terminated after the cancellation of registration by the Shanghai Municipal Association Administration.

Article 39

The remaining property after the termination of the Association shall be used for the development of undertakings related to the purpose of the Association under the supervision of the competent business unit and the Shanghai Municipal Association Administration in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 40

20 10 The Articles of Association was passed at the third general meeting of shareholders in July.

Article 41

The right to interpret the Articles of Association belongs to the Council of the Association.

Article 42

The Articles of Association shall come into effect as of the date of approval by Shanghai Municipal Bureau of Associations.
