Chapter I General Principles

Article 1 The name of this Association is: China Navigation Society (hereinafter referred to as "this Association"), and the English translation is: China Navigation Society, hereinafter referred to as CIN.

This association is a public welfare and academic legal person social group composed of maritime science and technology workers and relevant units of transportation, navy, ocean and fishery systems. It is a bridge and link between the production party and the government in China, an important social force for the country to develop marine science and technology, and an integral part of China Association for Science and Technology.

Article 4

The association accepts the business guidance, supervision and management of the competent business unit, China Association for Science and Technology, and the Ministry of Civil Affairs, the registration and management organ of associations. This Association belongs to the Ministry of Communications of People's Republic of China (PRC), and the party and government work of its offices is led and managed by affiliated units.

Chapter II Scope of Business

Article 6 The business scope of this Association is as follows:

(a) to carry out academic exchanges in navigation, invigorate academic ideas, improve the level of navigation science and technology, and promote the development and application of navigation science and technology;

(2) Accepting entrustment, demonstrating major decisions and scientific and technological projects in marine science and technology development strategies, policies and suggestions, making decision suggestions, evaluating and rewarding marine science and technology awards, evaluating scientific and technological achievements, evaluating technical post qualifications, and editing scientific and technological documents and standards;

(three) to carry out technical consultation, technical services, technology transfer and technology and exhibits exhibition in marine science and technology and related fields;

(4) Organizing continuing education and technical training for on-the-job maritime science and technology workers, popularizing maritime scientific knowledge, popularizing advanced maritime technology and scientific management experience, and carrying out maritime science and technology activities for young people;

(five) to organize the editing and publishing of books and anthologies on maritime science and technology, and to study and compile the history books on China's navigation;

(six) to discover and recommend talents, commend and reward maritime science and technology workers who have made outstanding achievements in maritime science and technology activities and boarding students in maritime colleges;

(seven) to organize international marine science and technology exchange activities and carry out friendly exchanges with foreign marine science and technology groups and scientists;

(eight) give full play to the favorable conditions of this association, strengthen ties with the shipping industry in Hong Kong, Macao and Taiwan, and make contributions to the cause of the reunification of the motherland;

(nine) to safeguard the legitimate rights and interests of members, reflect the wishes and requirements of members, and organize activities to serve members;

(ten) to raise and manage funds and funds for community activities;

(eleven) to carry out other work necessary for the development of navigation disciplines and navigation undertakings, to ensure navigation safety and to meet their own development needs.

Chapter III Members

Article 7 Members of this Association are divided into individual members and group members. Individual members are divided into senior members and ordinary members.

Article 8 A member who applies to join this Association shall have the will to join this Association and support its articles of association, and shall meet one of the following conditions:

Individual member

(1) Obtaining intermediate maritime titles or master's degrees as stipulated by the state;

(2) Having graduated from a maritime college or college in an institution of higher learning and having worked in enterprises, institutions and administrative departments such as scientific research, teaching and production for more than three years;

(3) Graduated from junior college and engaged in marine science and technology for more than five years;

(4) Having obtained the certificate of ship pilot and engineer issued by the government, having graduated from high school or having the same educational level, and having worked for more than five years;

(5) Scientific and technical personnel and management personnel in other disciplines closely related to marine science and technology, with academic qualifications and work experience in Items (1) and (2) of this paragraph;

(6) famous navigators;

(seven) other influential people who actively support the work of the Institute.

Group members must have the will to join the association, support the articles of association, be related to the business scope of the association, and have a certain number of scientific research, teaching, production and business units and academic groups of maritime science and technology teams.

Article 9 The procedures for members to join this Association are as follows:

(1) submitting an application for membership;

(two) discussed and approved by the chairman's office meeting, and then reported to the Council;

(3) The membership certificate is issued by the President's Office.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in the activities of this association;

(three) to obtain the priority of our services;

(four) have the right to criticize, suggest and supervise the work of this association;

(5) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations:

(a) To implement the resolutions of this Council;

(two) to complete the work assigned by the association;

(3) To report the situation to this Council and provide relevant information, materials and services;

(four) to pay membership fees in accordance with the provisions;

(five) to safeguard the legitimate rights and interests of this association.

Article 12

Members who quit the club shall notify the club in writing and return their membership cards; If a member 1 year fails to pay the membership fee or participate in the activities of the association, and fails to change it within 1 year after being prompted by the association, it will be regarded as automatic withdrawal and will be notified by the association.

Article 13 If a member commits any serious violation of Party discipline, national laws or the articles of association, he shall be removed from the membership upon the decision of the chairman's office and report to the Council.

Chapter IV Creation and Removal of Organizational Structure and Responsible Person

Article 14 The highest authority of this Association is the National Congress of its members, and its functions and powers are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(four) to decide on other major issues;

(5) Deciding to terminate.

Article 15 In principle, the National Congress of Members can only be convened when more than two thirds of the delegates are present, and its resolutions can only take effect when more than half of the delegates present vote.

Article 16

The National Congress of Members is held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it must be voted by the board of directors, reported to the competent business unit for review, and approved by the community registration authority. The longest extension shall not exceed 1 year.

Article 17 The Council is the executive body of the National Congress when it is not in session. It is responsible to the National Congress and leads the Association to carry out its daily work.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the National Congress of Members;

(two) to elect and recall the chairman, vice chairman and secretary general, to elect the executive director, and to decide to replace the executive director;

(three) to lead the work of the institutions of this Association;

(four) to report to the National Congress on work, financial situation and other major issues;

(five) to decide on the establishment or cancellation of offices, subordinate institutions and entities;

(6) To decide on the appointment of the Deputy Secretary-General;

(seven) to prepare for the convening of the National Congress of Members;

(eight) to formulate major internal management systems, and the general system can be reviewed and approved by the chairman's office meeting;

(9) Deciding on other major matters.

Article 19 In principle, the board of directors can only be convened when more than two thirds of the directors are present, and its resolutions can only take effect when more than two thirds of the directors are present to vote.

Article 20 In principle, the Council shall hold 1 meeting every two years, and in special circumstances, it may be conducted by means of communication.

Article 21 The Association shall have a standing council. The Standing Council is responsible to the Council, and when the Council is not in session, it shall exercise the functions and powers as stipulated in Article 18 except paragraph (2).

Article 22 In principle, the Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only when more than two thirds of the executive directors are present to vote.

Article 23 In principle, the Standing Council shall hold a meeting once a year, which may be conducted by means of communication under special circumstances.

Article 24

When the Standing Council is not in session, the chairman's office meeting will consider important matters in daily work. The meeting is attended by the chairman, vice-chairman, chairman, deputy secretary-general, office director and deputy director, and relevant executive directors are invited to attend if necessary. The chairman's office meeting is held every six months 1 time. When the president's office meeting is not in session, the important issues in the daily work of the society shall be studied and dealt with by the president, deputy secretary-general and director and deputy director of the office. This working meeting can be held at any time as needed, and the decision of the meeting should be reported to the subsequent chairman's office meeting.

Article 25 The chairman, vice-chairman and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the Association;

(3) The maximum working age of the chairman and vice chairman shall not exceed 70 years old. The Secretary-General is full-time, and the maximum working age is no more than 60 years old. If the Secretary-General works part-time, there may be 1 full-time Deputy Secretaries-General;

(4) Being healthy and able to work normally.

Article 26

If the chairman, vice-chairman and secretary-general of the association still need to serve beyond the prescribed maximum working age, they must be approved by the Council, reported to the competent business unit for review, and approved by the registration authority of the association before they can continue to serve.

Article 27

The term of office of the chairman, vice-chairman and secretary-general of the association is four years, and in principle, the term of office is no more than two. When it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the association registration authority.

Article 28

The chairman of this Association is the legal representative of this Association. Due to special circumstances, it is necessary for the vice president or the secretary-general to be the legal representative, which shall be reported to the competent business unit for examination, approved by the standing Council and approved by the association registration authority. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 29 The chairman of this Association shall exercise the following functions and powers:

(a) to convene and preside over important meetings such as the Council of the Society, the Standing Council, the President's office meeting and the working meeting;

(two) to check the implementation of the resolutions of the member congresses and meetings listed in the preceding paragraph of this article;

(3) Signing relevant important documents on behalf of the Association;

(4) Handling important matters related to this Council.

Article 30 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of all branches, and submitting them to the board of directors and the chairman's office meeting for decision respectively;

(four) to put forward suggestions on the employment of full-time personnel by organs and units, and implement them after approval;

(five) presided over the formulation of the management system of organs and units;

(6) If the full-time secretary-general meets the qualifications of the institution, he shall be the person in charge of the office of the institution;

(seven) to handle other daily affairs of the office.

When the Secretary-General is part-time, authorize the full-time Deputy Secretary-General to exercise the above functions and powers.

Article 31

According to the needs of the work, the association may set up several professional committees and periodical editorial departments within its business scope, and carry out the work after the approval of the competent business department and the approval of the association registration management authority. The person in charge of the professional committee and its members, and the full-time person in charge of the periodical editorial department shall be appointed after deliberation and decision by the director's office meeting. The professional committee should be named with the full name, that is, the professional committee of China Navigation Society ××. Professional committees and periodical editorial departments are all parts of this association.

Thirty-second regional societies are under the guidance of this association in their business.

Article 33

The professional committees of the association and the editorial department of the periodicals affiliated to the association are led by the association and are unincorporated organizations, and the party affairs and political work of their offices are led and managed by affiliated units. When it is necessary to set up an independent basic bank account due to work needs and qualifications, it should be approved by the association and relevant procedures should be handled according to regulations.

Chapter V Principles of Asset Management and Use

Article 34 Sources of funds of the Association

(1) membership fee. The association collects membership fees in accordance with relevant state regulations. The membership fee standards and collection methods shall be implemented after being adopted by the members' congress. Specific standards and measures shall be formulated separately.

(2) funds of affiliated units.

(three) to understand the funding of various departments and subsidies provided by relevant units.

(four) China Association for Science and Technology special funds projects or topics.

(5) Income from holding various undertakings.

(six) income from providing consulting, training, technical services and exhibitions.

(7) Donations and government subsidies.

(8) interest.

(9) Other lawful income.

The association collects membership fees in accordance with relevant state regulations. The membership fee standards and collection methods shall be implemented after being adopted by the members' congress. Specific standards and measures shall be formulated separately.

Article 35

The funds of this Association are only used for the business scope and career development stipulated in the articles of association of this Association, as well as the wages, subsidies, insurance, welfare and normal office expenses of full-time and part-time office staff of this Association, and shall not be distributed among members.

Article 36

Abide by the relevant national financial management system, establish necessary internal rules and regulations, and equip accountants with professional qualifications. Accounting personnel and cashier personnel shall not concurrently serve each other to ensure the legality, truthfulness, accuracy and completeness of accounting information. Accounting personnel must conduct accounting and exercise accounting supervision. When transferring or resigning, they must go through the handover procedures with the receiving party.

Article 37

The asset management of the association shall be handled in accordance with the system stipulated by the state, and shall be subject to the supervision of the members' congress or Council and the financial department. Where the source of assets belongs to state appropriations or social donations or subsidies, it shall be subject to the supervision of audit institutions, and relevant information may be released to the public in an appropriate way when necessary.

Article 38 Before changing its members or changing its legal representative, an association must accept the financial audit organized by the registration authority and the competent business unit of the association.

Article 39 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Fortieth the wages, insurance and welfare benefits of the full-time staff in the office of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Honorary Title

Article 41

The Association may, as appropriate, establish an honorary chairman, vice-chairman, senior consultant and honorary director. Nominated by the chairman or the chairman's office meeting, and awarded after deliberation and approval by the members' congress. It is mainly awarded to leaders at all levels of the original society and celebrities in related industries who have made important contributions to the establishment, construction and development of the society and no longer hold the current position of the society.

Chapter VII Procedures for Amending the Articles of Association

Forty-second amendments to the articles of association shall be submitted to the members' congress for deliberation after being voted by the Council.

Article 43 It shall come into effect within 15 days after being examined and approved by the competent business unit and reported to the registration authority of the association for approval.

Chapter VIII Termination Procedure and Property Disposal after Termination

Article 44 If an association completes its purpose or disbands itself, or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.

Article 45 The motion to terminate this Association must be voted by the members' congress of this Association and submitted to the competent business unit for examination and approval.

Forty-sixth before the termination of this association, a liquidation organization should be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out.

Article 47 An association shall be terminated after its registration is cancelled by the association registration authority.

Article 48 The remaining property after the termination of the association shall be used for the development of undertakings related to the purpose of the association under the supervision of the competent business unit, the association registration authority and the affiliated units in accordance with the relevant provisions of the state.

Chapter IX Supplementary Provisions

Article 49

The emblem is oval with a sea blue background and a silvery white edge. Above the arc, the English translation of "China Navigation Society" is written, with the English abbreviation designed in the shape of a ship in the middle, four silver-white lines symbolizing the ocean below, and the words "China Navigation Society" are written below. The words are all silver.

Article 50 The Articles of Association was adopted by the Sixth National Congress on October 26th, 2004.

Article 51 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 52 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
