Procedures for amending the Articles of Association
1. Propose to amend the Articles of Association.
Generally, the board of directors proposes amendments.

According to Articles 47 and 109 of the Company Law, the Board of Directors convened a general meeting of shareholders.
However, the revision of the Articles of Association is related to the overall development of the company and may not be proposed temporarily during the meeting.
If the board of directors fails to propose amendments to the Articles of Association, shareholders may propose amendments.
In the case that the board of directors does not preside over and convene the shareholders' * * * * * meeting, shareholders can convene and preside over the interim shareholders' * * * * meeting by themselves.

Article 38 and 100 of China's Company Law stipulate the authority of the shareholders' meeting to amend the articles of association.
The amendment of the articles of association of a limited liability company shall be approved by shareholders representing more than two thirds of the voting rights, and the amendment of the articles of association of a joint stock limited company shall be approved by more than two thirds of the voting rights held by shareholders present at the meeting.
However, in some cases, the resolution of the general meeting of shareholders is not required to amend the articles of association.
After the shareholders of a limited liability company transfer their shares, the company shall announce the capital contribution certificate of the original shareholders, issue the capital contribution certificate to the new shareholders, and amend the articles of association accordingly.
There is no need to vote at the shareholders' meeting to amend the Articles of Association this time.
4. The consent of the shareholders of the class shares
According to article 130 of the Company Law, a joint stock limited company may issue registered shares, bearer shares and other kinds of shares.
When the modification of the articles of association involves the interests of the shareholders of the classified shares, the Company Law of China does not stipulate that the modification of the articles of association requires the consent of the shareholders of the classified shares.
5. The revision of the specific articles of association shall be approved by the competent authority.
Amendments to the Articles of Association adopted by resolutions of the shareholders' general meeting shall be approved by the competent authority and reported to the competent authority for approval.
6. Announcement of specific articles of association change
