Article 1 The name of this group is: Beijing Zhejiang Enterprise Chamber of Commerce. English name:
Zhejiang Chamber of Commerce in Beijing, referred to as ZCCB.
Article 2 This organization is a non-profit social organization approved and registered by the Beijing Municipal Social Organization Registration Administration. It was jointly established by Zhejiang enterprises and institutions in Beijing and enterprises invested and operated by Zhejiang entrepreneurs in Beijing.
Article 3 The purpose of this group is to fully implement Scientific Outlook on Development under the guidance of Deng Xiaoping Theory and Theory of Three Represents. Abide by the Constitution, laws, regulations and national policies, and abide by social morality; Serve the members, serve the society and promote the economic and social development of Beijing and Zhejiang.
Article 4 The organization accepts the operational guidance, supervision and management of the Beijing Office of the People's Government of Zhejiang Province and the Beijing Civil Affairs Bureau, the administrative organ for registration of social organizations.
Article 5 The Group's office address: Floor 5, Zhejiang Building, No.26, Anzhen Xili District 3, Chaoyang District, Beijing.
Chapter II Scope of Business
Article 6 The business scope of the Group:
(a) to publicize and implement the party's line, principles and policies to members, abide by national laws and regulations, be honest and trustworthy, develop and innovate, and promote the development and growth of member enterprises;
(two) to safeguard the legitimate rights and interests of members;
(3) Organize domestic and international economic and trade exchanges, inspection, training, friendship and other activities for members from time to time;
(four) to strengthen the construction of enterprises, trade unions and other organizations of the Chamber of Commerce, and give full play to the vanguard and exemplary role of member units in party member.
Chapter III Members
Article 7 The organization is composed of unit members.
Article 8 A member applying to join this group must meet the following conditions:
(1) Supporting the articles of association of this group;
(two) have the will to join this group;
(3) Enterprises invested and operated by enterprises and institutions in Beijing and Zhejiang or entrepreneurs in Beijing and Zhejiang.
Article 9 The procedures for joining the club are as follows:
(1) Submit an application for membership to the secretariat of this group;
(two) discussed and approved by the Standing Council;
(3) The membership card shall be issued by the Standing Council, and the annual examination system shall be implemented, and the validity period shall be four years.
Article 10 Members shall enjoy the following rights:
The right to vote, to be elected and to vote of this group;
(two) the right to participate in meetings and activities related to this group;
(three) to obtain the priority of this group service;
(four) have the right to criticize, suggest and supervise the work of this group;
(5) Freedom to join and quit voluntarily.
Article 11 Members shall perform the following obligations:
(1) Abiding by national laws, regulations and policies;
(two) to implement the resolutions of this group and complete the matters entrusted by this group;
(three) concerned about and actively participate in the work and activities of this group;
(four) to safeguard the legitimate rights and interests and reputation of this group;
(five) to complete the work assigned by the group;
(six) to pay membership fees in accordance with the provisions;
(seven) to report the situation to the group and provide relevant information.
Article 12 When a member withdraws from the meeting, he shall notify the group in writing and return his membership card. If a member fails to pay the membership fee on time for more than half a year or fails to participate in the activities of this group for more than one year, it will be regarded as automatic withdrawal.
Thirteenth members who seriously violate the articles of association or seriously damage the collective interests of the group and the reputation of the government shall be removed after being voted by the Council or the Standing Council.
Chapter IV Organizational Structure
Fourteenth the highest authority of this group is the member congress, whose main duties are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors and supervisors;
(3) Reviewing the work reports and financial reports of the board of directors and the board of supervisors;
(four) to consider and adopt the working principles and tasks of this group;
(five) to decide on major changes and termination;
(six) the adoption of relevant resolutions, decisions and other major issues.
Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than two thirds of the members' representatives are present to vote.
Article 16 The general meeting of members shall be held every four years. Thirty days before the convening of the general meeting of members (representatives), the preparatory materials for the general meeting shall be sent to the competent business unit and the social organization registration authority for review, and the general meeting shall be held only after the conditions for convening the general meeting are confirmed. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the social organization registration administration organ. However, the term of office shall not be extended for more than one year.
Article 17 The Council shall be responsible for implementing the resolutions of the members' congress when it is not in session, leading the group to carry out its daily work and being responsible to the members' congress.
Article 18 The duties of the Council are:
(a) to implement the resolutions of the members' congress;
(two) to elect and recall the president, vice president and secretary general;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(five) to decide to absorb and recall members;
(6) Deciding to establish offices, branches, representative offices and entities;
(seven) to lead the work of this group;
(eight) to formulate internal management system;
(nine) to accept the opinions of the Council on the handling of disciplinary problems in this group, put forward solutions and accept their supervision;
(10) To decide on other major matters.
Article 19 The meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present at the meeting.
Article 20 The Council shall meet at least once a year for a term of four years.
Article 21 The Organization shall establish a standing council, consisting of 93 standing directors. The executive director is elected from among the directors. When the Council is not in session, the Standing Council shall exercise the following functions and powers, hold a meeting at least once every six months, and be responsible to the Council:
(a) to implement the resolutions of the members' congress;
(two) to prepare for the convening of the members' congress;
(3) Deciding to absorb and recall members;
(4) Deciding to establish branches and representative offices;
(five) to formulate internal management system;
(6) To decide on new organizational candidates, appoint leading members and honorary members, and submit them to the Council for voting;
(seven) to decide on other major issues.
The term of office of the Standing Council is the same as that of the Council and changes at the same time.
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 23 The Standing Council shall meet at least once every six months.
Article 24 The president, vice-president and secretary-general of this group must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) Having certain economic strength and great influence;
(3) The maximum working age is no more than 70 years old, and the secretary-general is full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct;
(seven) honest and fair, enthusiastic about public welfare undertakings, and actively participate in the activities of this group.
Article 25 The legal representative of this group is the president. The president shall not be the legal representative of other social organizations at the same time. The term of office of the president shall not exceed two terms.
Article 26 The President shall exercise the following functions and powers:
(a) to convene and preside over the Council and the Standing Council;
(two) to check the implementation of the resolutions and systems of this group;
(3) Sign relevant important documents on behalf of the group.
Article 27 The Secretary-General of this group shall exercise the following functions and powers:
(a) to preside over the daily work of the Secretariat and organize the implementation of the annual work plan;
(2) Coordinating the work of branches and representative offices;
(3) Nominating the Deputy Secretary-General and the principals of branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(five) to complete other tasks assigned by the president.
Article 28 The supervisory board of this group consists of five members, elected by the general meeting of members and responsible to the general meeting of members. Its main responsibilities are:
(1) Electing the chief supervisor and deputy chief supervisors;
(2) Attending the Council and the Standing Council;
(3) To supervise the activities of this group and its leading members in accordance with the Regulations on the Administration of Registration of Social Organizations and relevant laws and regulations;
(4) To supervise the activities of the Group and its leading members in accordance with the approved articles of association, business scope and internal management system;
(five) to supervise the behavior of members of this group who violate the discipline of this group and damage the reputation of this group, and put forward suggestions;
(six) to supervise the financial situation of the group;
(seven) put forward opinions on the illegal and disciplinary acts of this group, submit them to the Council (or the Standing Council) and supervise the implementation.
Chapter V Asset Management
Twenty-ninth sources of funds for this group:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Thirtieth groups in accordance with the relevant provisions of the state to collect membership fees.
Article 31 The funds of this group must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 32 The Group shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.
Article 33 The Group is equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 34 The assets management of the Group shall implement the financial management system stipulated by the state, and accept the supervision of the members' congress and the board of supervisors. If the source of assets belongs to government subsidies or social donations or subsidies, it must accept the supervision of audit institutions and publish relevant information to the public in an appropriate way.
Article 35 Before an organization changes or changes its legal representative, it must accept the financial audit organized by the social organization registration administration organ and the competent business unit.
Article 36 No unit or individual may occupy, privately divide or misappropriate the assets of this group.
Chapter VI Termination Procedure
Article 38 If a group is dissolved by itself or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a motion for termination.
Article 39 The motion to terminate this group must be voted by the members' congress and submitted to the competent business unit for examination and approval.
Article 40 Before the termination of the organization, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out.
Article 41 This organization shall be terminated after the cancellation of registration by the social organization registration administration organ.
Article 42 The remaining property after the termination of this group shall be used for the development of undertakings related to the purpose of this group under the supervision of the competent business unit and the registration administration organ of social groups, under the guidance of the competent business unit and in accordance with the relevant provisions of the state and the articles of association of this group.
Chapter VII Supplementary Provisions
Article 43 The Articles of Association was adopted by the fourth member congress on February 26th, 20 10.
Article 44 The right to interpret the Articles of Association belongs to the Council of the Organization.
Article 45 The Articles of Association shall come into force as of the date of approval by the management and registration authority of social organizations.
