(2) Having property managed by an enterprise or owned by an enterprise authorized by the state, and being able to bear civil liability independently with its property;
(3) Having management institutions, financial institutions, labor organizations and other institutions suitable for the scale of production and operation;
(4) Having the necessary business premises and facilities suitable for the business scope;
(5) Having employees suitable for the scale of production and operation and business, including no less than 8 full-time employees;
(6) Having a sound accounting system, being able to conduct independent accounting, being responsible for its own profits and losses, and independently preparing the fund balance sheet or balance sheet;
(7) Having a registered capital that meets the prescribed amount and is suitable for the business scope, and if the state has special provisions on the amount of registered capital of an enterprise, such provisions shall prevail;
(8) It has a business scope that conforms to the provisions of national laws, regulations and policies;
(nine) other conditions stipulated by laws and regulations.

Article 3 An application for registration of an enterprise as a legal person shall be approved and registered by the competent registration authority of an enterprise as a legal person, and a Business License for an enterprise as a legal person shall be obtained, and its legitimate rights and interests shall be protected by state laws. If it is necessary to register an enterprise as a legal person according to law, it shall not engage in business activities without the approval of the competent registration authority of an enterprise as a legal person.
Article 8 The registration of an enterprise as a legal person shall be applied by the person in charge of the establishment of the enterprise. A joint venture that independently bears civil liability shall be registered as an enterprise legal person by the person in charge of establishing the joint venture.
Chapter IV Registration Items
Article 9 The main items to be registered as an enterprise as a legal person: enterprise name, domicile, business premises, legal representative, economic nature, business scope, mode of operation, registered capital, number of employees, business term and branches.
Article 10 An enterprise as a legal person can only use one name. The name of an enterprise as a legal person applying for registration shall be approved by the registration authority, and after approval and registration, it shall enjoy the exclusive right within the prescribed scope. To apply for the establishment of Chinese-foreign equity joint ventures, Chinese-foreign contractual joint ventures and foreign-capital enterprises, an application for enterprise name registration shall be made to the registration authority before the contract and articles of association are examined and approved.
Article 11 The legal representative of an enterprise as a legal person approved and registered by the registration authority is the signatory who exercises power on behalf of the enterprise. The signature of the legal representative shall be filed with the registration authority.
Article 12 The registered capital refers to the amount of property that the state authorizes an enterprise as a legal person to operate and manage or the property owned by an enterprise as a legal person. Where an enterprise as a legal person applies for industrial and commercial registration and the amount of funds applied for registration is inconsistent with the actual amount of funds, it shall be handled in accordance with the special provisions of the state.
Article 13 The business scope of an enterprise as a legal person shall be suitable for its capital, site, equipment, employees and technical force; According to the relevant provisions of the state, priority can be given to the development of one industry and run other industries concurrently. An enterprise as a legal person shall engage in business activities within the approved and registered business scope.
