State-owned enterprises to set up subsidiaries need to perform the following procedures:

1. Pre-approval of application name;

2. Before applying for registration, it shall be approved by the relevant state departments and submit the relevant approval documents to the company registration authority;

Article 14 of the Company Law of People's Republic of China (PRC)

A company may set up subsidiaries, which have legal personality and independently bear civil liabilities according to law.

Article 17 of the Regulations of the People's Republic of China on the Administration of Company Registration

The establishment of a company shall apply for pre-approval of its name.

Article 22

Where the business scope of the company applying for registration belongs to the items that must be approved before registration according to laws, administrative regulations or the State Council decisions, it shall be reported to the relevant state departments for approval before applying for registration, and the relevant approval documents shall be submitted to the company registration authority.

Article 25

For a legally established company, the company registration authority shall issue the Business License of Enterprise as a Legal Person. The date of issuance of the business license of the company is the date of establishment of the company. With the Business License of Enterprise as a Legal Person issued by the company registration authority, the company seals, opens a bank account and applies for tax registration.
