In essence, there is no problem of "selling" the exploration right of Cuihongshan iron polymetallic mine, but the cooperative development led by Heilongjiang provincial government for attracting investment. According to the spirit of the minutes of the meeting of the provincial economic commission on February 4, 2004, the Sixth Geological Survey Institute of Heilongjiang Province, like Yichun Forest Management Bureau, took shares in the form of exploration rights and interests, and cooperated with shareholders such as Xigang in the form of state-owned shares to develop and construct the Cuihongshan iron polymetallic mine.

On February 28th, 2005, the Ministry of Land and Resources appointed Beijing Haitian Mining Rights Appraisal Office to appraise the Cuihongshan iron polymetallic mine, and the price of exploration right of Cuihongshan iron polymetallic mine was 3 1 10,000 yuan. After repeated consultations, the Sixth Institute and Cuihongshan Mining signed a cooperation agreement in September 2006, and the total rights and interests of exploration rights were determined to be 560 million yuan. On June 25, 2009, the Sixth Provincial Institute injected the exploration right into Cuihongshan Mining, and Cuihongshan Mining also fulfilled the industrial and commercial change registration procedures according to law. After the total investment of the mine is determined, there is actually no problem of selling state-owned rights to Xigang when adjusting the shareholding ratio. This paper puts forward that there is no bidding, auction and hanging procedure for the transfer of prospecting right of Cuihongshan iron polymetallic mine. In fact, the second paragraph of Article 10 of the Management Measures for Bidding, Auction and Listing of Exploration and Mining Rights (197) issued by the Ministry of Land and Resources has clearly stipulated that "mining enterprises that meet the overall planning of post-mining areas shall not be awarded by the competent authorities in the form of bidding, auction and listing", and Cuihongshan iron polymetallic mine is a continuous mine source in Xigang, and the development of this mine is a joint-stock development led by the Heilongjiang provincial government, which conforms to the provisions of this article. At the same time, according to Article 5 of the Notice of the Ministry of Land and Resources (2006) 12 on Further Standardizing the Management of Mining Rights Transfer, Cuihongshan Iron Polymetallic Mine is a large-scale mineral resources development project approved by the Heilongjiang Provincial Government and reported to the Ministry of Land and Resources for the record, and it is allowed to be transferred by agreement. In the process of prospecting, the Ministry of Land and Resources issued a prospecting license to the Sixth Geological Survey Institute of Heilongjiang Province in accordance with normal working procedures. After the Sixth Geological Survey Institute of Heilongjiang Province injected capital into Cuihongshan Mining in accordance with the spirit of the minutes of the meeting of the Provincial Economic Commission and the cooperation agreement, Cuihongshan Mining is applying for a mining license in accordance with normal legal procedures, and the whole procedure is reasonable, legal and compliant.

Regarding the price of exploration right, the related matters of the evaluation of the price of exploration right of Cuihongshan Iron Mine in September 2005 were evaluated by Beijing Haitian Mining Right Evaluation Office designated by the Ministry of Land and Resources, and the evaluation results have legal and scientific basis. The appraisal report of exploration right issued by the appraisal firm is recognized by the Ministry of Land and Resources and has legal effect.
