Principal-agent contract is only the basis of principal-agent relationship, and has nothing to do with legal agent and appointed agent. At the same time, the entrustment contract also applies to the economic behavior and simple transaction behavior that does not involve the third party outside the agency system. Agency relationship is the relationship of rights and obligations between the agent, the principal and the third party, and its legal effect involves three parties. The agent must have the power of agency, and it is legally binding on the principal and the third party based on the legal consequences of the agent's behavior-the establishment, alteration and elimination of the legal relationship; On the other hand, the entrustment contract is different, and its legal binding force is limited to the principal and the trustee. Even in the entrustment, the entrustment contract only provides a legal premise for the principal to grant the agent the right of agency, and it is not legally binding on the third party.

Article 163 Agency includes entrusted agency and legal agency.

Article 165 If the power of attorney is in written form, it shall specify the name of the agent, the matters to be represented, the authority and the time limit, and shall be signed or sealed by the principal.
Article 167 If an agent knows or should know that the agency matters are illegal, or the principal knows or should know that the agent's agency behavior is illegal, and he still acts as an agent without raising any objection, the principal and the agent shall bear joint liability.
