Chapter I General Principles
Article 1 In order to regulate the behavior of the management of pharmaceutical limited liability company (hereinafter referred to as the company) and ensure that the general manager (deputy general manager and other managers) of the company faithfully perform their duties and work diligently and efficiently, these working rules are formulated in accordance with the Company Law of People's Republic of China (PRC) and the articles of association.
Article 2 The website of this article states that the general manager is the main person in charge of the company's permanent executive body, that is, the operation and management organization, and is responsible to the board of directors, presiding over the daily operation and management of the company, organizing the implementation of the resolutions and major decisions of the board of directors, and exercising his functions and powers according to law within the scope stipulated in the articles of association and authorized by the board of directors.
Article 3 These Rules are binding on the general manager, deputy general managers and other senior managers.
Chapter II Employment of General Manager
Article 4 The Company shall have a general manager, deputy general managers and other senior management personnel.
Article 5 The general manager shall be appointed or dismissed by the board of directors. The deputy general manager and other senior management personnel shall be nominated by the general manager (the chief financial officer shall be appointed and recommended by the controlling shareholder) and reported to the board of directors for appointment or dismissal.
A director may concurrently serve as the general manager or deputy general manager and other senior management personnel of the company.
Article 6 The term of office of the general manager (deputy general manager and other senior managers) is three years, and he may be re-elected if re-elected. The employment contract can be employed one by one, clarifying the rights and obligations of both parties.
Article 7 The general manager (deputy general manager and other senior managers) may resign before the expiration of his term of office, submit a written resignation report to the board of directors, and leave his post after being approved by the board of directors and audited.
Article 8 A person under the circumstances specified in Article 8 of the Company Law may not serve as the general manager, deputy general manager or other senior management personnel of the company.
Chapter III Functions and Powers of General Manager
Article 9 The general manager shall exercise the following functions and powers:
(1) To preside over the production, operation and management of the company and report to the board of directors;
(2) Organizing the implementation of the resolutions of the board of directors, the company's business plan and investment plan;
(3) To draft the company's financial budget and final accounts;
(4) To draft the establishment plan of the company's internal management organization;
(five) to formulate the basic management system of the company;
(6) To formulate specific rules of the company;
(VII) To propose the appointment or dismissal of the company's deputy general manager, financial controller and other senior management personnel;
(eight) to appoint or dismiss the responsible management personnel other than those who should be appointed or dismissed by the board of directors;
(9) To draft the salaries, benefits, rewards and punishments of the employees of the Company, and decide on the employment and dismissal of the employees of the Company;
(10) Proposing to convene an interim meeting of the board of directors;
(1 1) Non-executive directors attend board meetings as nonvoting delegates;
(12) Other powers granted by the board of directors.
Article 10 When the general manager is unable to perform his duties due to special reasons, he has the right to appoint a deputy general manager to perform his duties.
Article 11 According to the authorization of the legal representative of the company, sign relevant agreements and contracts on behalf of the company and handle related matters.
Chapter IV Obligations of General Manager
Article 12 The general manager (deputy general manager and other senior managers) shall abide by laws, administrative regulations and the Articles of Association, faithfully perform his duties, safeguard the interests of the company and investors, and safeguard the legitimate rights and interests of employees.
