The rights of the legal representative are as follows:
1. The legal representative of an enterprise shall exercise his/her functions and powers and perform his/her obligations within the scope of functions and powers stipulated by national laws, regulations and articles of association, participate in civil activities on behalf of the enterprise, be fully responsible for the production, operation and management of the enterprise, and accept the supervision of all members of the enterprise and relevant authorities;
2. The legal representative of the enterprise may entrust others to perform their duties;
3. When the legal representative of the enterprise entrusts others to perform their duties, it shall have written authorization. The functions and powers that must be exercised by the legal representative according to laws and administrative regulations shall not be entrusted to others;
4. The legal representative of an enterprise as a legal person is the signatory who exercises power on behalf of the enterprise.
The responsibilities of the legal representative are as follows:
1, bear civil liability for compensation to the legal person due to business mistakes;
2. The legal representative may bear the civil tort liability for the act of infringing the property of the unit alone or together with XXX;
3. Civil sanctions for illegal acts: fines and detention.
To sum up, during the existence of a legal person, its business scope, legal person nature, articles of association, legal person structure and business scale have changed.

A legal person shall be dissolved in any of the following circumstances:
(1) The time limit stipulated in the articles of association of the legal person expires or other reasons for dissolution stipulated in the articles of association of the legal person arise;
(2) The corporate body is dissolved by resolution;
(3) It needs to be dissolved due to the merger or division of a legal person;
(4) The legal person has its business license and registration certificate revoked according to law, and is ordered to close down or be revoked;
(5) Other circumstances stipulated by law.
