Supplier representatives as well as allmerchandise provide to Buyer a warranty that they will comply with and manufacture, price, sell and label in compliance with all applicable international, federal, state and local laws, regulations, ordinances, regulations, theUnited Country Code and Orders, including without limitation, environmental, laborlaws, consumer product safety, agricultural, foodand pharmaceutical and intellectual property laws, applicable industry codes and standards. Seller also represents and warrants that the merchandise soldto Buyer under this purchase order is indeed
and shall not infringe or violate anytrademark, copyright, patent or other intellectual property rights of anyperson or entity. The supplier represents and warrants its operations complywith all applicable laws and regulations of the supplier's country and its political subdivisions. This includes, but is not limited to, employment and labor, environmental and intellectual property laws and regulations. Vendorunderstands that sellers who fail to comply with these laws and regulations maydamage the reputation of DT merchandise sold in the marketplace. Seller agrees that any goods supplied below that should be deemed to be in breach of any provisionof this paragraph, at Buyer's option; (i) may be destroyed or returned to Supplier for a full refund at the supplier's cost, including all shipping and packagingexpenses; and/or (ii) may cancel any uncontractsand/or purchase orders with the Supplier and cease doing business with the Supplier if Vendor is unable to rectify the Mannersatisfactory situation and accept the Buyer within the time frame.
