Article 5 Documents Attached to Goods

Article 6 Product acceptance
Party A shall conduct acceptance according to the standards agreed in Article 1 and Article 2 of this contract. Party A has the right to reject products that are damaged or do not meet Party A's requirements, and Party B shall promptly replace qualified products or supplement relevant materials free of charge, and bear relevant expenses by itself.

Article 9 Intellectual property rights

Article 10 Confidentiality
1. The information of Party A obtained by Party B due to the signing and performance of this contract belongs to the business secrets of Party A, and Party B shall undertake the obligation of confidentiality. Without the written consent of Party A, Party B shall not use this contract for other purposes, nor disclose it to any third party in any way.
2. In case of violation, Party B shall pay 20% of the total contract price to Party A as liquidated damages. If it is not enough to make up for the losses of Party A, Party B shall continue to make compensation.
Article 11 Liability for breach of contract
1. If Party B delays the delivery, Party B shall pay Party A 0.5% of the total contract price as penalty for each day of delay. If the delivery is delayed for more than 30 days, Party A has the right to terminate the delayed delivery contract, and Party B shall still pay the above liquidated damages. If the liquidated damages are insufficient to make up for Party A's losses, Party B shall continue to be liable for compensation.
2. The varieties, specifications and quality of the goods delivered by Party B are not in conformity with the contract. If Party A agrees to accept it, the price shall be determined according to the quality; If Party A does not agree to accept it, Party B shall be responsible for the maintenance or replacement and bear the relevant expenses. Article 12 Force Majeure
In this contract, force majeure refers to unforeseeable, unavoidable and insurmountable objective circumstances. If one party is unable to perform the contract or fully perform the contract due to force majeure, it is allowed to postpone, partially perform or fail to perform the contract according to the influence of force majeure, and the party suffering from force majeure may be exempted from liability in part or in whole. The part not affected by force majeure shall continue to be performed.
Article 13 Special provisions on value-added tax
