Articles of Association of Henan Council for the Promotion of International Trade

(Deliberated and approved by the Second Member Congress of Henan International Chamber of Commerce on June 17, 2004)

Chapter 1 General Provisions Article 1 Name: Henan International Chamber of Commerce ( Henan Chamber of International Commerce, abbreviated as CCOIC Henan).

Article 2 Henan International Chamber of Commerce is the local chamber of commerce of the China Chamber of International Commerce. It is a province-wide foreign-related non-profit society voluntarily formed by people, enterprises and groups engaged in economic, trade and industrial and commercial activities in Henan Province. Economic groups are social group legal persons.

The purpose of Article 3 Henan International Chamber of Commerce is:

(1) In accordance with the laws, regulations, and policies of the People's Republic of China and with reference to international practices, actively promote our province's Trade, investment and economic and technological cooperation and exchanges with countries and regions around the world;

(2) Represent the overall interests and long-term interests of members, safeguard the legitimate rights and interests of members engaged in economic and trade activities, and communicate between enterprises and Inter-governmental contact promotes the development of Henan International Chamber of Commerce and the prosperity of industrial and commercial enterprises in Henan Province, and strives to make Henan International Chamber of Commerce an influential, powerful and representative intermediary agency in our province.

Article 4 The Henan Chamber of International Commerce is located in Zhengzhou City, Henan Province.

Chapter 2 Functions

Article 5 Functions of Henan International Chamber of Commerce:

(1) Conduct surveys and research to understand the business needs of members and other economic entities ; Assist members in anti-dumping investigations, organize members’ anti-dumping, countervailing and other response work;

(2) Provide information and consultation to members, provide relevant legal services, and accept entrustment to handle patent applications and trademark registrations Application, etc.;

(3) Carry out liaison work with the economic and trade circles of various countries and regions, invite and receive visits from economic, trade, and technical circles and delegations from various countries and regions, and organize the economic, trade, and technical circles of Henan Province , legal delegations go abroad for visits, inspections, training, exchanges and economic and trade negotiations;

(4) Strengthen contacts with chambers of commerce, economic and trade associations and other international trade organizations in various countries and regions, and conduct economic and trade and related Activities;

(5) Organize Henan Province’s foreign economic and trade enterprises and groups to hold economic and trade exhibitions or participate in international expos in various countries and regions, and coordinate relevant parties to hold economic and trade exhibitions or participate in international expos in various countries and regions. Expo work;

(6) Contact and organize technical exchanges with foreign enterprises;

(7) Resolve international economic and trade disputes fairly and impartially through mediation;

(8) Train professional talents for members through various forms;

(9) Coordinate the relationship between members, safeguard the rights of fair competition among members, maintain normal sales order, To prevent members' legitimate rights and interests from being harmed;

(10) Communicate the relationship between the enterprise and the government, publicize the government's guidelines, policies and regulations to the enterprise; represent the interests of the enterprise to report the situation and make suggestions to the government ;

(11) Apply for certificate of origin, certification of foreign-related commercial documents, international commercial certificate, and temporary import document carnet for goods. Including: issuing the "Certificate of Origin of Goods Exported from the People's Republic of China", "Processing and Assembly Certificate" and "Transportation Certificate"; certifying foreign-related commercial documents; handling international commercial certificates; handling consular certification on behalf of the People's Republic of China; issuing manpower required Proof of resistance, issuance of goods temporary import carnet (referred to as ATA carnet) and other related certification services;

(12) Signing with various countries, regional chambers of commerce, chambers of commerce and industry and related associations, etc. Bilateral or multilateral cooperation agreements; responsible for coordinating and managing foreign chambers of commerce and related institutions in Henan Province;

(13) Undertake matters entrusted by the provincial government and relevant departments;

(14) ) to carry out other activities permitted by the purposes of the International Chamber of Commerce.

Chapter 3 Members

Article 6 Henan International Chamber of Commerce is divided into group members, individual members and corporate members.

Article 7 Members who apply to join the association must meet the following conditions:

(1) Support the association’s charter;

(2) Be a member The will of the Association;

(3) All organizations, institutions, chambers of commerce, associations and academic groups related to industry, commerce and economics and trade can apply to join the Henan International Chamber of Commerce as group members;

(4) Entrepreneurs, experts, scholars and celebrities engaged in industry, commerce and related activities can become individual members of the Association upon application and approval. Economic workers, economic theory researchers, legal workers and other relevant persons who are related to the work of the Henan International Chamber of Commerce can join or be invited to become individual members of the Association;

(5) Anyone who is committed to engaging in All types of economic and trade enterprises with good business performance and reputation can apply to join the Henan International Chamber of Commerce and become corporate members.

Article 8 The procedures for membership membership are:

(1) Submit an application for membership;

(2) Submit relevant supporting documents or materials (business license , legal person ID card or personal ID card, etc.);

(3) Discuss and approve at the board of directors meeting;

(4) Issue membership card.

Article 9 Members have the following rights:

(1) The right to elect, be elected and vote for the Association;

(2) All parties participating in the Association Activities;

(3) Priority to obtain services from the Association;

(4) The right to criticize, suggest and supervise the work of the Association;

(5) ) Membership is voluntary and membership is free;

(6) Request the Association to safeguard its legitimate rights and interests.

Article 10 Members must perform the following obligations:

(1) Abide by the chamber’s charter and implement the association’s resolutions;

(2) Maintain the association’s Legitimate rights and interests;

(3) Complete the work assigned by the Association;

(4) Pay membership fees as required;

(5) Report the situation to the Association , provide relevant information.

Article 11 Members who wish to withdraw from membership should notify the Association in writing and return their membership cards. If a member fails to pay membership fees or participate in the activities of the association for one year, he will be deemed to have automatically withdrawn from membership.

Article 12 If a member seriously violates this Articles of Association, he or she shall be removed from the membership upon the approval of the Standing Council.

Chapter 4 Organizational Structure and the Creation and Removal of Persons in Charge

Article 13 The highest authority of the Association is the Member Congress, and the powers of the Member Congress are:

(1) Formulate and amend the Articles of Association;

(2) Elect and remove directors, form the Board of Directors and the Standing Board;

(3) Review the decisions of the Board of Directors Work reports and financial reports;

(4) Discuss and decide on other major matters.

Article 14 The member congress can only be held when more than 2/3 of the members are present, and its resolutions must be passed by more than half of the members present to take effect.

Article 15: The Member Congress shall be held for five years. If it is necessary to advance or postpone the election due to special circumstances, it must be voted by the board of directors, reported to the competent authority for review and approved by the society registration and management authority. However, the maximum period of advance or postponement of the term change shall not exceed one year.

Article 16 The Board of Directors is the executive body of the Member Congress, and the Standing Board of Directors is responsible for the work of the Board of Directors between sessions.

Article 17 The functions and powers of the Board of Directors are:

(1) Implement the resolutions of the Member Congress;

(2) Elect and remove the president, Executive Vice President, Vice President, Secretary-General, and Executive Directors;

(3) Prepare for convening the Member Congress;

(4) Report work and financial status to the Member Congress ;

(5) Decide on the admission or expulsion of members;

(6) Decide on the establishment of offices, branches, representative offices and entities;

( 7) Decide on the appointment of the deputy secretary-general and the main persons in charge of each agency;

(8) Lead the various agencies of the association to carry out their work;

(9) Develop internal management systems;

(10) Decide on other major matters.

Article 18 The board of directors must be attended by more than 2/3 of the directors before it can be convened, and its resolutions must be voted by more than 2/3 of the directors present before it can take effect.

Article 19: The Board of Directors shall be convened at least once a year, and the Standing Council shall hold meetings from time to time according to work needs;

Article 20: The President and Executive Vice-Presidents of the Association The president, vice president, and secretary-general must meet the following conditions:

(1) Adhere to the party’s line, principles, and policies, and have good political quality;

(2) Perform business in the association Have a greater impact in the field;

(3) Enthusiastically support the work of the Association and actively participate in activities organized by the Association;

(4) Be in good health and be able to continue working normally;

(5) Have not been subject to criminal punishment of deprivation of political rights;

(6) Have the capacity to undertake civil conduct.

Article 21: Implement a dual-president system (president rotation system). After election by the board of directors, one person will be elected from the current vice president (corporate member) as the rotating president. During the rotation period, he will preside over the daily activities of the Henan International Chamber of Commerce and be responsible for the construction of the chamber of commerce, foreign affairs activities, economic and trade cooperation and exchanges, and conference holdings. The rotation period is one year.

Article 22 The president, executive vice-president, vice-president, secretary-general, executive director, and directors of the association have a term of five years. When the term expires, they can be re-elected.

Article 23 The executive vice president of the Association is the legal representative of the Association. The legal representative of this association does not concurrently serve as the legal representative of other organizations.

Article 24 The Executive Vice President of the Association shall exercise the following powers:

(1) Convene and chair the Board of Directors and the Standing Council;

( 2) Inspect the implementation of the resolutions of the Member Congress and the Board of Directors;

(3) Sign relevant important documents on behalf of the association;

(4) Nominate the deputy secretary-general and the secretariat, The principal persons in charge of representative offices, branches, and entities shall be submitted to the Standing Council for decision.

Article 25 The Secretary-General of the Association shall exercise the following powers:

(1) The Secretary-General shall preside over the daily work of the Secretariat under the leadership of the Standing Council;

(2) Coordinate the work of branches, representative offices, and entities;

(3) Handle other daily affairs.

Chapter 5 Principles of Asset Management and Usage

Article 26 Sources of funds for the association:

(1) Membership fees;

(2) Donations;

(3) Government funding;

(4) Income from activities or services within the approved business scope;

( 5) Interest;

(6) Other legal income.

Article 27 The Association collects membership dues in accordance with relevant national regulations.

Article 28 The funds of the association must be used for the development of the business scope and undertakings stipulated in the articles of association.

Article 29 The Association must establish a strict financial management system to ensure that accounting information is legal, authentic, accurate and complete.

Article 30 The Association shall be equipped with professionally qualified accounting personnel. Accountants may not concurrently serve as cashiers. Accountants must conduct accounting calculations and implement accounting supervision. When accounting personnel are transferred or resign, they must clear the handover procedures with the person who takes over.

Article 31 The association’s asset management must implement the financial management system prescribed by the state and accept the supervision and audit of the member congress and the financial department. If the source of assets is state appropriation or social donation or funding, it must be subject to the supervision of the auditing agency, and the relevant information must be announced to the public in an appropriate manner.

Article 32 Before changing the term of office or changing the legal representative, the Association must accept the financial audit organized by the society registration and management authority and the business supervisory unit.

Article 33 The assets of the Association shall not be misappropriated, privately divided or misappropriated by any unit or individual.

Article 34 The wages, insurance, and welfare benefits of the full-time staff of the Association shall be implemented with reference to the relevant national regulations for public institutions.

Chapter 6 Procedure for Amending the Articles of Association

Article 35: Amendments to the Articles of Association must be voted and approved by the Board of Directors and then reported to the Member Congress for review.

Article 36 The revised articles of association of the association must be reviewed and approved by the competent business department within 15 days after being adopted by the general meeting, and shall be reported to the society registration and management authority for approval before taking effect.

Chapter 7 Termination Procedures and Property Disposal after Termination

Article 37 If the association completes its purpose or dissolves itself or needs to cancel due to division, merger, etc., the director shall A decision to terminate will be made.

Article 38 The resolution to terminate the association must be voted and approved by the member representative meeting and reported to the business supervisory unit for review and approval.

Article 39 Before the association is terminated, a liquidation organization must be established under the guidance of the business supervisory unit and relevant authorities to clear out claims and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 40 The Association will be terminated after the cancellation of registration procedures is completed by the society registration and management authority.

Article 41 The remaining property after the termination of the association will be used to develop undertakings related to the purpose of the association under the supervision of the business supervisory unit or the society registration and management authority and in accordance with relevant national regulations.

Chapter 8 Supplementary Provisions

Article 42 This Article of Association was voted and approved by the second member congress on June 17, 2004.

Article 43 The right to interpret this charter belongs to Henan International Chamber of Commerce.
