The Regulations of People's Republic of China (PRC) Municipality on the Administration of the Registration of Enterprise Legal Persons stipulates the registration and alteration of the legal representative:
Chapter VI Record of Changes
Article 17 If an enterprise as a legal person changes its name, domicile, business place, legal representative, economic nature, business scope, mode of operation, registered capital and term of operation, or adds or cancels branches, it shall apply for registration of change.
Article 18 An enterprise as a legal person shall apply to the registration authority for registration of change within 30 days after approval by the competent department or the examination and approval authority.
Article 19 An enterprise as a legal person shall, within 30 days after the approval of the competent department or the examination and approval authority, apply to the registration authority for change of registration, industrial and commercial registration or cancellation of registration.
Chapter VII Cancellation of Records
Article 20 An enterprise as a legal person shall cancel its registration with the registration authority if it is closed, revoked, declared bankrupt or terminated for other reasons.
Article 21 When an enterprise as a legal person goes through the cancellation of registration, it shall submit an application for cancellation of registration signed by the legal representative, the approval documents of the competent department or the examination and approval authority, the certificate that the debts have been cleared, or the documents that the liquidation organization is responsible for clearing the creditor's rights and debts.
After being approved by the registration authority, the Company shall collect the Business License of Enterprise as a Legal Person, the copy of the Business License of Enterprise as a Legal Person and its official seal, and notify the bank where it opens the account to cancel the registration.
Article 22 If an enterprise as a legal person fails to carry out business activities within six months after receiving the Business License for Enterprise as a Legal Person, or has stopped business activities for 1 year, it shall be deemed to be closed. The registration authority shall collect the Business License for Enterprise as a Legal Person, the copy of the Business License for Enterprise as a Legal Person and the official seal, and notify the bank where it has opened the account to cancel it.

Other relevant provisions of the Business License of Enterprise as a Legal Person:
1. The Business License of Enterprise as a Legal Person issued by the registration authority is the certificate of enterprise as a legal person. No other unit or individual may confiscate, detain or destroy it, except that the registration authority may detain or revoke it according to legal procedures.
(1) If an enterprise as a legal person loses its business license and its copy, it must make a statement in the newspaper before applying for a replacement.
(2) The Business License of Enterprise as a Legal Person and its duplicate shall not be forged, altered, leased, lent, transferred or traded.
(3) The State promotes electronic business licenses. Electronic business license and paper business license have the same legal effect.
2. An enterprise as a legal person shall pay the registration fee in accordance with the provisions when handling industrial and commercial registration and change registration.
(1) The industrial and commercial registration fee shall be paid at one thousandth of the total registered capital; If the registered capital exceeds 6,543,800 yuan, the excess shall be paid at 0.5 ‰; If the registered capital exceeds 6,543.8 billion yuan, the excess will not be paid. The minimum registration fee is 50 yuan.
(2) The amount of change registration fee shall be stipulated by the State Administration for Industry and Commerce.
