Legal analysis: When lawyers are legal advisers to companies, legal persons, other economic organizations or governments, they often give answers in the form of legal opinions on major legal affairs or major business decisions, seek legal basis for important economic activities, major business decisions and major legal affairs that employers or consultants want to engage in, and put forward legal suggestions or legal explanations. Therefore, it is the basic requirement of lawyers to issue clear and affirmative legal opinions for clients or consultants according to facts and laws. Legal opinions issued by lawyers are an important part of lawyers' non-litigation legal affairs. In some specific cases, such as foreign debt registration, stock issuance and listing, rights issue of listed companies and other major legal acts, lawyers must issue legal opinions.

Legal basis: Article 2 of the Lawyers Law of People's Republic of China (PRC) The term "lawyer" as mentioned in this Law refers to a practitioner who has obtained a lawyer's practice certificate according to law, accepted entrustment or assignment, and provided legal services to clients. Lawyers should safeguard the legitimate rights and interests of the parties and correctly implement the law and social fairness and justice.
