Chapter 1 General Provisions

Article 1

The name of this association is Chengdu Service Outsourcing Association (CCS)

Article 2

Article 3

The purpose of this association: to abide by the constitution, laws, regulations and national policies, abide by social ethics, and establish an organization under the guidance of national service outsourcing industry policies and development strategies. A service outsourcing industry cooperation system with Chengdu as the center, radiating to the western region, and facing the international outsourcing market, establishes the overall image and brand of Chengdu service outsourcing, and promotes the development of the service outsourcing industry in the western region. Article 4

The Association accepts the business guidance and supervision of the Chengdu Municipal Commerce Bureau and Chengdu Civil Affairs Bureau.

Article 5

The Association shall abide by national laws, regulations and the provisions of this Articles of Association, safeguard national interests and social interests, and accept government supervision.

Chapter 2 Business Scope

Article 7

The business scope of the association:

(2) Help enterprises explore international and domestic markets by organizing various market activities.

(3) Provide Chengdu service outsourcing industry research and information consulting services to member units, domestic and foreign outsourcing institutions, and government departments.

(4) Comprehensive marketing publicity and marketing services.

(5) Promote the construction of service outsourcing training system and school-enterprise cooperation.

(6) Promote the construction of service outsourcing supplier certification system.

(7) Provide multi-link industrial supporting services to member units.

(8) Provide expert consulting services to member units.

(9) Carry out publicity, training and consulting services related to intellectual property protection.

(10) Help members obtain relevant financial services and financial support.

Chapter 3 Members

Article 8

The membership type of this association is corporate membership.

Article 9

Units that apply to join the Association should meet the following conditions:

(1) Be willing to join the Association and support the Association’s charter;< /p>

(2) Independent legal entities registered in Chengdu;

(3) Enterprises engaged in service outsourcing business, that is, under the Ministry of Commerce’s service outsourcing business management system and the Ministry of Commerce’s software export and Enterprises registered in the service outsourcing statistical system.

(4) Colleges and universities and training institutions that carry out order-based training for service outsourcing enterprises;

(5) Intermediary service agencies engaged in the field of service outsourcing (such as talent dispatch agencies, Certification agencies, examination and evaluation agencies, consulting service agencies, etc.).

Article 10

Meeting procedures:

(1) Written application for membership;

(2) Discussion by the secretariat and report to the directors will be passed;

(3) A membership certificate will be issued by the board of directors or an organization authorized by the board of directors within six months.

Article 11

Members have the following rights:

(1) The right to elect, be elected and vote in the Association;

(2) Participate in the activities of the Association;

(3) Priority in obtaining services from the Association;

(4) Have the right to criticize, suggest and supervise the work of the Association;

(5) Membership is voluntary and membership is free.

Article 12

Members shall perform the following obligations:

(1) Implement the resolutions of the Association;

(2) Maintain The legitimate rights and interests and reputation of the Association;

(3) Complete the work entrusted by the Association;

(4) Pay membership fees every year in accordance with the resolution of the Member Congress;

(6) Comply with the principles of industry self-discipline.

Article 13

Members who wish to withdraw from membership should notify the Association in writing and return their membership cards. Members who do not participate in association activities for one year will be deemed to have automatically withdrawn from membership.

Article 14

If a member seriously violates this Articles of Association or violates industry rules, he or she will be removed from the membership upon voting by the Board of Directors.

Chapter 4 Organizational Structure and the Creation and Removal of Persons in Charge

Article 15

The highest authority of the Association is the Member Congress, whose main responsibilities are Yes

(1) Formulate and amend the charter;

(2) Elect and remove directors;

(3) Review the work report and financial report of the board of directors ;

(4) Decide on major changes and termination;

(5) Decide on other major matters.

Article 16

The Member Representative Conference can only be held when more than two-thirds of the member representatives are present, and its resolutions must be passed by more than half of the member representatives present at the meeting. Take effect.

Article 17

The member representative meeting shall be presided over by the president. If the president is unable to perform his duties due to special reasons, the vice president designated by the president shall preside over the meeting. Member representatives may entrust an agent to attend the member representative meeting. The agent shall submit a power of attorney signed by the member representative to the Association and exercise voting rights within the scope of authorization of the power of attorney.

Article 18

The minutes of the membership meeting shall be recorded by the Board of Directors of the Association and signed by the Board members present at the meeting. Minutes of meetings should be kept together with the roster of members attending the meeting and the power of attorney to represent members at the meeting.

Article 19

The general meeting of members shall be held once a year for two years. If the election needs to be advanced or postponed due to special circumstances, it must be voted by the Board of Directors, reported to the Chengdu Municipal Commerce Bureau for review and approved by the Chengdu Civil Affairs Bureau. However, the maximum delay in renewing the certificate shall not exceed one year.

Article 20

The Board of Directors is elected by the Member Congress and is the executive body of the Member Congress. It leads the Association to carry out daily work during the inter-session period and is responsible to the Member Congress. . The legal representative or principal of the unit that is a member of the board of directors, or other person designated by the unit, shall exercise director rights on behalf of the unit.

Article 21

The functions and powers of the Board of Directors are

(1) To implement the resolutions of the general meeting;

(2) Prepare for the general membership meeting;

(3) Elect and remove the president, vice president, and secretary-general;

(4) Appoint and remove honorary presidents and consultants;

(5) Set membership dues standards;

(6) Report work and financial status to the general meeting;

(7) Decide on the admission and removal of members;

(8) Decide on the establishment of offices, branches, representative offices and entities;

(9) Decide on the appointment of deputy secretary-generals and principals of each agency;

< p>(10) Lead the various organizations of the association to carry out their work;

(11) Formulate internal management systems;

(12) Decide on other important matters.

Article 22

The term of each term of the Board of Directors is two years. Before the change of term, the current Board of Directors can recommend new directors and elect a new Board of Directors through the Member Representative Conference. The new council elects a new chairman, vice-chairman and secretary-general, and the previous council dissolves itself.

Article 23

The number of board members shall not exceed 1/3 of the total number of members (an odd number is required). The Board of Directors shall hold regular meetings at least once a year and may convene special meetings from time to time as needed. The board of directors must be attended by more than 2/3 of the directors before it can be convened, and its resolutions must be voted by more than 2/3 of the directors present to take effect.

Article 24

Board meetings shall be attended by the directors in person. If a member is unable to attend for any reason, he or she can authorize a representative in writing to attend on his or her behalf. The scope of authorization should be specified in the power of attorney.

Article 25

The board meeting shall truthfully record the decisions on the matters under review, and the minutes shall be signed by the directors and record-keepers present at the meeting. Directors who express dissent in a meeting vote have the right to request that the matter be truthfully recorded in the minutes of the meeting.

Article 26

The association shall establish a secretariat as its daily office.

Article 27

The president, vice-president, and secretary-general of the association must meet the following conditions:

(1) Adhere to the party’s line , principles, policies, and good political quality;

(2) Have a greater influence in the business field of the Association;

(3) President, Vice President, and Secretary-General of the Association No more than 60 years old, and the secretary-general is full-time. For those who are over 60 years old, the secretary-general is full-time;

(4) In good health and able to work normally;

(5) Not subject to criminal punishment depriving political rights;

(6) Have full capacity for civil conduct.

Article 28

If the chairman, vice-chairman, and secretary-general of the association exceed the maximum age for office, they must be voted by the board of directors and reported to the Chengdu Municipal Commerce Bureau for review Can take office only after approval from Chengdu Civil Affairs Bureau.

Article 29

The president and vice-president of the Association shall rotate once for each term and shall not be re-elected. The term of office of the Secretary-General shall not exceed two terms. If the term of office needs to be extended due to special circumstances, it must be approved by more than 2/3 of the membership meeting, reported to the Chengdu Municipal Commerce Bureau for review, and approved by the Chengdu Civil Affairs Bureau before taking office.

Article 30

The legal representative of the association shall be the president. The legal representative of this association shall not concurrently serve as the legal representative of other associations.

Article 31

The president of the Association shall exercise the following powers:

(1) Convening and presiding over the Board of Directors;

(2) Inspect the implementation of the resolutions of the Member Congress and the Board of Directors;

(3) Sign relevant important documents on behalf of the Association.

Article 32

The Secretary-General of the Association shall exercise the following powers:

(1) Preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinate the work of branches, representative offices, and entities;

(3) Nominate the deputy secretary-general and the representatives of offices, branches, representative offices, and entities The main person in charge shall be assigned to the General Assembly of Members. (3) Nominate the deputy secretary-general and the principal persons in charge of each office, branch, representative office, and entity, and submit them to the Board of Directors for decision;

(4) Determine the offices, representative offices, and entities of the Secretariat Recruiting full-time staff of the institution;

Chapter 5 Principles of Asset Management and Use

Article 33

The association’s funding comes from:

(1) Membership dues;

(2) Donations;

(3) Government subsidies;

(4) Income from activities or services within the approved business scope;

(5) Interest;

(6) Other legal income.

Article 34

The dues standards for unit members of this association are as follows:

(1) Enterprises with an annual service outsourcing contract execution value exceeding US$10 million : 20,000 yuan/year;

(2) 10,000 yuan/year for enterprises with an annual service outsourcing contract execution value exceeding US$5 million but less than US$10 million;

(3) Enterprises with an annual service outsourcing contract execution value of more than 1 million US dollars and less than 5 million US dollars: 5,000 yuan/year;

(4) Enterprises with an annual service outsourcing contract execution amount of less than 1 million US dollars: 2,000 yuan/year Year;

(5) Membership of units other than service outsourcing enterprises: 2,000 yuan/year.

Article 35

The funds of the association must be used for the business scope and career development stipulated in this charter and shall not be allocated among members.

Article 36

The Association shall establish a strict financial management system to ensure that accounting information is legal, authentic, accurate and complete.

Article 37

The Association shall be equipped with professionally qualified accounting personnel. Accountants may not concurrently serve as cashiers. Accountants must conduct accounting calculations and implement accounting supervision. When accounting personnel transfer jobs or leave their jobs, they must go through handover procedures with the receiving unit.

Article 38

The Association implements the "Accounting System for Private Non-Profit Organizations", and asset and financial management are subject to the supervision of the Member Congress and the financial department. If the source of assets belongs to state appropriations or social donations or subsidies, they must be subject to the supervision of auditing agencies, and the relevant information must be announced to the public in an appropriate manner.

Article 39

Before changing the term or changing the legal representative, the association must accept the financial audit of the Chengdu Municipal Commerce Bureau and the Chengdu Civil Affairs Bureau.

Article 40

No unit or individual may appropriate, privately divide or misappropriate the assets of the Association.

Article 41

The wages and insurance benefits of our full-time staff shall be implemented in accordance with the relevant national regulations for public institutions.

Chapter 6 Procedures for Amending the Association’s Articles of Association

Article 42

Amendments to the Association’s Articles of Association shall be submitted to the Board of Directors after voting and approval Reviewed by the Member Congress.

Article 43

Amendments to the Association’s Articles of Association must be reviewed and approved by the Chengdu Municipal Commerce Bureau within 15 days after approval by the Member Representative Conference, and then reported to the Chengdu Civil Affairs Bureau for approval and take effect. .

Chapter 7 Termination Procedures and Property Disposal after Termination

Article 44

The Association shall complete its purpose, dissolve itself or due to division, merger, etc. If the reason requires cancellation, the Board of Directors shall submit a motion for termination.

Article 45

The motion to terminate the Association must be voted and approved by the Member Congress and reported to the Chengdu Municipal Commerce Bureau for review and approval.

Article 46

Before the association is terminated, a liquidation organization must be established under the guidance of the Chengdu Municipal Commerce Bureau and the Chengdu Civil Affairs Bureau to clear out claims and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation are allowed.

Article 47

The association will be terminated after the deregistration procedures are completed by the Chengdu Civil Affairs Bureau.

Article 48

The remaining property after the termination of the association will be used for development and development in accordance with relevant national regulations under the supervision of the Chengdu Municipal Commerce Bureau and the Chengdu Civil Affairs Bureau. Chapter 8 Supplementary Provisions

Article 49

This Article of Association was voted and approved by the Member Representative Conference on April 29, 2009.

Article 50

The right to interpret this charter belongs to the Council of the Association.

Article 51

This Article of Association shall take effect from the date of approval by the Chengdu Civil Affairs Bureau.
