Articles of Association of China International Chamber of Commerce

Article 1 China International Chamber of Commerce is a non-profit national chamber of commerce organized by enterprises, institutions, social organizations and other organizations established in China to engage in international trade, business exchanges, investment cooperation and other commercial activities. The English name of China International Chamber of Commerce is: China Chamber of International Commerce, and the English abbreviation is: CCOIC.

Article 2 The purpose of China International Chamber of Commerce is to promote the exchanges and cooperation between its members and the industrial and commercial circles of all countries and regions in the world, promote the development of international business, provide services to its members, reflect their opinions and safeguard their legitimate rights and interests according to law.

Article 3 The China International Chamber of Commerce is a social organization legal person registered with the approval of People's Republic of China (PRC) and the Ministry of Civil Affairs of the People's Republic of China, and the competent business unit is the China Council for the Promotion of International Trade. The China International Chamber of Commerce accepts the business guidance, supervision and management of the competent business units and the registration and management organs of associations.

Article 4 The China International Chamber of Commerce shall use the name of the International Chamber of Commerce China when conducting business related to the International Chamber of Commerce, and the secretariat of the China National Committee of the International Chamber of Commerce is located in the International Chamber of Commerce.

Article 5 The seat of the China International Chamber of Commerce is located in Beijing. Article 6 The business scope of China International Chamber of Commerce is:

(a) to consult and understand the opinions and demands of members, and to convey or put forward suggestions and demands to the legislature and relevant government departments on behalf of members;

(two) to assist members to communicate and coordinate with relevant government departments, competent business units and international organizations, and to help solve problems encountered in business activities;

(3) Introduce domestic and foreign economic and trade laws, regulations, policies and investment environment, provide members with business information and consultation, legal consultancy, arbitration and mediation, international debt collection and other services, issue public opinions on commercial disputes and various commercial certificates, and issue certificates of origin and ATA documents. Authorized by the relevant government departments;

(4) Participating in activities organized by the International Chamber of Commerce, conducting friendly exchanges and business cooperation with national and regional committees of the International Chamber of Commerce, national and regional chambers of commerce and relevant international organizations, participating in the research and formulation of relevant policies and rules of the International Chamber of Commerce, and publicizing the services and latest policies and rules of the International Chamber of Commerce;

(five) to carry out international trade standards, management theory and practice, market operation ability, professional level and qualification, technical skills and other aspects of training business. To help members actively respond to market competition;

(six) approved by the relevant departments or according to the needs of industry development, organize members to participate in domestic and foreign exhibitions, business seminars, negotiation activities and other business matters, and provide services for members to open up markets and operate internationally;

(7) Providing opportunities and platforms for members to exchange, communicate, discuss, promote and publicize, helping members to gain more development opportunities and enhance their popularity and international competitiveness;

(eight) to undertake the work entrusted by the competent business unit, the relevant government departments or institutions;

(nine) according to the requirements of members, to carry out other beneficial social activities according to law. Article 7 The members of China International Chamber of Commerce are unit members.

Article 8 Membership requirements:

(1) Support the Articles of Association, be willing to fulfill the membership obligations and pay the membership dues on time;

(2) An enterprise legal person, institution legal person, enterprise legal person, academic organization or other institution registered in accordance with the laws of People's Republic of China (PRC);

(three) in the past five years, it has no bad record of operating according to law, being honest and trustworthy, protecting the environment and fulfilling social responsibilities.

Article 9 Membership procedures:

(1) Submit the application for membership. If you want to become the president, vice president unit, executive director unit and director unit, you should indicate your intention in the application for membership;

(2) Submit a copy of the business license issued by the administrative department for industry and commerce, the association registration certificate issued by the administrative department for association registration or other certificates with similar functions issued by other relevant administrative departments;

(3) Signed by the Secretariat and Secretary-General of China International Chamber of Commerce, and discussed and adopted by the Council.

(4) The Council authorized the Secretariat to issue membership cards.

Article 10 Members shall enjoy the following rights:

(1) To exercise the right to vote and stand for election in the China International Chamber of Commerce;

(2) Participating in relevant activities of China International Chamber of Commerce;

(three) preferential or free access to the services provided by the China International Chamber of Commerce;

(four) to put forward opinions and suggestions on the work of the China International Chamber of Commerce;

(five) according to their own business characteristics and needs to choose to join the relevant industry branches and professional committees;

(6) voluntarily withdrawing from the meeting.

Article 11 Members shall perform the following obligations:

(1) Abide by the articles of association of the China International Chamber of Commerce;

(two) to safeguard the legitimate rights and interests and reputation of the China International Chamber of Commerce;

(three) to implement the resolutions and decisions made by the members' congress, Council, Standing Council and President's Office of China International Chamber of Commerce in accordance with the articles of association;

(4) pay membership fees.

Article 12 When a member withdraws from the meeting, he shall notify the China International Chamber of Commerce in writing and return his membership card and other relevant materials to prove his membership. If a member fails to pay the membership fee or participate in the activities of the association within 1 year, it will be deemed as automatic withdrawal.

Article 13 If a member seriously violates the articles of association of the China International Chamber of Commerce or has a bad influence on the reputation of the China International Chamber of Commerce, it shall be removed from the membership after being approved by the board of directors. Article 14 The China International Chamber of Commerce shall have a general meeting, a council and a standing council.

Article 15 The member congress is the highest authority of the China International Chamber of Commerce, and its functions and powers are:

(1) To formulate and revise the articles of association of the China International Chamber of Commerce;

(2) Electing and dismissing directors;

(3) Deliberating and adopting the Measures for the Administration of Membership Fees of China International Chamber of Commerce, and formulating and amending the membership fee standards;

(4) To decide on the working principles, tasks and plans of the China International Chamber of Commerce;

(five) to listen to the work report and financial report of the Council;

(six) to discuss important issues and make resolutions;

(7) Deciding to terminate.

(eight) to decide other major issues that should be decided by the members' congress of the China International Chamber of Commerce.

Article 16 The general meeting of members shall be held every three years, and more than two thirds of the members' representatives shall attend, and the resolution shall be valid only if more than half of the members' representatives attend. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. However, the term of office shall not be extended for more than one year.

Article 17 The Council is the executive body of the general assembly, leading the Association to carry out its daily work when the general assembly is not in session, and being responsible for the general assembly. Candidate units for directors are nominated by the last standing Council of members and elected by the members' congress. The first Council shall be nominated by the competent business unit among the members according to their wishes, and elected by the members' congress.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the president, vice president and executive director, and to appoint and remove the Secretary-General;

(three) to prepare for the convening of the members' congress;

(four) to review the financial report, work report and work plan for the next year submitted by the Standing Council, and submit them to the members' congress;

(five) to approve the annual budget and final accounts submitted by the Standing Council;

(six) to decide on the financial management measures of China International Chamber of Commerce;

(7) Deciding to establish offices, branches, representative offices and entities;

(eight) to decide to absorb and recall members;

(9) Deciding to recruit new directors when the members' congress is not in session, and soliciting the opinions of members' representatives in an appropriate way;

(ten) to decide on the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eleven) to lead the work of the institutions of this Association;

(twelve) to formulate internal management system;

(thirteen) to decide other matters authorized by the members' congress.

Article 19 The Council meeting shall be held at least once a year, and shall be convened and presided over by the president. The meeting of the board of directors can only be held when more than two thirds of the directors are present, and its resolutions can only take effect when more than two thirds of the directors are present to vote.

Article 20 The director shall be recommended by the director unit, and shall be adjusted accordingly when the post of director changes. The term of office of the directors is three years, and they can be re-elected because they no longer hold their original posts.

Twenty-first candidates for executive directors shall be nominated by the president's office among the newly elected directors and elected by the board of directors. The competent business unit may nominate its representative as the candidate for executive director. The number of executive directors shall not exceed 65438+ 0/3 of the number of directors. The first standing Council shall be nominated by the competent business unit from the elected directors and elected by the Council.

Article 22 The functions and powers of the Standing Council are:

(1) Examining the annual budget, final accounts and financial reports submitted by the treasurer and submitting them to the Council; Decide on the local adjustment of the budget;

(two) to consider the annual work plan and the work report of the previous year submitted by the Secretary General;

(3) Exercising the functions and powers in Items 1, 3, 5, 7, 8, 10, 11 and 12 of Article 18 when the Council is not in session, and being responsible to the Council.

(4) To decide on other matters authorized by the Council.

Twenty-third meetings of the Standing Council shall be held at least once every six months. Under special circumstances, the meeting can also be held by means of communication. The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only when more than two thirds of the executive directors present vote. The president thinks it is necessary or more than one third of the executive directors agree to convene a special meeting of the executive board.

Article 24 The president's office meeting consists of the president, the vice-president and the secretary-general. The president and vice president are nominated by the competent business unit among the elected executive directors and elected by the board of directors. The competent business unit may nominate several representatives of the unit as candidates for president and vice president.

The term of office of the president, vice-president and secretary-general is three years, and the longest term may not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the registration authority of the association before taking office. The maximum age of the president, vice-president and secretary-general is no more than 70 years old, and the secretary-general is full-time.

Article 25 With the authorization of the Council, the President's Office has the following powers:

(a) to study the development planning and important issues of the Chamber of Commerce and put forward suggestions to the Standing Council;

(2) Nominating candidate units for executive directors;

Article 26 The president is the legal representative of China International Chamber of Commerce. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 27 The President shall exercise the following functions and powers:

(1) Preside over the next member congress, and convene and preside over the office meetings of the current Council, the Standing Council and the President;

(2) Nominating candidate units for vice presidents and submitting them to the Council for election;

(three) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council;

(four) on behalf of the Chamber of Commerce to participate in relevant meetings and important activities;

(5) Signing relevant important documents on behalf of the Chamber of Commerce.

Article 28 The Secretary-General is the chief executive of the Secretariat and a member of the President's Office. Nominated by the competent business unit and appointed by the board of directors.

Article 29 The Secretary-General shall exercise the following functions and powers:

(a) to preside over the daily work of the secretariat;

(two) presided over the formulation of the annual work plan, responsible for organizing the implementation after approval, and working with the treasurer to formulate the annual budget and final accounts of the Chamber of Commerce;

(3) Nominating the heads of branches, representative offices and entities and submitting them to the Council for decision;

(four) presided over the formulation and implementation of the internal management system of the Secretariat, and decided to employ full-time staff of the Secretariat, representative offices and entities;

(5) Handle other daily affairs. Article 30 The sources of funds for China International Chamber of Commerce are:

(1) membership fees;

(2) donation;

(3) government funding;

(four) approved within the scope of business activities or service charges;

(5) Other lawful income.

Article 31 The China International Chamber of Commerce collects membership fees in accordance with relevant state regulations.

Article 32 All the funds of China International Chamber of Commerce shall be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among its members.

Article 33 The China International Chamber of Commerce implements independent financial accounting and establishes a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 34 An accountant of the China International Chamber of Commerce shall have professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accounting personnel must go through the handover procedures and accept the audit before transferring their jobs or leaving their posts.

Article 35 The treasurer shall be responsible for managing the finance of the Chamber of Commerce. The treasurer regularly examines the accounts of the Chamber of Commerce and regularly submits the financial reports of the Chamber of Commerce to the Standing Council.

Article 36 The financial management and asset management of the China International Chamber of Commerce shall implement the relevant systems stipulated by the state and accept the supervision of the members' congresses, competent business units and financial departments. If the source of assets belongs to government grants, subsidies or social donations and subsidies, it shall be subject to the supervision of audit institutions and announced to the public in an appropriate way. No unit or individual may occupy, privately divide or misappropriate the assets of China International Chamber of Commerce.

Article 37 Before the legal representative leaves office, the China International Chamber of Commerce must accept the financial audit organized by the competent business unit and the organization registration authority. Article 38 Any amendment to the articles of association of the China International Chamber of Commerce must be approved by the Council and submitted to the members' congress for deliberation and adoption.

Article 39 The revised articles of association of China International Chamber of Commerce shall come into effect within 15 days after it is adopted by the members' congress, agreed by the competent business unit and approved by the association registration authority. Article 40 If the China International Chamber of Commerce completes its purpose or is dissolved or needs to be cancelled due to division or merger, the board of directors shall propose a termination motion.

Article 41 The proposal to terminate the China International Chamber of Commerce must be voted by the members' congress and submitted to the competent business unit for examination and approval.

Article 42 Before the termination of the China International Chamber of Commerce, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no business other than liquidation shall be carried out.

Article 43 The China International Chamber of Commerce shall be terminated after the cancellation of registration by the association registration authority.

Article 44 The surplus property after the termination of the China International Chamber of Commerce shall be used for the development of undertakings related to the purposes of the Association under the supervision of the competent business units and the registration and administration organs of associations in accordance with relevant state regulations. Article 45 The Articles of Association was adopted at the first general meeting of members on February 24, 2007.

Article 46 The right to interpret the Articles of Association belongs to the Council of China International Chamber of Commerce.

Article 47 The Articles of Association shall come into force as of the date of approval by the association registration authority.
