Articles of Association of Guangzhou Young Entrepreneurs Association

Chapter I General Principles

Article 1 Guangzhou Young Entrepreneurs Association is abbreviated as Suiqing Enterprise Association; English translation: Guangzhou Young Entrepreneurs Association, English abbreviation: gzyea.

Article 2 This Association is a joint organization of young managers of enterprises and institutions in Guangzhou, a non-profit social organization with independent legal personality, a group member of China Young Entrepreneurs Association and Guangzhou Youth Federation, and a bridge and link between the Communist Youth League and young entrepreneurs.

Article 3 Under the guidance of Theory of Three Represents, this Association implements the Party's basic line, abides by the Constitution, laws, regulations and national policies, promotes social morality, takes economic construction as the center, and serves to promote the reform of enterprise economic system, improve management and realize the modernization of enterprise management. Focusing on cultivating and bringing up a generation of outstanding young entrepreneurs in the new century, and in accordance with the requirements of establishing a socialist market economic system, we will actively guide and lead the vast number of young entrepreneurs to make progress and make contributions in the great practice of reform, opening up and socialist modernization, so as to promote the transformation of business mechanism, establish a modern enterprise system, improve the economic benefits of enterprises, and serve the growth and career development of young entrepreneurs.

Article 4 This Association accepts the professional guidance, supervision and management of the Central Committee of the Communist Youth League and the Civil Affairs Bureau.

Chapter II Scope of Business

Article 6 The business scope of this Association is as follows:

(1) Organize young entrepreneurs to exchange experiences and conduct academic discussions around the new situation and new problems of economic system reform and enterprise production and operation, organize the latest information reports and various economic inspections, and strengthen horizontal contact and cooperation among enterprises.

(two) to help young entrepreneurs understand the relevant economic information and provide services for young entrepreneurs to carry out economic cooperation and popularize technological achievements;

(three) to promote the contact and cooperation between young entrepreneurs and government departments and all walks of life, and to expand the scope of communication and social influence of young entrepreneurs;

(four) to promote friendly exchanges with domestic cities and organizations of young entrepreneurs in Hong Kong, Macao and Taiwan;

(five) to strengthen friendly exchanges with relevant foreign organizations and recommend outstanding young entrepreneurs to participate in overseas study, study and inspection; Invite and receive foreign youth groups to visit and absorb advanced management methods;

(six) publicity, selection and recognition of outstanding young entrepreneurs in Guangzhou;

(seven) to carry out training seminars and other activities, improve the quality of managers, and train and recommend all kinds of professionals for young entrepreneurs;

(eight) recommend outstanding young entrepreneurs to participate in various trainings and inspections at the central and provincial levels to help young entrepreneurs improve their economic management and economic theory;

(nine) to reflect the wishes of young entrepreneurs and safeguard the legitimate rights and interests of young entrepreneurs.

Chapter III Members

Article 7 Members of this Association are divided into individual members and group members.

Article 8 A member applying to join this Association must meet the following requirements:

(1) Supporting the articles of association of Suiqing Enterprises;

(2) Voluntary application to join Suiqing Enterprise Association;

(3) Young factory directors (managers) under the age of 45 who have made remarkable achievements in enterprise reform and development;

(four) abide by the party's line, principles and policies, love the motherland, operate in good faith, actively participate in social welfare undertakings, and have a high ideological and political quality and a strong sense of social responsibility;

(5) The enterprise to which the member belongs must have a certain influence in the local area and the industry, and there are no illegal acts such as tax evasion.

Article 9 The procedures for joining the club are as follows:

(1) submitting an application for membership;

(2) discussed and adopted by the Council;

(3) Every last member must fill in the form again, pay the membership fee and apply for a membership card. If you don't handle it, it will be regarded as automatic waiver and the association will cancel its membership.

(4) If you are over 45 years old, you need to go through the withdrawal formalities (except in special circumstances), and the association will award relevant honors and become an honorary member of the association.

(5) The membership card shall be issued by the Council or an institution authorized by the Council.

(VI) Invited members from Hong Kong and Macao were hired to strengthen ties with young entrepreneurs from Hong Kong and Macao. Invited members enjoy the same rights and obligations as members of the association.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(2) Participating in relevant activities organized by Suiqing Enterprise Association;

(three) to put forward opinions and suggestions on the work of Suiqing Enterprise Association;

(4) Freedom of voluntary membership and withdrawal.

Article 11 Members shall perform the following obligations:

(1) Abide by the articles of association of Suiqing Enterprise Association and implement the resolutions of Suiqing Enterprise Association;

(two) to maintain the social reputation of Suiqing Enterprise Association;

(three) to complete the work assigned by the Suiqing Enterprise Association;

(four) according to the provisions of the Suiqing Enterprise Association to pay membership fees;

Article 12 When a member withdraws from the meeting, he shall notify Suiqing Enterprise Union in writing and return his membership card.

If a member fails to pay the membership fee on time or fails to participate in the activities of Suiqing Enterprise Union for many times, it will be deemed to have withdrawn automatically after voting by the Council.

Thirteenth members seriously violate the articles of association, the Council or the Standing Council shall vote to cancel their membership.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of Suiqing Enterprise Association is the general meeting of members, which is held every two years. The functions and powers of the General Assembly are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(4) Deciding to terminate.

(5) Summing up work experience and formulating work policies and tasks;

(six) to decide on other major issues.

Article 15 The general meeting of members shall be attended by more than half of the members, and its resolution shall be valid only if more than half of the members present vote.

Article 16 The general meeting of members shall be held every two years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. However, the longest extension shall not exceed 1 year.

Article 17 The board of directors is the executive body of the general meeting, leading the Suiqing Enterprise Association to carry out its daily work during the intersessional period and being responsible for the general meeting.

Article 18 The functions and powers of the Council are:

Suiqing Enterprise Association has a board of directors, which is composed of president, executive vice president, vice president, secretary general, executive director and director. Elected by the general assembly, responsible to the leaders of Suiqing Enterprise Association. The term of office of the board of directors is two years.

(a) Implementing the resolutions of the General Assembly;

(two) to elect and recall the president, vice president, secretary general and executive director;

(3) Preparing for convening a general meeting of members;

(four) to report the work and financial situation to the general assembly;

(five) to decide to absorb or recall members;

(6) Deciding to establish offices, branches, representative offices and entities;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) to lead the work of various institutions of Suiqing Enterprise Association;

(nine) to formulate internal management system;

(10) Representing Suiqing Enterprise Association when the general meeting is not in session.

(eleven) to decide on other major issues.

Article 19 The board of directors shall be convened only when more than half of the directors are present, and its resolutions shall take effect only after being voted by more than half of the directors present at the meeting.

Article 20 The Council shall meet at least once a year; Under special circumstances, an exchange meeting can also be held.

Twenty-first Suiqing Enterprise Association shall set up a standing council. The Standing Council is elected by the Council, exercises the functions and powers of Article 18, items 1, 3, 5, 6, 7, 8 and 9 when the Council is not in session, and is responsible to the Council.

Article 22 The Standing Council shall be convened only when more than half of the executive directors are present, and its resolutions shall take effect only when more than half of the executive directors present vote.

Article 23 The Standing Council shall meet at least once every six months; Special circumstances can also be held by means of communication.

Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies and good political quality;

(2) It has great influence in the business field of the Association;

(3) The maximum age of the president, vice-president and secretary-general shall not exceed 45 (except in special circumstances), and the secretary-general shall be full-time;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 25 If the president, vice-president and secretary-general of the Association are over the maximum working age, they can take up their posts only after being approved by the Council, reported to the competent business unit for examination and approved by the registration and management authority of the Association.

Article 26 The term of office of the President, Vice-President and Secretary-General of this Association shall generally not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than half of the general meeting of members, reported to the competent business unit for review, and approved by the registration authority of the association before taking office.

Article 27 The Secretary-General of this Association is the legal representative of Suiqing Enterprise Association. The legal representative of Suiqing Enterprise Association shall not concurrently serve as the legal representative of other organizations.

Article 28 The President of this Association shall exercise the following functions and powers:

(1) Convening and presiding over the Council;

(two) to check the implementation of the resolutions of the General Assembly and the Council;

(3) Signing relevant important documents on behalf of the Association;

(4) Handle other daily affairs.

Article 29 The Secretary General of Suiqing Enterprise Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;

(four) to decide on the employment of full-time staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Chapter V Emblem

Article 30 The emblem of Suiqing Enterprise Association is a golden ocean and a blue sail in the sun. The overall shape of the emblem consists of gqq, the initials of "Guangqing Enterprise", and gy, the initials of "Guangzhou" and "Youth" in English. It means that young entrepreneurs in Guangzhou are braving the wind and waves in the ocean of socialist market economy, striving for progress, smooth sailing and fruitful results.

Article 31 Scope of use of the emblem: The meeting place, office place and other places for activities of Suiqing Enterprise Association (including members of various organizations) can be hung; Individual members can wear it; You can print membership cards, member business cards and related important publicity materials.

Article 32 The emblem worn by members of Suiqing Enterprise Association shall be uniformly made by the secretariat of Suiqing Enterprise Association, and no group member or individual member may make it without authorization.

Chapter VI Principles of Asset Management and Use

Thirty-third Suiqing Enterprise Association is funded by:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 34 the association collects membership fees in accordance with the relevant provisions of the state.

Article 35 The funds of this Association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.

Article 36 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 37 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 38 The funds and property of this Association shall be signed and used by the executive vice president of this Association.

Article 39 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Fortieth before the general election of this association, it must accept the financial audit organized by the registration administration organ and the competent business unit of this association.

Article 41 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 42 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VII Procedures for Amending the Articles of Association

Forty-third amendments to the articles of association of this association must be approved by more than half of the general meeting of members.

Article 44 The amendment to the articles of association of this Association shall come into effect within 05 days after it is adopted by the general meeting of members, agreed by the competent business unit and approved by the registration authority of this Association.

Chapter VIII Termination Procedure and Property Disposal after Termination

Article 45 If an association is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.

Article 46 The motion to terminate this Association must be voted by the general meeting of members and submitted to the competent business unit for approval.

Article 47 Before the termination of this Association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 48 this association shall be terminated after the cancellation of registration by the association registration authority.

Article 49 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business unit and the registration and administration organ of the association in accordance with the relevant provisions of the state.

Chapter IX Supplementary Provisions

Article 50 The Articles of Association was adopted by the shareholders' meeting on, 2000.

Article 51 The final interpretation right of the Articles of Association belongs to the Council of Suiqing Enterprise Association.

Article 52 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
