Articles of Association of Taizhou Wildlife Conservation Association

Chapter I General Principles

Article 1 The name of this Association is Taizhou Wildlife Conservation Association (hereinafter referred to as the Association).

Article 2 This Association is a mass social organization composed of relevant departments and units engaged in wildlife protection and management, scientific research and education, domestication and breeding, management and utilization, and nature protection, as well as individuals who are enthusiastic about wildlife protection.

Article 3 Purpose of the Association: Abide by the Constitution, laws, regulations and national policies, abide by social ethics, unite and organize forces from all walks of life, implement laws, regulations and policies on wildlife protection, popularize wildlife protection knowledge, protect and save rare and endangered wildlife, protect, develop and rationally utilize wildlife resources, maintain ecological balance and promote the development of wildlife protection in our city.

Article 4 An association shall carry out its activities within the scope prescribed by national laws and regulations. The competent business unit is Taizhou Forestry Bureau, which accepts the supervision, management and guidance of the civil affairs department, and is guided by the Provincial Wildlife Conservation Association in business.

Article 5 The Association is located in Taizhou Forestry Bureau.

Chapter II Scope of Business

Article 6 The business scope of this Association is:

First, organize members to study laws, regulations and related policies, carry out ideological and political education, legal education and professional ethics education, and actively organize publicity and education activities abroad;

Two, safeguard the legitimate rights and interests of members, organize activities to serve members, and reflect the reasonable opinions and demands of members to relevant departments and leaders;

Three, to provide legal, business consulting and technical services for wildlife protection and management, domestication and breeding, management and utilization departments and relevant units;

Four, according to the national economic development plan, assist the competent authorities to do a good job in the investigation of basic information such as wildlife protection and utilization, and provide a basis for government decision-making;

Five, organize scientific research, academic exchanges and scientific popularization activities to protect wild animals;

Six, assist the provincial wildlife protection association, carry out relevant cooperation and exchanges in the province, organize relevant personnel to study abroad, actively carry out foreign exchanges, and strengthen friendly exchanges with relevant organizations and societies;

Seven, run all kinds of technical training, carry out policy and information consultation activities, and actively put forward various reasonable suggestions for the protection and development of wildlife in our city.

Chapter III Members

Article 7 All relevant units and organizations that recognize the Articles of Association, engage in wildlife protection and enthusiastically support wildlife protection may apply directly to Taizhou Wildlife Protection Association and become members of the Association after being approved by the Council of the Association.

Anyone who recognizes the articles of association, engages in wildlife protection and management, scientific research and education, domestication and breeding, management and utilization, nature protection, etc., and is enthusiastic about wildlife protection, applies for membership by himself, and can become an individual member of the association after being introduced by two members of the association and approved by the Council.

Article 8 A member applying to join this Association must meet the following requirements:

(1) Supporting the articles of association;

(2) Having the will to join this Association;

(3) Having certain influence in the business field of the Association;

Article 9 The procedures for joining the club are as follows:

(1) submitting an application for membership;

(2) discussed and adopted by the Council;

(three) issued by the Council or the agency authorized by the Council to membership certificate.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in the activities of this association;

(three) the priority of obtaining the service of this association;

(four) have the right to criticize, suggest and supervise the work of the association;

(5) Freedom of voluntary membership and withdrawal;

(6) You can ask for the protection of your legal rights and interests.

Article 11 Members shall perform the following obligations:

(a) to implement the resolutions of this Council;

(two) to safeguard the legitimate rights and interests of this association;

(three) to complete the work assigned by the association;

(four) to pay membership fees in accordance with the provisions;

(five) to reflect the situation to the association and provide relevant information;

Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card.

If a member fails to pay the membership fee or participate in the activities of the Association within 1 year, it will be deemed as automatic withdrawal.

Article 13 If a member seriously violates the Articles of Association, the board of directors shall vote to dismiss him.

Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge

Article 14 The highest authority of this Association is the General Assembly (or Congress), and the functions and powers of the General Assembly (or Congress) are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(4) Deciding to terminate.

(five) to decide on other major issues;

Article 15 A general meeting of members (or representatives of members) can only be held when more than two thirds of the members (or representatives of members) are present, and its resolutions can only take effect when more than half of the members (or representatives of members) present at the meeting vote.

Article 16 The general meeting of members (or representative meeting of members) shall be held once every three years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business department for examination and approval, and approved by the registration management institution of the association. However, the longest extension shall not exceed 1 year.

Article 17 The Council is the executive body of the general assembly (or representative assembly), leading the daily work of the association when it is not in session and being responsible for the general assembly (or representative assembly).

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the general assembly (or general assembly);

(two) to elect and recall the president, vice president and secretary general;

(3) Preparing for convening a general meeting of members (or a general meeting of members' representatives);

(four) to report the work and financial situation to the general assembly (or representative assembly);

(five) to decide to absorb and recall members;

(6) Deciding to establish offices, branches, representative offices and entities;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) to lead the institutions of the Association to carry out their work;

(nine) to formulate internal management system;

(ten) to convene and preside over various activities and compile policies, science and technology and information materials;

(eleven) to decide on other major issues.

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 20 The Council shall meet at least once a year; Under special circumstances, an exchange meeting can also be held.

Article 21 The president, vice-president and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, women with good political quality;

(2) It has great influence in the business field of the Association;

(3) The maximum age of the president, vice-president and secretary-general shall not exceed 70;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 22 If the president, vice-president and secretary-general of the Association are over the maximum working age, they can take up their posts only after being approved by the Council, reported to the competent business unit for examination and approved by the registration and management authority of the Association.

Article 23 The term of office of the President, Vice President and Secretary General of this Association is three years. The term of office of the president, vice-president and secretary-general shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two thirds of the members (or members' representatives) of the general assembly, reported to the competent business unit for approval, and approved by the registration authority of the association before taking office.

Article 24 The president of this Association is the legal representative of this Association.

Article 25 The President of this Association shall exercise the following functions and powers:

(1) Convening and presiding over the Council;

(two) to check the implementation of the resolutions of the general assembly (or representative assembly) and the Council;

(3) Signing relevant important documents on behalf of the Association;

Article 26 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of various offices, branches, representative offices and units, and submitting them to the Council for decision;

(four) to decide on the employment of full-time staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Twenty-seventh sources of funds of this Association:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 28 The Association shall collect membership fees in accordance with the relevant provisions of the State.

Article 29 the funds of this association must be used for the business scope and career development stipulated in the articles of association, and shall not be distributed among members.

Thirtieth Association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 31 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 32 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting (or representative meeting) and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Thirty-third before the association changes or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.

Article 34 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 35 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Article 36 Any amendment to the Articles of Association must be approved by the board of directors and reported to the shareholders' meeting (or representative meeting) for deliberation.

Article 37 The revised articles of association of this Association shall come into effect within 15 days after being adopted by the general meeting of members (or the general meeting of members' agents), agreed by the competent business unit and approved by the registration authority of this Association.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 38 If an association has completed its purpose or is dissolved by itself or needs to be cancelled due to division or cooperation, the Council shall propose a termination motion.

Article 39 The motion to terminate this Association must be passed by the general meeting of members (or the general meeting of members) and reported to the competent business unit for examination and approval.

Article 40 Before the termination of this Association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 41 this association shall be terminated after the cancellation of registration by the association registration authority.

Article 42 The remaining assets after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business unit and the registration and administration organ of the association in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 43 The Articles of Association was adopted by the shareholders' meeting on July 26th, 20001.

Article 44 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 45 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
