Chapter I General Principles
Article 1 Name: Guangdong Furniture Association (hereinafter referred to as the Association), English name: "Guangdong Furniture Association." , abbreviated as "GDFA".
Article 2 Nature: This Association is a social and economic organization and a legal person of a social organization. This association is a province-wide furniture industry organization composed of enterprises and institutions such as production, management, scientific research and teaching in the furniture industry and related industries, as well as local social organizations. Association is a non-profit social organization voluntarily organized to safeguard the legitimate interests of the industry and its members.
Article 3 Purpose: The slogan of this Association is "Join hands to create brilliance" and the basic policy is "Serve the industry, serve the members and serve the government".
The Association abides by the Constitution, laws, regulations and relevant state policies, and abides by social morality; Provide services for members, safeguard the legitimate rights and interests of the industry and members and the economic interests of the same industry; Maintain market order and fair competition, communicate the relationship between members and the government and society, and play a role in promoting public interests; Coordinate the relationship between members, standardize the behavior of members, accept the business guidance or entrustment of the relevant departments of the provincial government, manage the furniture industry in the province, and promote the healthy and stable development of the economy in the same industry.
Article 4 This Association shall be subject to the supervision and management of the association registration authority: Guangdong Provincial Department of Civil Affairs; The association accepts the business guidance of the relevant functional departments of the provincial government.
Article 5 Activity Area: Guangdong Province.

Chapter II Scope of Business
Article 7 Business scope. It mainly investigates the development direction of the furniture industry, formulates industry development plans, organizes industry enterprises to carry out production, operation, management, scientific research, quality, design and designer evaluation, publishes market information, edits professional journals, and carries out industry investigation, training, exchange, consultation, exhibition and other services. Details are as follows:
1. Publicize the principles and policies of the Party and the state related to this industry to members in a timely manner.
2. Investigate, collect and sort out the basic situation of the industry, study the development direction of the furniture industry in the whole province, formulate the industry development plan, and provide suggestions and consulting services for government functional departments and members in formulating plans, economic and technological policies, and economic legislation.
3. Promote the implementation of famous brand strategy, participate in the cultivation, recommendation and evaluation of famous brand products in China and Guangdong Province, participate in the recommendation and evaluation of national inspection-free products, participate in the recommendation and evaluation of well-known trademarks in China and famous trademarks in Guangdong Province, and do a good job in publicity and promotion.
4. Promote the economic development of characteristic regions, relevant departments review the plan, participate in the cultivation and evaluation of national and Guangdong characteristic regions, and do a good job in commendation, publicity and promotion.
5. Promote the scientific and technological progress of the industry, participate in the demonstration, establishment and acceptance of Guangdong Industrial Innovation R&D Center, and do a good job in publicity and promotion; Promote various forms of alliances and coordinate technological progress within and between industries.

Establish an industry information network, edit industry newspapers, materials and websites, and strive to provide members with information on market, technology, standards, commodities and exports, utilization of foreign capital and technology introduction, and provide advisory services on the application of new products, technologies and materials.
7. Publicize and implement national and international standards, and participate in drafting and formulating relevant national and industrial standards; Participate in ISO9000 quality certification, ISO 14000 environmental certification and OMSAS 18000 occupational health and safety certification; Participate in quality supervision and safety supervision.
8. Establish the files of member enterprises, relevant departments review the scheme, carry out qualification grade evaluation, and do a good job in publicity and promotion; Organize experts to participate in the research and demonstration of the development strategy of member enterprises, and guide and help member enterprises to improve their comprehensive competitiveness.
13. Organize and coordinate trade associations and member enterprises to participate in foreign anti-dumping, countervailing and safeguard actions against China products; Participate in the construction of industry anti-dumping early warning system and provide relevant information in time; Organize and coordinate the application and litigation activities of trade associations and member enterprises for anti-dumping, countervailing and safeguard measures against foreign products coming to China.
14, representing the industry, accepts the argumentation and consultation of policies and decisions involving the interests of the industry, puts forward relevant opinions and suggestions, and safeguards the legitimate rights and interests of members and the industry.
15, to undertake the work entrusted by government functional departments and other social organizations.
16. Carry out other activities beneficial to the industry.
Chapter III Members
Article 8 The members of this Association are economic organizations in this industry, and they are all unit members.
1. Unit members: all economic organizations engaged in the production and operation of furniture and related products in this province, enterprises and institutions engaged in furniture design, scientific research, quality inspection and education, and local associations in this province; Among them, after the local association handles the relevant procedures and pays the relevant fees, its unit members become the unit members of the association;
2. Honorary post: according to the needs of the work, with the consent of the board of directors, relevant leaders and experts can be hired to hold honorary posts (such as consultants and honorary presidents) of the association; In recognition of the contributions of the previous presidents (directors) of the Association to the Association, with the consent of the Council, they may be appointed as honorary presidents of the Association.
Article 9 A member applying to join this Association must meet the following requirements:
1, supporting the articles of association of Guangdong Furniture Association;
2. Have the will to join the association and apply for membership;
3. Have a certain influence in this industry and meet the membership in the articles of association of Guangdong Furniture Association;
4, should hold the annual inspection of the "business license", "tax registration certificate" and other relevant documents.
Article 10 Procedures for applying for membership:
1. After the applicant fills in the membership application form and seals it, he formally submits the original membership application form, as well as a copy of the industrial and commercial business license and tax registration certificate to the Association;
2. With the consent of the Council of the Association;
3. Pay the annual membership fee;
4. The Council authorized the Secretariat to examine and approve the membership and award the membership certificate of Guangdong Furniture Association.
Article 1 1 Rights of members:
1. Attend members' congress, participate in various activities organized by the association and accept services provided by the association;
2. Have the right to vote, be elected and vote;
3. Priority in obtaining the services of the Association;
4. Have the right to criticize, suggest and supervise the work of the Association;
5. Freedom of voluntary participation and withdrawal;
6. You can join other social groups at the same time.
Article 12 Obligations of members:
1, consciously abide by the articles of association;
2. Implement the resolutions of this Association;
3. Pay membership dues according to regulations;
4, safeguard the legitimate rights and interests of associations and industries;
5. Complete the work assigned by the Association;
6. Report the situation to the Association and provide information and advanced experience in production technology and enterprise management.
Thirteenth members pay membership fees:
1, as the president and vice president of the unit member, pay the annual membership fee of 10000 yuan;
2. As a member of this unit, the executive director pays an annual membership fee of 5,000 yuan;
3. As a member of the governing unit, the annual membership fee is 2,500 yuan;
4. Members of ordinary units pay annual membership fees 1500 yuan;
5. The members of the supervision unit shall pay the annual membership fee 1.500 yuan;
6. Leaders and experts with honorary positions hired by the Council are exempt from payment of manuscript fees;
7. After the local association has gone through the relevant formalities, it is responsible for paying the membership fees of the local association and the membership fees of the units affiliated to the local association;
8. Educational, scientific research and testing institutions serving as executive directors, directors and member units are exempt from fees.
Article 14 A member who withdraws from the meeting shall notify the Association in writing and return membership certificate and the bronze medal. If a member fails to pay the membership fee or participate in the activities of this association for one year, it will be deemed as automatic withdrawal.
Fifteenth members who do not abide by the articles of association shall be criticized and educated by the association; If there is a serious violation of the Articles of Association, it will be removed by voting at the shareholders' meeting.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 16 The Association consists of members. The members' congress is the highest authority of the association and exercises its functions and powers in accordance with national laws, regulations and the articles of association of trade associations.
Article 17 The general meeting of members shall exercise the following functions and powers:
1. Decide the business scope and work functions of the Association within the scope stipulated by laws and regulations;
2. Elect or recall the president, vice president, secretary general, executive directors, directors and supervisors by secret ballot;
3. Review the annual work report of the board of directors and the board of supervisors and the annual financial budget and final accounts plan;
4. To consider the recommendation of the Council on the delisting of members;
5. To make resolutions on the alteration, dissolution and liquidation of the Association;
6. Changing or revoking inappropriate decisions of the Council;
7. To formulate or modify the articles of association and election methods of the organization;
8. Decided to terminate;
9. Decide on other major issues.
Article 18 The general meeting of members shall be held every four years. If it is necessary to advance or postpone the general election due to special reasons, it shall be voted by the board of directors and reported to the registration authority of the association for approval. However, the longest extension shall not exceed 1 year. The general meeting of members shall be held at least once every two years. If the Council considers it necessary or more than one-fifth of the members propose, it may convene an interim member representative meeting.
Nineteenth members' congress must be attended by more than two-thirds of the members' representatives; Its resolution must be adopted by more than half of all members' representatives.
The members' congress shall make minutes of the decisions on the matters discussed and announce them to the members.
Article 20 The Association shall have a Council. The Council is the permanent body of the member congress. When the member congress is not in session, it will perform its duties according to the resolutions and articles of association of the member congress.
The number of directors is one-third of the number of representatives of members.
Article 21 The functions and powers of the Council are:
1. Prepare and convene a general meeting of members;
2, implement the resolutions of the workers' congress, and report to the workers' congress;
3. Decide on the specific work and business of the Association;
4. To formulate the annual financial budget plan, final accounts plan, change, dissolution and liquidation plan of the Association;
5. To formulate plans for increasing or decreasing the registered capital of the company;
6. Decide on the establishment of the internal institutions of the Association and lead the internal institutions of the Association to carry out their work;
7. Decide on the membership of the new applicant and the punishment for the member, and put forward suggestions for the removal of the member;
8. According to the nomination of the Secretary-General, appoint or dismiss the Deputy Secretary-General of the Association, the heads of offices and representative offices, and decide on their remuneration;
9. Formulate the internal management system of the Association;
10. To decide on the appointment and dismissal of the honorary president and consultant;

Article 22 The Council shall convene a meeting at least once every six months, and it may also be convened by means of communication under special circumstances. The board meeting can only be held when more than half of the directors are present. Resolutions of the board of directors shall be adopted by more than half of all directors. The board of directors shall form minutes of the resolution and announce it to all directors.
The meeting of the board of directors shall be convened and presided over by the president. When the President is unable to perform his duties due to special reasons, the President shall entrust the Vice President or the Secretary General to convene and preside over the meeting. More than one-third of the directors may propose to convene a board meeting.
Article 23 When there are more than 50 members of the Council, an executive director may be elected from among the directors as needed, and a standing council shall be established, and the standing council shall be responsible to the council. The Standing Council consists of President, Vice President and Executive Director. The number of executive directors is one third of the number of directors. When the Council is not in session, with the authorization of the Council, the Standing Council may exercise the functions and powers stipulated in paragraphs 0, 2, 3, 4, 5, 6, 7 and 9 of Article 21 of the Articles of Association. The Standing Council shall hold a meeting at least once every three months, and it may be held in the form of communication under special circumstances. The resolution of the Standing Council shall be passed by more than half of all the standing directors.
Article 24 Rules and procedures for the establishment of branches and representative offices of this Association:
1. The secretariat of this association puts forward a specific plan for establishing a branch;
2. Submit the specific plan to the president's office meeting for discussion and adoption;
3. Submit the adopted concrete plan to the Council for consideration and approval;
4, reported to the social organization registration authority for approval.
Article 25 The Association shall have a board of supervisors, with 1 supervisor and 2 supervisors, who shall be elected by the members' congress. The term of office of the supervisor is the same as that of the board of directors, and may be re-elected upon expiration.
The president, vice-president, directors and secretary-general shall not concurrently serve as supervisors.
Article 26 The president, vice-president, secretary-general and supervisor of this Association must meet the following conditions:
1, adhere to the party's line, principles and policies, and abide by national laws and regulations;
2. It has great influence in this industry;
3. The maximum age of the president, vice-president and secretary-general is no more than 70 years old, and the secretary-general is full-time;
4, good health, can adhere to normal work;
5. Not subject to criminal punishment;
6. Have full capacity for civil conduct.
Article 27 The Secretary-General of this Association adopts the appointment system. The secretary-general and the president cannot be produced in the same enterprise. The chairman shall not concurrently serve as the Secretary-General.
Article 28 The Association shall have a president and several vice-presidents. The president is the legal representative of this Association, and the legal representative of this Association shall not concurrently serve as the legal representative of other social organizations. When necessary, set up several executive presidents among the vice presidents to assist the presidents in organizing and implementing major activities and responding to emergencies. If necessary, the executive chairman may change halfway.
Article 29 The term of office of the President, Vice-President and Secretary-General of this Association is four years, and the re-election shall not exceed two terms.
Article 30 The President of this Association shall exercise the following functions and powers:
1. Convene and preside over meetings of the Council and the Standing Council;
2, check the implementation of the resolutions of the Congress, the Council and the Standing Council;
3. Sign relevant important documents on behalf of the Association.
Article 31 The vice-president and secretary-general of this Association shall work under the leadership of the president, and the secretary-general shall be responsible to the Council. The Secretary-General shall be a full-time person and exercise the following functions and powers:
1, presiding over the daily work of the office and organizing the implementation of the annual work plan;
2, organize the formulation and implementation of the annual work plan and budget, decision;
3. Coordinate the work of branches, representative offices and entities;
4. Nominate the Deputy Secretary-General and the heads of offices, branches, representative offices and entities, and submit them to the Council or the Standing Council for decision;
5. Nominate the employment of full-time staff of all offices, representative offices and entities, and report to the President for approval;
6. Handle other daily affairs of the Association.
The Secretary-General attends meetings of the Council and the Permanent Council.
Article 32 A supervisor shall exercise the following functions and powers:
1, report the annual work to the member congress;
2. Supervise the election and recall of members' congresses, directors and executive directors; Supervise the Council to implement the resolutions of the member congresses;
3, check the financial and accounting information of the community, to reflect the situation to the community registration authority and the competent tax and accounting departments;
4. Supervisors shall attend board meetings as nonvoting delegates and have the right to raise questions and suggestions to the board;
5. Supervise the compliance of the Council with laws and regulations. When the behavior of the president, vice-president, directors, secretary-general and other managers harms the interests of the association, they are required to correct it and report to the member congress or relevant government departments when necessary.
Supervisors shall abide by the relevant laws, regulations and articles of association, accept the leadership of the members' congress, and earnestly perform their duties.
Chapter V Principles of Asset Management and Use
Article 33 the sources of funds of the association.
1, membership fee;
2. Donation;
3. government funding;
4. Income from activities or services provided within the approved business scope;
5. interest;
6. Other lawful income.
Article 34 The Association shall abide by laws and regulations when accepting donations, and shall not apportion in any form or in disguised form.
Thirty-fifth donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property to the association and put forward opinions and suggestions. The association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.
Article 36 the funds of this association must be used for the business scope and career development stipulated in the articles of association. Property and other income are protected by law, and no unit or individual may occupy, privately divide or misappropriate them.
Article 37 If the president, vice-president, directors, supervisors, secretary-general and staff of the Association privately divide, occupy or misappropriate the property of the Association, they shall be returned and reviewed by the members' congress; If a crime is constituted, criminal responsibility shall be investigated according to law.
Article 38 This Association shall implement the unified national accounting system, conduct accounting according to law, establish and improve the internal accounting supervision system, and ensure the legality, truthfulness, accuracy and completeness of accounting data.
This Association accepts the tax supervision and accounting supervision implemented by the competent tax and accounting departments according to law.
Article 39 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 40 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 41 The annual report, change of membership, change of legal representative and liquidation of this Association must be subject to the financial audit organized by the registration authority of this Association.
Article 42 An association shall, in accordance with the Regulations of Guangdong Province on Trade Associations, submit the activity report of the previous year, financial report and the activity arrangement of this year to the association registration authority before the end of March each year.
The Association has established a reporting system for major activities: the Association holds large-scale academic reports, seminars and exhibitions, holds foreign exchanges, communicates with overseas NGOs, conducts industry appraisal and commendation activities, and accepts donations from overseas and society. , and before the event to the relevant government departments and community registration authority to declare the relevant procedures.
Article 43 The full-time staff of the Association shall be engaged in full-time employment system, openly recruited for the society and signed labor contracts. Its salary, insurance and welfare benefits shall be implemented with reference to the relevant provisions of the state on public institutions.
Chapter VI Procedures for Amending the Articles of Association
Forty-fourth amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.
Article 45 The revised articles of association of this Association shall come into effect after being approved by the association registration authority within 30 days after being adopted by the members' congress.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 46 In any of the following circumstances, this Association shall be terminated, and the Council or the Standing Council shall propose a motion for revocation:
1, which fulfilled the purpose stipulated in the Articles of Association;
2. The General Assembly decided to dissolve;
3. Division or merger of the association;
4. Unable to continue working according to the purpose of the Articles of Association.
Article 47 The motion to terminate this association must be voted by the members' congress and submitted to the registration authority for examination and approval.
Article 48 Before the termination of this association, a liquidation organization shall be established under the guidance of the association registration authority and relevant units to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The association shall, within fifteen days from the date of liquidation, go through the formalities for cancellation of registration with the association registration authority.
Article 49 The Association shall be terminated after the cancellation of registration by the association registration authority.
Article 50 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the registration and administration organ of associations and in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 51 The Articles of Association was adopted by the members' congress on February 23rd, 20 10.
Article 52 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 53 The Articles of Association shall come into force as of the date of approval by the association registration authority.
