Chapter I General Principles

Article 1 China Plastics Processing Industry Association (hereinafter referred to as China Plastics Association), English name is China Plastics Processing Industry Association (hereinafter referred to as CPPIA).

Article 2 This Association is the trade organization of plastic processing industry in China. It is a national, industrial and non-profit social organization voluntarily composed of enterprises and institutions, social organizations, scientific research institutes, universities and other units and individuals engaged in plastic processing and related industries, and has the qualification of enterprise legal person.

Article 3 Purpose of the Association: to abide by the Constitution, laws and regulations, implement relevant national policies, observe social ethics, reflect the requirements of the industry, safeguard the legitimate rights and interests of members, guide and promote the healthy and sustainable development of the industry, and serve members, industries and the government.

Article 4 This Association accepts the business guidance, supervision and management of the State-owned Assets Supervision and Administration Commission of the State Council and the Ministry of Civil Affairs, and is the competent business unit.

Article 5 domicile of the association: Beijing.

Chapter II Scope of Business

Article 6 The business scope of this Association is as follows:

(a) to reflect the wishes of the industry, study the development direction of the industry, assist in the preparation of the industry development plan, and coordinate the internal and external relations of the industry;

(two) to play the role of bridge and link between members and government departments; Representing the interests of member enterprises and reflecting the opinions and requirements of enterprises to the government; Promote industrial development and maintain industrial safety;

(three) to carry out industry research, participate in industry development decisions, reflect the relevant issues in the industry and the requirements of members, coordinate the relationship between members, and safeguard the legitimate rights and interests of the industry and members;

(four) authorized and entrusted by government departments, to participate in the formulation of industry planning, and to conduct preliminary demonstration of major technological transformation, technology introduction and investment development projects in the industry;

(five) the implementation of industry self-discipline management, formulate rules and regulations and supervise the implementation, standardize industry behavior, coordinate peer price disputes, and maintain fair competition;

(six) to assist government departments in quality management and standardization, to participate in the formulation and revision of national standards and industry standards, and to organize the implementation and supervision;

(seven) with the consent of the government departments, to participate in the technical supervision of industrial production and the issuance of industrial production and business licenses, and to participate in the qualification examination; Promote the implementation of brand strategy and crack down on counterfeit and shoddy products;

(eight) to participate in the market construction of related products, develop industries and social welfare undertakings, and promote and cultivate the construction of characteristic areas in the plastic industry;

(nine) to participate in the evaluation of scientific and technological achievements projects, promote the application of new processes, new technologies, new materials, new equipment and new products, accept the entrustment of government departments to organize scientific and technological achievements appraisal and product appraisal, and enhance the technological innovation ability of the industry; Promote environmental protection and energy conservation in the industry; Organize technical exchange and training, and undertake technical consultation;

(ten) to promote environmental protection and energy conservation in the industry, and guide the industry to play a role in the construction of circular economy and resource-saving society;

(eleven) widely organize economic and technological exchanges and cooperation inside and outside the industry, and according to the needs of market and industry development, the government undertakes or organizes exhibitions and expositions at home and abroad, and participates in international conferences and inspection activities at home and abroad;

(twelve) commissioned by the competent government departments to conduct industry statistics, collect, analyze and publish industry information;

(13) Organizing personnel, technical and vocational training, compiling teaching materials, recommending to go abroad for further study, and hiring foreign experts to give lectures and exchange in China;

(fourteen) to organize the publication of various publications of the Association, provide information and provide consulting services;

(fifteen) to coordinate the internal and external relations of the industry, promote the deepening reform of enterprises, and promote the integrated development of enterprises;

(sixteen) to accept other tasks entrusted by government departments.

Chapter III Members

Article 7 Members of this Association are divided into unit members and individual members.

Unit members: All enterprises with a certain scale engaged in plastic processing in China, enterprises and institutions related to this industry, scientific research institutes, institutions of higher learning and relevant social organizations can become unit members of the Association upon approval. The representative of the member of the unit shall be the legal representative of the unit or its client.

Individual members: people who have made great contributions to the development of China's plastic processing industry and have certain influence and representativeness can become individual members of the association upon approval.

Article 8 A member applying to join this Association must meet the following requirements:

(1) Supporting the articles of association;

(2) Have the will to join this Association.

(3) It has a certain influence in the business field of the Association.

Article 9 Membership procedures:

(1) Submit the application form for membership of China Plastics Processing Industry Association;

(two) approved by the Council or the Standing Council to meet the membership conditions;

(3) membership certificate will be awarded by the Council or the secretariat authorized by the Council.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in the relevant activities of this association;

(three) have the right to make suggestions and criticisms on the work of this association, and supervise it;

(four) have the right to participate in the activities organized by the Association and enjoy preferential treatment;

(five) the right to obtain the training, consulting services and publications provided by the Association for its member units;

(six) the member units whose products meet the standards have the right to make legal advertisements in the name of the members of the association that do not harm the interests of the association and publicize the qualified products and scientific and technological achievements;

(seven) the right to apply for technical assistance from the association;

(eight) have the right to request the association to protect their legitimate rights and interests from damage;

(9) Voluntary membership and free withdrawal.

Article 1 1 Obligations of members:

(1) Abide by the articles of association of this Association and implement the resolutions of this Association;

(two) to safeguard the legitimate rights and interests of this association;

(three) to complete the work assigned by the association;

(four) to pay membership fees in accordance with the provisions;

(five) to reflect the situation to the association and provide relevant information;

(6) Regular membership registration;

Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card.

If a member fails to fulfill his membership obligations for two years and there are no special circumstances, he will be deemed to have withdrawn automatically.

Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the members' congress, and its functions and powers are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors; ;

(3) To consider the work report and financial report of the Council.

(four) to formulate and revise the membership fee standards;

(five) to consider and deal with the motion on behalf of;

(6) Deciding to terminate.

(seven) to decide on other major issues.

Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.

Article 16 The general meeting of members shall be held every five years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. The longest extension shall not exceed 1 year.

Article 17 The Council is the executive body of the general assembly, leading the Association to carry out its daily work when the general assembly is not in session, and being responsible for the general assembly.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the chairman, vice chairman, secretary general and executive director;

(three) to prepare for the convening of the members' congress;

(four) to report the work and financial situation to the members' congress;

(five) to decide to absorb and recall members;

(6) Deciding on the establishment, cancellation and renaming of offices, branches, representative offices and entities;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) leading the working institutions to carry out activities;

(nine) to formulate internal management system;

(10) To decide on the establishment and candidates for honorary posts;

(eleven) to decide on other major issues.

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 20 The Council shall meet at least once a year. Under special circumstances, it can be convened by means of communication.

Article 21 The Association shall establish a standing council. The Standing Council is elected by the Council, exercises the functions and powers of Article 18, items 1, 3, 5, 6, 7, 8 and 9 when the Council is not in session, and is responsible to the Council. The number of executive directors shall not exceed 65438+ 0/3 of the number of directors.

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Twenty-third meetings of the Standing Council shall be held at least once every six months. Under special circumstances, it can be held by communication.

Article 24 The chairman, vice-chairman and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the Group;

(3) The maximum working age is no more than 70 years old, and the secretary-general is full-time;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 25 If the chairman, vice-chairman and secretary-general of this Association are over the maximum working age, they shall go through the resignation procedures.

Article 26 The term of office of the chairman, vice-chairman and secretary-general of this Association is five years, and the term of office may not exceed two consecutive terms.

Article 27 The president of this Association is the legal representative of this Association. Due to special circumstances, the vice chairman or the secretary-general may act as the legal representative after being entrusted by the chairman of the board of directors, discussed and approved by the board of directors, and reported to the competent business unit for review and registration management. The legal representative signs relevant important documents on behalf of the Association.

The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 28 The chairman of this Association shall exercise the following functions and powers:

(a) to convene and preside over the Council and the Standing Council;

(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council.

Article 29 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating deputy secretaries-general and principal responsible persons of various institutions and submitting them to the Council or the Standing Council for decision;

(four) to decide on the employment of full-time staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Thirtieth sources of funds of this Association:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 31 the association collects membership fees in accordance with relevant state regulations.

Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 34 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Thirty-sixth before the association changes or changes its legal representative, it must accept the financial audit organized by the audit institution recognized by the association registration authority and the competent business unit.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Branch Management

Article 39 Under the leadership of the Council, the branch of the Association shall formulate measures for the management of the branch and carry out activities according to law.

Chapter VII Procedures for Amending the Articles of Association

Article 40 The amendment to the articles of association of this Association shall be submitted to the members' congress for deliberation after being voted by the Council.

Article 41 The revised articles of association of this Association shall take effect within 15 days after being adopted by the members' congress, and shall be submitted to the competent business unit for examination and approval.

Chapter VIII Termination Procedure and Property Disposal after Termination

Article 42 If an association is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.

Article 43 The motion to terminate this association must be voted by the members' congress and submitted to the competent business unit for examination and approval.

Forty-fourth before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 45 this association shall be terminated after the cancellation of registration by the association registration authority.

Forty-sixth after the termination of the association, the remaining property, under the supervision of the competent business unit and the association registration authority, shall be used for the development of undertakings related to the purpose of the association in accordance with the relevant provisions of the state.

Chapter IX Supplementary Provisions

Article 47 The Articles of Association was deliberated and adopted at the sixth general meeting of members in May, 201/kloc-0.

Article 48 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 49 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
