Articles of Association of Shenzhen Electronic Chamber of Commerce

Chapter I General Principles

Article 1 The name of this Association is Shenzhen Electronic Chamber of Commerce (SECC for short), which is a local social organization with legal personality approved and registered by the Shenzhen Association Management Office.

Article 2 Nature of this Association: This Association is a non-profit organization voluntarily formed by enterprises and organizations engaged in the production, management, scientific research, teaching and service of electronic products in Shenzhen.

Article 3 Purpose of the Association: The Association aims at serving its members, the market and the government, adheres to the policy of reform and opening up, adheres to the principle of socialist market economy, strictly abides by the national constitution, laws, regulations and policies, abides by social ethics, faces enterprises, actively promotes the continuous development of electronic product production and operation and domestic and foreign trade, strengthens the economic strength of members, safeguards the rights and interests of Taiwan and France members, and expands the chamber of commerce society.

Article 4 This Association accepts the business guidance, supervision, inspection and management of Shenzhen Economic and Trade Bureau and Civil Affairs Bureau.

Article 5 The domicile of this Association is located in Shenzhen, Guangdong Province.

Chapter II: Business Scope

Article 6 The business scope of this Association is to play the role of a bridge and link between members and the government, members and the market, face enterprises, safeguard the legitimate rights and interests of members, reflect the opinions and demands of members, convey the government's principles and policies, assist government departments in providing guidance, coordination and consulting services for the production and operation of electronic products, and serve the development of electronic information industry in Shenzhen. The specific business scope of the association is as follows: 1. Pay attention to the development of electronic information industry at home and abroad, organize electronic market research, and provide valuable research results for the business decisions of member units and the policy formulation of relevant government departments. The second is to organize the investigation and study on the basic situation of the production and operation of enterprises in the electronic industry, carefully analyze the situation and policies of the production and operation of electronic products, provide guidance, coordination and consulting services for the production and operation of electronic products, and promote the healthy development of the electronic industry in Shenzhen. Third, develop and establish market information channels through newspapers, websites and other forms to provide professional market information services for member enterprises. Four, organize member units to develop exchanges with the same industry at home and abroad, and actively create conditions to carry out and expand foreign trade, economic cooperation and business exchanges. Five, coordinate the mutual interests of members, stop all kinds of unfair competition means, provide legal advisory services for member units, in order to maintain fair competition in the electronic product market and maintain the order of the electronic market. Six, investigate and study the international electronic products market and its operation law, and create conditions for Shenzhen electronic products to enter the international market more. Organize various exhibitions, trade fairs, seminars and product promotion meetings at home and abroad to serve members in opening up domestic and international markets. Eight, safeguard the legitimate rights and interests of members, actively reflect the opinions and demands of members, and strive for preferential policies for the production and operation of relevant government departments for members. Nine, to carry out management consulting services, at the request of enterprises, organize experts to diagnose and consult the development strategy, business decision-making, marketing and internal management of enterprises. Ten, training production and management personnel for member units, and constantly improve the management level of member units. XI。 Organize other beneficial social activities that members of the association think necessary and possible.

Chapter III Members

Article 7 Membership categories of this Association: Members of this Association are divided into unit members, group members and individual members. Article 8 To apply for membership of this Association, the following conditions shall be met: any industrial and commercial enterprise with legal person status engaged in the production, operation and research and development of electronic products that recognizes the articles of association of Shenzhen Electronic Chamber of Commerce, actively participates in the activities of the Chamber of Commerce, is willing to join the Shenzhen Electronic Chamber of Commerce, and is willing to fulfill its membership obligations and pay membership fees may apply for membership of this Association. 2. Associations, academic organizations, financial institutions and intermediary service institutions related to the production and operation of electronic products can become group members of this Association. 3. The Association may employ relevant celebrities as honorary members and honorary members of the Association according to the needs of work. 4. All enterprises and organizations applying for membership must submit a written application, and only after being examined and approved by the Standing Council can they become full members of the Association. Special circumstances can be directly examined and approved by the chairman and vice chairman, but must be confirmed by the Standing Council. Article 9 The membership procedure is as follows: submit an application for membership; Two, discussed and approved by the Standing Council; Three, by the Standing Council or the institutions authorized by the Standing Council to register and issue membership cards. Article 10 Members shall enjoy the following rights: the right to vote, the right to be elected and the right to vote; 2. Participate in discussion, formulation and revision of articles of association; 3. Participate in various activities organized by the Association, including conferences, exhibitions and trainings, and enjoy preferential prices for the charged items; 4. Give priority to our services; 5. Have the right to criticize, suggest and supervise the work of this Association; Six, have the right to listen to and review the work report of the association; Seven, have the right to obtain all kinds of information of the association, and enjoy the information and legal consulting services of the association; 8. Members have the right to be protected by this Association when their legitimate rights and interests are infringed. 9. Freedom of voluntary participation and withdrawal. Article 11 Members shall perform the following obligations: to implement the resolutions of this Association; Second, safeguard the legitimate rights and interests of this association; Third, complete the work assigned by this association; 4. Pay membership dues according to regulations; 5. Report to this Council and provide relevant information; 6. Abide by the Articles of Association and the rules and regulations formulated by the Association; 7. Actively participate in various business activities organized by the Association, strictly abide by the agreements signed by the members of the Association, and shall not do anything that damages the reputation and interests of the Chamber of Commerce and its members; Article 12 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of this association for one year, it will be deemed as automatic withdrawal. Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the member congress, and its functions and powers are as follows: 1. To formulate and revise the articles of association of this Association; 2. Elect and recall the executive director; Three, review the work report and financial report of the Standing Council; Four, review and approve the financial budget and final accounts of the association, as well as major asset investment; 5. Discuss and decide on the working principles, tasks and plans of the Association; 6. Discuss and decide on important matters of the Association and make resolutions; 7. To decide on the termination of this Association; 8. Decide on other major issues. Fifteenth members' congress can only be held when more than two thirds of the directors are present, and its resolutions can only take effect when more than half of the directors actually attend the voting. Article 16 The Council shall meet once every three years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Standing Council, reported to the competent business unit for review, and approved by the registration authority of the Association. However, the term of office shall not be extended for more than one year. Article 17 The Association shall establish a standing council. The Standing Council shall be elected by the Council, and the number of executive directors shall not exceed one third of the number of directors. The Standing Council shall exercise its functions and powers when the Council is not in session and be responsible to the Council. Article 18 The Standing Council is the executive body of the Council, which leads the Council to carry out its daily work during the intersessional period and is responsible to the members' congress (Council). Article 19 The functions and powers of the Standing Council are: to implement the resolutions of the Security Council; 2. To elect and recall the president, vice-president and secretary-general; Third, prepare to convene the Council; Four, report the work and financial situation to the members' congress (Council); 5. Decide on the absorption or recall of members; 6. Decide to establish offices, branches, representative offices and entities; 7. To decide on the appointment and removal of the Deputy Secretary-General and the principals of various institutions; Eight, leading the work of various institutions of the Association; Nine, formulate internal management system; X. Review the work report, financial budget and final accounts proposed by the Secretariat; Xi。 To decide on the general changes of the Association; 12. accept the opinions of the board of supervisors on the disciplinary issues of the association, propose solutions and accept their supervision; Thirteen. Other duties. Article 20 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting. Article 21 The Standing Council shall meet at least once a year; Special circumstances can also be held by means of communication. Article 22 The president, vice-president and secretary-general of this association must meet the following conditions: adhere to the party's line, principles and policies and have good political quality; Second, it has great influence in the business field of the Group; 3. The maximum age of the president, vice-president and secretary-general shall not exceed 70, and the secretary-general shall be full-time; Fourth, be healthy and be able to stick to normal work; 5. Having not been subjected to criminal punishment of deprivation of political rights; 6. Have full capacity for civil conduct. Article 23 If the president, vice-president and secretary-general of the Association are over the maximum working age, they shall be approved by the Standing Council, reported to the competent business unit for examination, and approved by the registration authority of the Association before taking up their posts. Article 24 The term of office of the President, Vice President and Secretary General of this Association is three years. The term of office of the president and vice president shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than 2/3 of the directors of the Council, reported to the competent business unit for review, and approved by the association registration authority before taking office. Article 25 The president of this Association shall be the legal representative of this Association. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations. Article 26 The president of the Association shall exercise the following functions and powers: to convene and preside over the Standing Council; Two, check the implementation of the resolutions of the Council and the Standing Council; Three. Sign relevant important documents on behalf of the Association; 4. Decide on other major issues. Twenty-seventh executive vice president or secretary general is responsible for the daily work of the association. Article 28 The permanent office of this Association is the secretariat. The secretariat handles daily work under the auspices of the Secretary-General. The secretariat employs full-time staff as required, and the secretariat is responsible to the Council and the Standing Council. The main tasks of the secretariat are as follows: (1) to propose amendments to the draft articles of association; Two, put forward the resolutions and tasks made by the Executive Council and the Standing Council; Three, the relevant documents of the annual meeting work report; Four, put forward the draft opinions on major issues that need to be discussed by the Standing Council; 5. Coordinate and handle business dealings and business disputes among members; Six, organize the collection and processing of various market information, run the journal of this association and Shenzhen electronic industry economic information network; Seven, organize members to carry out various business activities; Eight, to carry out enterprise management consulting and training activities; Nine, complete the matters assigned by the Council and the Standing Council; Ten, put forward the financial budget and final report. Article 29 The Secretary-General of the Association shall exercise the following functions and powers: preside over the daily work of the Secretariat and implement the annual work plan; 2. Coordinating the work of branches, representative offices and entities; 3. Nominate the Deputy Secretary-General and the principals of offices, branches, representative offices and units, and submit them to the Council or the Standing Council for resolution; 4. To decide on the employment of full-time staff in offices, representative offices and entities; V. Deciding to appoint the heads of departments in the Secretariat; 6. Handle other daily affairs. Article 30 In order to strengthen contacts and carry out regular business activities, the Association will establish a liaison officer system, who is appointed by the governing unit and belongs to the non-resident staff of the Secretariat. The Secretariat holds all or part of liaison meetings from time to time to study specific business work. Liaison officers should be familiar with the work and be relatively stable. Article 31 The Association may gradually set up several business departments to carry out various business activities according to the needs of business work. Thirty-second according to the needs of work development, the association can set up a number of professional branches, but it must be approved by the competent department of community business and registered in the community registration department. Article 33 The Association shall employ honorary presidents and consultants as required. The candidates for honorary president and consultant shall be decided by the Standing Council.

Chapter V Principles of Asset Management and Use

Article 34 The sources of funds of the Association are: membership fees paid by member units of the Association; Second, funding and donation; Third, government funding; Income from activities or paid services within the approved business scope; 5. interest; Six, other income obtained according to law. Article 35 The Association shall collect membership fees in accordance with relevant state regulations. Article 36 The funds of this Association are mainly used for the following items: expenditure on activities to realize the tasks of this Association; 2 office facilities, supplies and expenses required by the association; Three, the expenses of various meetings held by the association; 4. Remuneration of full-time staff of the Association. Article 37 The financial budget of the Association shall be implemented after being approved by the Standing Council. After the end of each fiscal year, the final accounts shall be audited by the Standing Council and reported to the Council. Article 38 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members. Article 39 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information. Article 40 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient. Article 41 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the Council and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way. Article 42 Before changing its legal representative, the Association must accept the financial audit organized by the registration authority and the competent business unit of the Association. Article 43 No unit or individual may occupy, privately divide or misappropriate the assets of this Association. Article 44 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Article 45 Any amendment to the articles of association of this Association shall be approved by the Standing Council and submitted to the Council for deliberation. Article 46 The revised articles of association of the Association shall come into effect within 15 days after being adopted by the Council, reviewed and agreed by the competent business department, and reported to the registration authority of the Association for approval.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 47 If this Association is dissolved or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a termination agreement. Article 48 The proposal to terminate this Association shall be approved by the board of directors and submitted to the competent business unit for examination and approval. Article 49 Before the termination of this Association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. Article 50 An association shall be terminated after its registration is cancelled by the association registration authority. Article 51 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business unit and the registration administration organ of this Association in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 52 The Articles of Association was adopted by the members' congress on February 27th, 2002/KLOC-0. Article 53 The right to interpret the Articles of Association belongs to the Council of the Association. Article 54 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
