Article 1 The name of this Association is Hebei Modern Logistics Association (hereinafter referred to as this Association), and the English name is Hebei Modern Logistics Association. English abbreviation: HAML.
Article 2 This Association is a cross-regional, cross-industry and cross-industry comprehensive non-profit social organization approved and registered by the Civil Affairs Department of Hebei Province. It is voluntarily attended by logistics associations, logistics enterprises, primary industry, secondary industry, service industry and logistics related enterprises, universities, research institutes and celebrities from all walks of life with legal personality.
Article 3 The purpose of this Association is to abide by the Constitution and laws of People's Republic of China (PRC).
Laws, regulations and national policies, abide by social ethics and safeguard national interests; Adhere to service-oriented, perform their duties, serve the society, innovate and develop, and serve the government, members, industry and society wholeheartedly; Strengthen industry self-discipline, strive to promote the reform and development of modern logistics industry in Hebei Province, and improve the social and economic benefits of logistics industry; Safeguard the legitimate rights and interests of the logistics industry and member units according to law.
Article 4 This Association accepts the supervision, guidance and management of the competent business unit, Hebei Federation of Industrial Economics (Hebei Federation of Economic Organizations) and the registration administration organ, Hebei Civil Affairs Department.

Chapter II Scope of Business
Article 6 The functions and business scope of this Association:
(a) actively publicize and conscientiously implement the principles, policies and regulations of the party, the state and the Hebei Provincial Party Committee and the provincial government on the development of modern logistics industry;
(II) Organize and implement industry investigation and study, reflect the demands of industries, enterprises and members to the government and relevant government departments, safeguard the legitimate rights and interests of members, put forward opinions or suggestions on industry development planning, industrial policies and economic legislation, actively participate in the research and formulation of laws and regulations, macro-control and industrial policies related to industry interests, and participate in major government decision-making hearings.
(3) Edit and publish Hebei Logistics, establish and improve Hebei Modern Logistics website, and provide legal, policy, technology, management, market and other information consulting services for member enterprises.
(four) to carry out internal statistics and analysis of member enterprises, collect industry information, grasp the development trends of domestic and foreign industries, and be responsible for the release of industry information.
(5) Entrusted by relevant government departments and relevant national trade associations.
1. Carry out the statistics of logistics industry in the whole province.
2. Publicize the national standard Classification and Evaluation Index of Logistics Enterprises (GB/T19680-2005). Responsible for the declaration, preliminary examination and on-site review of national A-level logistics enterprises in the province.
3. Publicize the national standards "General Warehouse Grade" (GB/GB/T21072-2007) and "Warehouse Service Quality" (GB/GB/T21071-2007-2007), and be responsible for the "General Warehouse in China" in the whole province.
(6) Take various forms to train all kinds of professionals for enterprises (including junior, middle and senior logistics division and purchasing division) to improve the quality of logistics industry.
(7) Organize modern logistics theory and practice research, hold various academic seminars, forums and expert and scholar reports, and constantly improve the theoretical level of modern logistics and circular economy of logistics enterprises.
(8) In accordance with national laws and regulations, strengthen exchanges and cooperation with relevant economic organizations and social groups at home and abroad in the fields of economy, technology, talents and information, promote various forms of economic cooperation and exchanges between regions, industries and enterprises, and provide services for foreign economic and technological exchanges and cooperation of enterprises.
(nine) to carry out the activities of striving for Excellence and establish and improve the incentive mechanism for the development of the industry. According to the relevant provisions of the state and the authorization of relevant departments, we will recommend and select model workers, advanced workers and advanced collectives in the logistics industry in conjunction with relevant departments, sum up exchange experiences and commend the advanced.
(ten) to coordinate the relationship between member units, members and non-member units and other social organizations inside and outside the industry; Issue public trust certificates to member units.
(eleven) to participate in the coordination of foreign trade disputes, organize member enterprises to do a good job in anti-dumping, anti-monopoly, anti-subsidy and safeguard measures complaints, litigation, investigation and other work.
(twelve) to publicize the national and provincial logistics standards, and formulate the quality norms and service standards of this industry according to the articles of association or regulations.
(thirteen) to carry out industry integrity activities. Formulate rules and regulations, professional ethics standards, etc. Establish and improve the self-discipline management and restraint mechanism of the industry, supervise the member units to operate according to law, and maintain fair competition and market order.
(fourteen) to undertake other matters entrusted or authorized by government departments.
Chapter III Members
Article 7 The Association shall implement unit membership system and individual membership system.
(1) Members of the unit
The Association is a comprehensive trade organization in Hebei Province, which consists of logistics enterprises, logistics application enterprises, social groups and individuals. All members of the unit shall be represented by the legal representative or the business person in charge designated by the legal representative. If there is any change, it should be replaced by the new legal representative or the business person in charge appointed by him, and the secretariat of the association should be notified in time for filing.
1. City and county logistics associations with legal personality and professional associations related to the logistics industry;
2. Logistics enterprises with legal personality (regardless of affiliation and ownership nature);
3. Highway, aviation, waterway, railway, pipeline transportation enterprises and management departments registered in the administrative department for industry and commerce, warehousing enterprises, logistics parks, seaports, airports, inland ports, e-commerce enterprises, industrial and agricultural production enterprises related to logistics, commercial enterprises, postal express communication enterprises, universities, scientific research institutes and other units (regardless of affiliation and ownership nature).
(2) Individual members
Experts, scholars, enterprise managers and staff of administrative organs and institutions who are engaged in the logistics industry voluntarily join the association or any branch of the association and become individual members of the association with the approval of the Council of the association or the branch secretariat.
Article 8 A member applying to join this Association must meet the following requirements:
(a) support the articles of association;
(2) Having the will to join this Association;
(three) has a certain influence in the logistics industry or related industries.
Article 9 Membership procedures
(a) the applicant (individual) to submit an application for membership;
(two) discussed and approved by the Council;
(3) The office authorized by the president's office meeting shall reply and issue a membership card and plaque.
Article 10 Rights of Members
(a) The right to vote, to be elected and to vote;
(two) to participate in relevant activities organized by the association;
(three) to obtain the service priority of this association;
(four) have the right to criticize, suggest and supervise the work of this association;
(five) require the association to safeguard the legitimate rights and interests of its members;
(6) Freedom to join and quit voluntarily.
Article 1 1 Obligations of Members
(1) Abide by the articles of association and implement the resolutions of the Association;
(two) to undertake the work entrusted by the Association;
(three) to reflect the situation to the association and provide relevant information and materials.
(four) to safeguard the legitimate rights and interests of this association;
(five) to pay the membership fee according to the regulations.
Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card.
If a member fails to pay the membership fee for one year, and fails to apply in writing for deferring or reducing the payment or not participating in the activities of the association, it shall be deemed as automatic withdrawal.
Thirteenth members who seriously violate the articles of association of the association shall be removed from the membership by voting at the president's office meeting or the standing Council.
Chapter IV Creation and Removal of Organizational Structure and Responsible Person
Article 14 The highest authority of this Association is the members' congress. The functions and powers of the members' congress are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors and supervisors;
(3) Deciding on the working principles and tasks of the Association, and deliberating and approving the work report and financial report of the Council;
(4) Deciding to terminate.
(5) Deciding on other major matters.
Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and the resolutions made can only take effect when more than two thirds of the members' representatives are present to vote.
Article 16 If a member congress is elected five years in advance or postponed due to special circumstances, it shall be voted by the board of directors and reported to the Hebei Federation of Industrial Economics (Hebei Federation of Economic Organizations) for review, and approved by the Civil Affairs Department of Hebei Province, but the longest extension shall not exceed 1 year.
Article 17 The Council is the executive body of the general meeting of members, leading the work of the Association during the intersessional period and being responsible for the general meeting of members.
Article 18 The functions and powers of the Council are:
(a) to implement the resolutions of the members' congress;
(two) to elect and recall the president, vice president, deputy secretary general and executive director of the association;
(3) Hiring honorary presidents and consultants of the Association;
(four) to report the work and financial situation to the members' congress;
(five) to prepare for the convening of the members' congress;
(six) to decide to absorb and recall members;
(seven) to decide on the establishment of professional committees, expert committees and entity institutions of this Association;
(eight) decided to appoint the deputy secretary general of the association and the important person in charge of each working institution;
(nine) to lead the institutions of the Association to carry out their work;
(ten) to formulate the internal management system of the association;
(eleven) to decide on other major issues.
Article 19 The board of directors shall be convened only when more than two thirds of the directors are present, and the resolutions made shall take effect only when more than two thirds of the directors are present.
Article 20 The Council shall hold a meeting once a year, and it may also be convened by means of communication when necessary. If there is any change in the representative of the governing unit, the unit to which it belongs shall recommend a new representative to replace it and submit it to the Council for deliberation and approval.
Article 21 The Association shall have a standing council. The Standing Council is elected by the Council from among its members. When the Council is not in session, it shall exercise the first, third, sixth, seventh, eighth, ninth and tenth rights of Article 18 and be responsible to the Council.
The Standing Council shall be convened once a year in principle, and may also be convened in the form of communication when necessary.
If there is any change in the representative of the executive director's unit, the unit to which he belongs shall recommend a new representative for replacement and submit it to the Council for deliberation and approval.
Article 22 The executive board shall be convened only when more than two thirds of the executive directors are present, and the resolutions made shall take effect only when more than two thirds of the executive directors are present to vote.
Article 23 The president, vice-president and secretary-general must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in the business field of the Association;
(3) The maximum working age of the president and vice president shall not exceed 70 years in principle. The Secretary-General is full-time, and the maximum working age of the Deputy Secretary-General is not more than 60 years old in principle.
(4) Being in good health and able to stick to normal work;
(5) Having full capacity for civil conduct.
Article 24 The term of office of the President, the Vice-President and the Secretary-General shall be five years, and the longest term shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds of the directors of the Council, and reported to the Hebei Provincial Federation of Industrial Economics (Hebei Provincial Federation of Economic Organizations) for review. After approval by the Civil Affairs Department of Hebei Province, it can continue to serve.
Article 25 The president of this Association is the legal representative. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.
Article 26 The President shall exercise the following functions and powers:
(a) to convene and preside over the Council (or the Standing Council);
(two) to check the implementation and implementation of the resolutions of the members' congress and the Council (or the Standing Council);
(3) Presiding over or entrusting the vice president to convene the president's office meeting;
(4) Signing important documents on behalf of the Association;
(5) Deciding on other important matters.
Article 27 The Secretary-General shall exercise the following functions and powers:
(1) Assisting the Chairman in presiding over the daily work of the Secretariat and organizing the implementation of the annual work plan;
(2) Coordinating the work of offices, branches and units;
(3) Nominating the Deputy Secretary-General and the heads of offices, branches, representative offices and units, and submitting them to the Standing Council (or the president's office meeting) for decision;
(four) to handle the work entrusted by the president and vice president;
(5) Handle other daily affairs.
Article 28 The Association shall have a board of supervisors, which shall be elected by the members' congress.
(1) The board of supervisors shall have one chairman, one vice-chairman and one supervisor.
(2) The Board of Supervisors is responsible for supervising the business activities and financial supervision of the Association;
(3) Members of the Board of Supervisors attend meetings of directors and executive directors of the Association as nonvoting delegates;
(4) Members of the board of supervisors shall not concurrently serve as the president, vice president, secretary general, executive director or director.
Chapter V Principles of Asset Management and Use
Article 29 Sources of funds
(1) membership fees;
(two) donations from member units and social donations;
(3) government funding;
(4) deposit interest;
(5) Income from activities or services provided within the approved scope;
(6) Equity income of economic entities;
(7) Other lawful income.
Article 30 The funds of this Association must be used for the necessary expenses needed to maintain the normal operation of this Association and carry out business within the business scope stipulated in the articles of association, and shall not be distributed among members.
Article 31 The Association collects membership fees in accordance with the relevant regulations of the State and Hebei Province.
Article 32 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.
Article 33 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers; Accounting personnel must conduct accounting and exercise accounting supervision; When an accountant changes his job or leaves his post, he must go through the handover procedures with the recipient.
Article 34 The assets management of this Association shall strictly implement the financial management system stipulated by the state and accept the supervision of the Council (or members' congress) and the financial department. Where the source of assets belongs to state appropriation or social donation or subsidy, it shall be subject to the supervision of audit institutions and announced in an appropriate manner.
Thirty-fifth before the association changes or changes its legal representative, it must accept the financial audit organized by the competent department in accordance with the regulations.
Article 36 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 37 The wages, insurance and welfare benefits of the full-time staff and workers of this Association shall be implemented in accordance with the relevant provisions of the state and Hebei Province.
Chapter VI Procedures for Amending the Articles of Association
Thirty-eighth amendments to the articles of association of this association shall be submitted to the Standing Council (or the president's office meeting) for deliberation.
Article 39 The revised Articles of Association of the Association shall be submitted to the Hebei Federation of Industrial Economics (Hebei Federation of Economic Organizations) for approval within 5 days after it is adopted by the Council, and shall come into effect after it is approved by the Civil Affairs Department of Hebei Province.
Chapter VII Termination Procedure and Disposal of Property after Termination
Article 40 If the Association needs to be cancelled due to the completion of its purpose, dissolution, division or merger, the Standing Council shall propose a termination motion.
Article 41 The motion to terminate this Association shall be passed by the Council and reported to the Hebei Federation of Industrial Economics (Hebei Federation of Economic Organizations) for approval.
Forty-second before the termination of this association, a liquidation organization should be established under the guidance of the Hebei Provincial Federation of Industrial Economics (Hebei Provincial Federation of Economic Organizations) and the Civil Affairs Department of Hebei Province to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 43 The Association shall be terminated after the cancellation of registration by the Civil Affairs Department of Hebei Province.
Article 44 The remaining property after the termination of the Association shall be used for the aftermath or the development of the cause related to the purpose of the Association under the supervision of the Hebei Federation of Industrial Economics (Hebei Federation of Economic Organizations) and the Civil Affairs Department of Hebei Province in accordance with the relevant regulations of the state and Hebei Province.
Chapter VIII Supplementary Provisions
Article 45 The Articles of Association was reviewed and adopted by the first Council of the second session on April 26th, 201/kloc-0.
Article 46 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 47 The Articles of Association shall come into force as of the date of approval by the Civil Affairs Department of Hebei Province.
