Chapter I General Provisions

Article 1 The name of this group is China Gerontology Society (hereinafter referred to as the Society). English name: China Gerontology Society (GSC).

Article 2 This Society consists of experts and scholars engaged in gerontology research and units and individuals engaged in aging work. It is a non-profit legal person organization established in accordance with relevant national laws and regulations and registered by the Ministry of Civil Affairs of the State Council. It is a national mass academic group engaged in gerontology research and consulting services.

Article 3 The purpose of this Association is to abide by the Constitution, laws, regulations and national policies and social morality under the guidance of Marxism–Leninism, Mao Zedong Thought and Deng Xiaoping Theory. Organize and unite experts, scholars and workers of gerontology all over the country, carry out academic research on gerontology, carry out consulting service activities, develop gerontology, and provide intellectual consultation for the government to formulate policies, laws and regulations to solve the aging problem.

In the process of academic research, the Society adheres to the basic line of China * * * Production Party, the ideological line of integrating theory with practice and seeking truth from facts, and implements the academic policy of letting a hundred flowers blossom and a hundred schools of thought contend, so as to turn the Society into an academic group of gerontology with China characteristics.

The Society is a group member of the International Society of Gerontology. On the premise of observing the Constitution and laws of China, strengthen international academic exchanges and cooperation.

Article 4 This Association shall accept the business guidance, supervision and management of the competent business unit, China Association for the Aged and the Ministry of Civil Affairs, the registration and management organ of associations.

Article 5 This Society is located in Beijing.

Chapter II Scope of Business

Article 6 The research field of this institute is gerontology, and the main subjects are gerontology, gerontology, gerontology and social gerontology (including gerontology, gerontology, sociology of aging, gerontology, gerontology, etc. ). The main tasks are:

(a) to formulate the work plan for academic research and consulting services of the Institute;

(two) to organize and guide members to carry out social surveys on aging;

(3) Organizing academic research and consulting services on gerontology and carrying out academic exchanges on gerontology at home and abroad;

(four) to carry out publicity and professional training on the knowledge of aging and gerontology;

(5) develop member organizations and form a high-level gerontology research team combining full-time and part-time jobs;

(six) to provide professional guidance for group members and their directly affiliated professional committees, and to provide information exchange and promotion of research results for members;

(seven) summarize and exchange academic research achievements and work experience, select and commend advanced units and individuals, and publicize outstanding scientific research achievements;

(8) Editing the editions of periodicals, newsletters and related books and periodicals;

(nine) to accept the tasks entrusted by the government, to carry out relevant business consulting, and to reflect the situation and put forward suggestions to the government on major issues concerning the cause of aging;

(ten) to undertake scientific research tasks entrusted by international organizations for the elderly in accordance with the Constitution and laws of our country.

Chapter III Members

Article 7 The Society shall mainly develop group members, and develop individual members according to needs and conditions.

Article 8 A member applying to join the Association must meet the following conditions:

(1) Gerontology societies in all provinces, autonomous regions, municipalities directly under the Central Government, cities under separate state planning and other representative regions and cities, national gerontological professional academic groups, aging research institutions, aging work departments, and organizations engaged in aging research and work in large enterprises and institutions may apply to join this society as group members;

(2) Anyone who recognizes the articles of association of the Society, is enthusiastic about gerontology research, has certain theoretical foundation of gerontology, academic research ability and working experience in gerontology, and has published valuable papers or authors on gerontology can apply to become an individual member of the Society. Elected as a director of the Society and employed as an honorary director of the Society, they are individual members of the Gerontology Society of China.

(3) Where there are regions and units with group members of this agency, in principle, this agency will no longer directly absorb individual members, and individual members will be absorbed and managed by group members.

(four) individual members who are retained or absorbed separately as national societies shall be re-registered and confirmed in the general election of the society every five years.

Article 9 The procedure of the general meeting of members is:

(a) submit an application for membership (individual members must be introduced by two members of the society);

(2) Approved by the Standing Council of the Institute;

(3) The notice of approval shall be issued by the office of the Institute.

Article 10 Members of society shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in the activities of this society;

(three) have the right to suggest, criticize and supervise the work of the society;

(four) have the right to participate in the academic activities of the society and be commended and rewarded;

(five) have the right to obtain the relevant publications, academic materials and services of the Institute;

(6) Members of the association are free to resign voluntarily.

Article 11 Members of society shall perform the following obligations:

(a) abide by the articles of association;

(two) to implement the resolutions of this society and complete the work assigned by this society;

(three) actively participate in academic activities, take the initiative to submit research results and reports to the society, reflect the situation;

(four) to safeguard the legitimate rights and interests of this society;

(five) in accordance with the provisions of the timely payment of club membership fees.

Article 12 A member who withdraws from the meeting shall notify this Council in writing. Members of the second army in a row who do not pay membership fees or participate in the activities of this club are deemed to have withdrawn automatically.

Thirteenth members seriously violate the articles of association, the Council or the Standing Council shall vote to cancel their membership.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The organizing principle of this Association is democratic centralism, and the highest authority is the member congress. Representatives of the general assembly are composed of group members, representatives of professional committees, candidates for directors recommended by relevant regions and units, and specially invited individual members. The functions and powers of the members' congress are:

(1) To formulate and revise the articles of association of this Association;

(two) to elect and recall the members of the Council of the Society;

(3) recommending the honorary president of the Institute;

(four) to discuss and decide on the working principles, tasks and major issues of the development of this society;

(five) to review and approve the work report and financial report of the Council of the Society;

(6) Deciding to terminate.

(seven) to decide on other major issues.

Fifteenth members' congress must be attended by more than two thirds of the delegates, and its resolutions must be attended by more than half of the delegates to take effect.

Article 16 Members' congresses are held every five years. If it is necessary to advance or postpone the general election due to special circumstances, it must be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. However, the longest extension shall not exceed 1 year.

Article 17 The Council is the executive body of the general meeting of members, and its work is responsible to the general meeting of members.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the president, vice president, secretary general and executive director;

(three) to prepare for the convening of the members' congress;

(four) to report the work and financial situation to the members' congress;

(five) to decide to absorb or recall members;

(6) Deciding to establish offices, branches, representative offices and entities;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) to lead the institutions of this society to carry out their work;

(nine) to formulate internal management system;

(10) Hiring consultants and honorary directors;

(eleven) to listen to and consider the work report and financial situation of the Standing Council;

(twelve) to discuss and decide on other major issues of this society.

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 20 The Council shall meet once a year; Under special circumstances, an exchange meeting can also be held.

Article 21 The Association shall have a standing council, which shall be elected by the council, and shall exercise the functions and powers of Article 18 (1, 3, 5, 6, 7, 8 and 9) when the council is not in session, and shall be responsible to the council (the number of standing directors shall not exceed 65,438+0.3 of the number of directors).

Article 22 The Standing Council shall be convened only when more than two-thirds of the directors are present, and its resolutions shall take effect only if they are voted by more than two-thirds of the directors present. ..

Twenty-third meetings of the Standing Council shall be held at least once every six months, and may be held in the form of communication under special circumstances.

Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of this firm;

(3) The maximum age of the president, vice-president and secretary-general shall not exceed 70, and the secretary-general shall be full-time;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 25 The president, vice-president and secretary-general of the Association shall be approved by the Council, reported to the competent business unit for examination and approved by the registration authority of the Association before taking up their posts.

Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is five years. (The term of office of the president, vice-president and secretary-general shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by the member representatives at the February meeting, reported to the competent business unit for review, and approved by the registration authority of the association before taking office.

Article 27 The president of this Association is the legal representative of this Association. The legal representative of this cooperative does not concurrently serve as the legal representative of other organizations.

Article 28 The President of this Association shall exercise the following functions and powers:

(a) to convene and preside over the Council and the Standing Council;

(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council;

(3) Sign relevant important documents on behalf of the Institute.

Article 29 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;

(four) to decide on the employment of full-time staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Thirtieth sources of social funds are:

(a) according to the relevant provisions of the state to collect membership fees;

(2) Donations from units and individuals;

(three) funded by the competent units and relevant departments;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 31 the association collects membership fees in accordance with relevant state regulations.

Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting materials.

Article 34 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 35 The assets management of this firm must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Article 36 Before an association changes its legal representative, it must accept the financial audit organized by the association registration authority and the competent business unit.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this cooperative.

Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Thirty-ninth amendments to the articles of association of this cooperative must be approved by the Council and reported to the members' congress for deliberation.

Article 40 The revised articles of association of the Association shall come into effect within 15 days after being approved by the members' congress, examined and approved by the competent business unit and reported to the registration administration organ of the Association.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 41 If an association completes its purpose or is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.

Forty-second the motion to terminate the cooperative must be voted by the general meeting of members and reported to the competent business unit for approval.

Forty-third before the termination of the association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 44 An association shall be terminated after its registration is cancelled by the association registration authority.

Article 45 The remaining property after the termination of an association shall be used for the development of undertakings related to the purpose of the association under the supervision of the competent business unit and the association registration authority in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association was voted by the members' congress on August 24th, 1999.

Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
