Articles of Association of Guangzhou Real Estate Agency Association

Chapter I General Provisions

Article 1 Name of Association: Guangzhou Real Estate Agency Association. The English translation of the name is Guangzhou Real Estate Agents Association, abbreviated as: GAREA.

Article 2 Nature of the Association: The Association is a non-profit social organization approved and registered by the registration authority of social organizations, and voluntarily composed of registered real estate agencies, real estate agency practitioners and related professionals in Guangzhou.

Article 3 The purpose of this Association is to adhere to the Party's basic line, abide by the Constitution, laws, regulations and national policies, and observe social morality. Actively publicize the national real estate policies of provinces and cities; Study and discuss the theory and practice of real estate intermediary service; Meet the wishes and requirements of the majority of members and safeguard the legitimate rights and interests of members.

Article 4 The Association shall accept the business guidance, supervision and management of Guangzhou Municipal Bureau of Land Resources and Housing and Guangzhou Civil Affairs Bureau.

Article 5 Address of the Association: Room 2603, Ruixing Building, No.350 Dongfeng Middle Road, Guangzhou City, Guangdong Province.

Chapter II Scope of Business

Article 6 The business scope of this Association

(a) to publicize and implement the laws, regulations, principles and policies related to the management of real estate brokerage and consulting industry;

(two) to carry out the theory, principles and policies of the reform and development of the real estate intermediary market;

(three) to strengthen cooperation with the news media, collect and disseminate information on real estate brokerage and consulting industry, edit and publish publications of the association, run a good network communication platform, and provide services for the development of member units;

(four) to strengthen the research on improving the professional ethics and professional discipline education of members.

Chapter III Members

Article 7 Members of this Association are divided into unit members and individual members.

Article 8 A member applying to join this Association must meet the following requirements:

(1) Supporting the articles of association;

(2) Having the will to join this Association;

(3) Having certain influence in the business field of the Association;

(4) A registered real estate agency may apply for membership;

(5) Real estate intermediaries registered in intermediaries and engaged in intermediary activities may apply for becoming individual members;

(six) the relevant departments and institutions closely related to the real estate intermediary work may apply to become unit members;

(seven) engaged in real estate intermediary professional research and teaching personnel or other personnel closely related to real estate intermediary work, after recommendation and assessment, you can apply for individual membership.

Article 9 The procedures for joining the club are as follows:

(1) submitting an application for membership;

(2) discussed and adopted by the Council;

(3) The membership card shall be issued by the Council or an organization authorized by the Council.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in the activities of this association;

(three) the priority of obtaining the service of this association;

(four) have the right to criticize, suggest and supervise the work of this association;

(5) Freedom of voluntary membership and withdrawal;

(six) have the right to ask the association to safeguard the legitimate rights and interests.

Article 11 Members shall perform the following obligations:

(1) Abide by the articles of association;

(2) Implementing the resolutions of this Association;

(three) to safeguard the legitimate rights and interests of this association;

(four) to complete the work assigned by the association;

(five) to pay membership fees in accordance with the provisions;

(six) to reflect the situation to the association and provide relevant information;

(seven) accept the supervision, inspection and management of this association.

Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the Association within 1 year, it will be deemed as automatic withdrawal.

Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the members' congress, and its functions and powers are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(4) Altering or revoking inappropriate decisions of the Council;

(5) Deciding to terminate.

(six) to decide on other major issues.

Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.

Article 16 The general meeting of members shall be held every four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. However, the longest extension shall not exceed 1 year.

Article 17 The Council is the executive body of the general meeting of members, leading the association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.

Article 18 The functions and powers of the Council are:

(a) the general meeting of executive members;

(two) to elect and recall the president, vice president and secretary general;

(three) to prepare for the convening of the members' congress;

(four) to report the work and financial situation to the members' congress;

(five) to decide to absorb or recall members;

(6) Deciding to establish offices, branches, representative offices and entities;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) to lead the work of this group;

(nine) to formulate internal management system.

Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.

Article 20 The Council shall meet once a year, and hold irregular meetings according to the needs of the Association.

Article 21 The Association shall establish a standing council. The executive directors are elected by the board of directors, and shall exercise the functions and powers of Article 18 (items 1, 3, 5, 6, 7, 8 and 9) when the board of directors is not in session, and shall be responsible to the board of directors (the number of executive directors shall not exceed one third of the number of directors). Intermediary institutions serving as executive directors need to continue to operate for more than five years, with good operating conditions and excellent credit standing.

Article 22 The Standing Council shall hold a meeting every quarter.

The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only when more than two thirds of the executive directors present vote.

Article 23 The daily work of the Association shall be handled by the President and the Secretariat under the leadership of the Secretary-General, with a number of full-time staff members, one of whom is the full-time Deputy Secretary-General.

Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, and abide by national laws and regulations;

(2) It has great influence in this industry;

(three) enthusiastic about the work of the association, with strong working ability;

(4) Being in good health and able to work normally, with the maximum working age not exceeding 70 years old;

(5) Full-time Secretary-General;

(6) Having not been subjected to criminal punishment of deprivation of political rights;

(7) Having full capacity for civil conduct.

Twenty-fifth the president and secretary general of this association are over the maximum working age, and they must be approved by the Council, reported to the competent business unit for review, and approved by the registration authority of this association before taking up their posts.

Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is four years. Re-election shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the registration and management authority of the association before taking office.

Article 27 The president of this Association shall be the legal representative of this Association, and the legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 28 The President of this Association shall exercise the following functions and powers:

(a) to convene and preside over the Council and the Standing Council;

(two) to check the implementation of the resolutions of the members' congress and the Council;

(3) Signing relevant important documents on behalf of the Association;

(4) Handling major issues in the implementation of the Articles of Association.

Article 29 The Secretary-General of this Association shall exercise the following functions and powers:

(a) to preside over the daily work of the Secretariat and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principals of offices, branches, representative offices and units;

(four) to decide on the employment of full-time staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Chapter V Asset Management and Use

Article 30 The sources of funds of this Association are:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 31 the association collects membership fees in accordance with relevant state regulations.

Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 34 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Thirty-sixth before the association changes or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Thirty-ninth amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.

Article 40 The revised articles of association of this Association shall come into effect within 15 days after being approved by the members' congress, examined and approved by the competent business unit and reported to the association registration authority.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 41 If the association has fulfilled its purpose or is dissolved or needs to be revoked due to division or merger, the Council shall propose a termination motion.

Article 42 The motion to terminate this association must be voted by the members' congress and submitted to the competent business unit for examination and approval.

Forty-third before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 44 this association shall be terminated after the cancellation of registration by the association registration authority.

Article 45 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business units and the registration and administration organs of associations in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association was adopted by the members' congress on May 28th, 20 10.

Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
