Original works, Author: Zeng Huahua, Deputy Director of Intellectual Property Department of Beijing Yingke (Wuhan) Law Firm, lawyer, patent agency, commercial franchising is a common business model, especially in the service and catering industries. Commercial franchise brands are well known, such as Pierre Cardin, Crocodile and Giordano. After more than 20 years of rapid development, commercial franchising in China has reached a considerable scale. The total number of franchised stores in China exceeds 1 10,000, covering more than 70 industries and attracting more than 1 10,000 people. So, what are the basic requirements of commercial franchising? First, the franchisor must be an enterprise, and the franchise contract signed by a non-enterprise as a franchisor is invalid. Paragraph 2 of Article 3 of the Regulations on the Administration of Commercial Franchise clearly stipulates that no unit or individual other than an enterprise may engage in commercial franchise activities as a franchisor. Second, the franchisor should have business resources. The Regulations on the Administration of Commercial Franchise clearly stipulates that commercial franchising refers to the fact that an enterprise owns registered trademarks, corporate logos, patents, proprietary technologies and other business resources. The empirical resources that are not expressly stipulated by law include copyright, trade name and trade secret. 3. The franchisor shall have at least two direct stores engaged in franchise activities, with the operating time exceeding 1 year, and shall have a mature business model and the ability to continuously provide business guidance, technical support and business training for the franchisee. Fourth, franchising should be filed with the competent commercial department. The franchisor shall, within 15 days from the date of concluding the franchise contract for the first time, file with the competent commercial department in accordance with the provisions of these regulations. Those who engage in franchise activities within the scope of provinces, autonomous regions and municipalities directly under the Central Government shall file with the competent commercial departments of the local people's governments of provinces, autonomous regions and municipalities directly under the Central Government; Those who engage in franchising activities across provinces, autonomous regions and municipalities directly under the Central Government shall file with the competent department of commerce of the State Council. Fifthly, the franchisor shall not cheat or mislead in the promotion activities, and the advertisements it publishes shall not contain the contents that promote the franchisee to obtain income from the franchise activities. Sixth, the franchisor shall, at least 30 days before the conclusion of the franchise contract, provide the franchisee with the information specified in Article 22 of the Regulations on the Administration of Commercial Franchise in writing, and provide the text of the franchise contract. Seventh, the information provided by the franchisor to the franchisee shall be true, accurate and complete, and shall not conceal relevant information or provide false information. If the information provided by the franchisor to the franchisee changes significantly, it shall notify the franchisee in time. If the franchisee conceals relevant information or provides false information, the franchisee may terminate the franchise contract. It can be seen that the state has very strict and detailed regulations on engaging in commercial franchising. If the franchisor fails to comply with the relevant provisions, it may not only lead to the termination of the contract and bear civil liability for compensation, but also be subject to administrative punishment by the administrative department, suspected of false propaganda and contract fraud, and may also be investigated for criminal responsibility. If you want to engage in commercial franchising, I suggest you understand the relevant laws and regulations and consult a professional lawyer.
