Chapter I General Provisions

Article 1 The name of this Association is Shanghai Overseas Chinese Chamber of Commerce. English full name: Shanghai Overseas Chinese Chamber of Commerce English abbreviation: SOCCC

Article 2 This Association is a non-profit social organization composed of enterprises and units invested by overseas Chinese in Shanghai, overseas Chinese and compatriots from Hong Kong and Macao.

Article 3 The purpose of this Association is to abide by the Constitution of People's Republic of China (PRC) and relevant laws and regulations, and strive to safeguard and strive for the legitimate rights and interests of its members. Advocate members to abide by social ethics and operate according to law, help members coordinate their relations with relevant departments, and work with the government to improve the investment environment. Widely contact domestic and foreign industrial and commercial enterprises and economic organizations, promote economic exchanges with members, improve enterprise management level and technological progress, and promote economic construction and social development in Shanghai and the whole country.

Article 4 The Association shall accept the professional guidance, supervision and management of the Overseas Chinese Affairs Office of the Shanghai Municipal People's Government and the Shanghai Association Administration, the registration administration organ.

Chapter II Tasks

Article 6 The main tasks and business scope of this Association are as follows:

Organize various business and economic visits, conferences, exhibitions, trade fairs, seminars, expert lectures and other economic exchanges and promotion activities to promote economic exchanges and cooperation among members. Details are as follows:

1. Organize members to carry out business and economic investigation, exchange and other activities to promote economic cooperation.

The second is to hold various professional lectures and business training for members and their enterprise personnel to improve the management level and personnel quality of enterprises;

Third, establish a special member website to provide information consulting services for members and promote their own business and products;

Organize lawyers, accountants, auditors, economic and technical experts and other professionals to recommend various professional services for members;

Fifth, organize various healthy cultural and recreational activities to serve members' spare time;

Sixth, strengthen contact and communication with government departments, make suggestions for Shanghai's economic construction, protect the legitimate rights and interests of members according to law, and solve problems for members;

Seven. Carry out various other activities and services that help to realize the purpose of the association.

Chapter III Members

Article 7 Associations are divided into unit members and invited members.

Article 8 To apply for joining this Association, the following conditions shall be met:

First, recognize and support the articles of association;

An overseas Chinese-funded enterprise as a legal person established in Shanghai may become a member of the Association upon application and approval by the Council, and be issued a membership card.

3. People from all walks of life who actively support and assist the development of our affairs and make significant contributions may become invited members with the approval of our Association.

Chapter IV Rights and Obligations of Members

Article 9 Rights and obligations of members

First, the rights of members.

1, have the right to vote, be elected and vote;

2. Participate in relevant activities organized by the Association;

3. Propose, criticize and supervise the work of this Association;

4. Enjoy the economic activity information provided by the Association for its members;

5. Share the economic information and product information of other members of the Association;

6. Enjoy other rights and interests provided by the Association for members;

7. Enjoy the right to leave the meeting freely.

Second, the obligations of members.

1, abide by the articles of association of the association and implement the resolutions of the association;

2. Pay membership dues and participate in other activities as required;

3. Maintain the legitimate rights and interests and social reputation of the Association;

4. Actively participate in various activities established by the Association for members;

5. Perform other due duties entrusted by the Association;

Article 10 Membership procedures

1. Recommend by members and submit company and personal information;

Second, the Council discussed and approved;

3. Pay membership fees according to the regulations of this Association;

Complete other procedures stipulated by the association and issue membership cards.

Article 11 The withdrawal of a member shall be submitted to the Council in writing, and shall take effect after the Council has studied and voted. Members should return their membership cards when they leave the venue.

Article 12 A member shall be removed from the membership after discussion and voting by the Council in any of the following circumstances. After the member is removed from the list, all the fees paid before will not be refunded:

1. Failing to pay the fees for more than one year and not participating in the activities of the association for a long time;

2. Serious violation of the Articles of Association;

3. Violating the national criminal law and being found guilty;

4. Make words and deeds that FSC thinks seriously damage FSC's reputation;

5. Being declared bankrupt by the court according to law.

Chapter V Organizational Structure

Article 13 The highest authority of this Association is the general meeting of members. Its functions and powers are:

1. Formulate and modify the Articles of Association;

2. Elect and appoint members of the Board of Directors and members of the Board of Supervisors;

3. To consider and adopt the work report and financial report of the Council;

4. Decide on the termination of this Association;

Article 14 The general meeting of members is generally held once a year. The general meeting of members shall be held only when more than half of the members (or authorized representatives) are present. The resolution shall take effect only if it is approved by more than half of the members (or authorized representatives) present at the meeting.

Article 15 The term of office of the members of the board of directors and the members of the board of supervisors elected by the general meeting is three years, and they may be re-elected. If a director or supervisor becomes vacant or dismissed for any reason during his term of office, he shall be nominated and voted by the board of directors to re-elect the director or supervisor and report to the next general meeting of shareholders for approval. If the directors and supervisors fail to convene a shareholders' meeting in time to elect new directors and supervisors after the expiration of their three-year term, the board of directors will vote to temporarily extend their term of office (the longest extension period shall not exceed one year), which will be reported to the competent business unit for examination and approval, and will be approved by the Shanghai community management agency.

Article 16 The Council of this Association is the executive body of the general assembly, presiding over the daily work of this Association during the intersessional period and being responsible to the general assembly.

Article 17 The functions and powers of the Council are:

1. Implement the resolutions of the general meeting;

2. Elect and recall the president, executive vice president, vice president, executive director and secretary general;

Three. By-election of directors or supervisors according to Article 15 of the Articles of Association (directors and supervisors are not allowed to hold part-time jobs);

4. Decided to hire honorary president, honorary president and consultant;

5. Decide and prepare for the general meeting of members;

6. Report the work and financial situation to the general assembly;

7. To examine and approve the approval or dissolution of membership;

8. Decide to establish and lead the office and carry out its work;

9. Formulate and improve various management systems;

Article 18 The board of directors shall be convened only when more than half of the directors are present, and its resolutions shall take effect only when more than half of the directors present vote.

Article 19 The Council shall meet at least twice a year.

Article 20 The President and Secretary-General of the Association must meet the following conditions:

First, enthusiastic about the work of this association and have a certain influence among its members;

Second, the body is healthy and can adhere to normal work;

3. The working age of the President of the Association shall not exceed 70 years; The Secretary-General is full-time, with a maximum length of service of 65 years;

4. No criminal record and full capacity for civil conduct.

Twenty-first the president and secretary-general of this association are over the maximum working age, and they must be approved by the Council, reported to the competent business department for examination, and approved by the community management organ before taking up their posts.

Article 22 The president of this Association shall be the legal representative of this Association.

Article 23 The duties of the President of this Association are:

1. Convene and preside over the Council;

Second, check the implementation of General Assembly and Security Council resolutions;

To guide and coordinate the work of the executive vice president, vice president, secretary general, executive director and director;

Sign relevant important documents on behalf of the association.

Article 24 The Association shall have a board of supervisors, consisting of three or more supervisors, elected by the general meeting of members. The board of supervisors is the supervisory body during the intersessional period of the general meeting of members. Supervisors are elected by the board of supervisors and are directly responsible to the general meeting of members.

Article 25 The Board of Supervisors shall exercise the following functions and powers:

1. Supervisors attend board meetings as nonvoting delegates;

2. Consult the financial and accounting statements and other documents of the Association;

Third, check the meeting and financial situation of the association;

Supervise the work of the president, executive vice president, vice president and secretary general of the association;

Fifth, put forward suggestions and opinions on major decisions made by the Council;

Other functions and powers stipulated in the articles of association of intransitive verbs.

Article 26 The board of supervisors has the right to propose to the board of directors to convene a general meeting of shareholders.

Chapter VI Asset Management

Twenty-seventh sources of funds:

1. Membership fee of the Association;

Second, the sponsorship of relevant units and people at home and abroad;

Income from activities or services provided within the approved business scope;

4. Interest on the assets of the Association;

Twenty-eighth funds must be used for the development of activities and undertakings carried out by the association and cannot be distributed among members.

Article 29 The financial management of this Association must implement the financial management system stipulated by the state, ensure the legality, truthfulness, accuracy and completeness of accounting materials, and accept the supervision of the general meeting, the board of supervisors and relevant government departments.

Article 30 When an association changes its term of office or changes its legal representative, it must accept the financial audit organized by the Shanghai association management authority and the competent business unit.

Article 31 No unit or individual may occupy or misappropriate the assets of this Association.

Chapter VII Procedures for Amending the Articles of Association

Article 32 Any amendment to the articles of association of this Association shall be approved by the Council and submitted to the general meeting of members for deliberation.

Article 33 The revised Articles of Association shall be submitted to the competent business unit for examination within 10 days after it is adopted by the general meeting of members, and shall come into effect after it is approved by the administrative organ of Shanghai Association.

Article 34 The Council of this Association has the right to formulate specific implementation rules, articles of association and relevant rules and regulations according to the provisions of the articles of association. The relevant implementation rules, articles of association and relevant rules and regulations shall be submitted to the competent business unit and Shanghai Association Registration Administration for the record after being voted by the Council.

Chapter VIII Termination Procedure and Property Disposal after Termination

Thirty-fifth when the association terminates for some reason, the Council shall propose a termination resolution.

Article 36 The resolution on the termination of this Association shall be adopted by the general meeting of members and reported to the competent business unit for approval.

Thirty-seventh before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, activities other than liquidation cannot be carried out.

Thirty-eighth associations shall be terminated after the cancellation of registration by the Shanghai Municipal Administration of Associations.

Article 39 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business unit and the management organization of Shanghai Association in accordance with the relevant provisions of the state.

Chapter IX Supplementary Provisions

Article 40 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 41 The Articles of Association shall come into force as of the date of approval by the Shanghai Association Management Committee.
